An agreement made the 18th day of November between VISION MEDIA OUTDOOR ENTERPRISE of No 420 A ,Jalan Sungai Tua ,Batu 10,68100 Batu Caves, Selangor, Malaysia of the one part and GuocoLand (Malaysia) BerhadLevel 8, Wisma Hong Leong18, Jalan

Perak50450 Kuala Lumpur (here in after called the advertiser) of the other part. Whereas VISION MEDIA OUTDOOR ENTERPRISE is the lessor or the outdoor site and location together with the advertising billboard. The advertising billboard thereon to be constructed (referred to as the advertising billboard) which said outdoor site and location and advertising billboard are described in schedule 1 here to.

VISION MEDIA OUTDOOR ENTERPRISE

And whereas the advertiser is desirous of displaying its advertisement in the said advertising billboard with the details and specification of which advertisement are set out in the schedule (here after referred to as the advertisement). And whereas the advertiser is desirous of obtaining the services of VISION MEDIA OUTDOOR ENTERPRISE for the creation and installation of the advertisement on the advertising billboard (here after referred to as production work). It is now hereby mutually agreed as follow:
1. In consideration of the advertiser agreeing to make to VISION

MEDIA OUTDOOR ENTERPRISE payment at the rate 50% during the continuance of this agreement, VISION MEDIA OUTDOOR ENTERPRISE agrees to allow the advertisement on the advertisement billboard
2. The said payment shall be made with the term effectively

beginning on the first day of installation and as follows in each year following (here in after referred to as payment dates),as stated in in section 6 of schedule 1. 3. Unless otherwise stated this agreement shall remain in force for a period of one year from the date said advertisement is installed and affixed to the said advertisement billboard. 4. TERMINATION -either party shall be entitled to terminate this agreement by giving: a) At least 30 days prior written notice to the other party without assigning any reason whatsoever during one year contract. 5. VISION MEDIA OUTDOOR ENTERPRISE warrants that it has the sole right to grant to the advertiser the rights contained herein relation to the advertisement billboard.

SCHEDULE 1 SECTION 1 THE ADVERTISER GuocoLand (Malaysia) Berhad

SECTION 2 VISION MEDIA OUTDOOR ENTERPRISE THE ADVERTISING BILLBOARD SECTION 3 CONTRACT PERIOD SECTION 4 RENTAL RM 12,000.00/ BILLBOARD AT RAWANG I YEAR 10X40

SECTION 5 RENEWAL PERIOD SECTION 6 PAY TERMS PAY FOR 3 MONTH. BALANCE OF PAYMENT SHOULD PAY MONTHLY. UPON 1 MONTH BEFORE THE END OF CONTRACT

6. All overdue payment by the advertiser to VISION MEDIA OUTDOOR ENTERPRISE hereunder shall bear interest fourteen(14) days after the same shall become due at the rate of ten percent(10%) per annum calculated on a monthly rent basis until the date of full settlement thereof without prejudice to the rights of VISION MEDIA OUTDOOR ENTERPRISE to remove the advertisement after three(3) weeks from the date the payment was due and to forfeit all advance payments that may have been made previously. 7. VISION VISIONMEDIA OUTDOOR ENTERPRISE grants to the advertiser an option MEDIA OUTDOOR to extend the right mentioned in schedule 1 for a further period to be mutually agreed upon by the parties hereto on expiry of ENTERPRISE this agreement upon the same terms and conditions herein save for this renewal clause but at the rate not exceeding then prevailing market rate provided however that the advertiser exercises this option in writing at least three(3) months before the expiry of this agreement and the advertiser shall have performed and observed up to expiration of the contract period.

Any dispute, difference or question which may arise at any time hereafter between the parties hereto and touching the true construction of this agreement or the rights and liabilities of the parties hereto shall unless otherwise herein expressly provided be referred to a local court to be agreed upon between the parties hereto or in default of agreement for fourteen (14) days to be appointed at the request of either party.

9. The schedules and appendices shall be taken, read and construed as part of this AGREEMENT.

10. Time wherever mentioned shall be of the essence of the agreement.

11. This agreement shall be binding upon the successor- in- title and assigns personal represent and heirs of the advertiser and VISION MEDIA OUTDOOR ENTERPRISE.

APPENDIX 1

VISION MEDIA OUTDOOR ENTERPRISE

VISION MEDIA OUTDOOR ENTERPRISETRE 1. Liable for local authority Advertisement license and shall
indemnify the advertiser against loss or penalty. 2. To provide insurance cover and take full responsible for the safety of the said billboard and shall indemnify the advertiser against any claim from third party. Warranty on damages, to make good from time to time for the period of one year.
