END USER LICENSE AGREEMENT

PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THIS SOFTWARE.

By receiving and/or using this Net Control 2 software (the Software), you accept and agree to be bound by the following User Agreement. This Agreement is a binding legal agreement between Vadim Parkhomchuk (or VAP Software) and the purchasers, users or evaluators of this Software. If you do not accept all the terms and conditions of this Agreement or do not agree to be bound by this Agreement, remove this Software from your computer now. 1. Subject of Agreement. Subject to the terms of this Agreement, Vadim A. Parkhomchuk, author and copyrights holder (further - the "Author") grants to you a limited, non-exclusive, non-transferable license, without right to sub-license, to use or evaluate this Software in accordance with this Agreement. Under term Use hereinafter is meant the right on installation of the Software (or components of the Software) on the amount of computers specified in the license; the right on use Softwares functionality according to the purpose of Software and with all limitations provided by this Agreement. The license granted to you is not a sale. 2. Distribution Trial version of the Software may be freely distributed, provided that: 1. Such distribution includes only the original Net Control 2 archive supplied by Author. You may not alter, delete or add any files in the distribution archive. 2. The distribution does not include a registration number. In particular, you may not distribute a registered piece of software. 3. No money is charged to the person receiving the software, beyond reasonable cost of packaging and other overhead. 3. User Agreement 3.0 Preamble - This Software is intended and designed for use on public access computers only. Any use on personal or corporative computers is possible only on your own risk and after implementing of additional security measures. Implementing of the specified security measures as also configuring of the security settings is your responsibility only. 3.1 Evaluation License This license is applied on any use of unregistered version. You may evaluate this Software without purchasing Registered Users License (the Evaluation Version) for a maximum of thirty (30) calendar days (the "Evaluation Period"). On or before the expiration of the Evaluation Period, you must purchase Registered Users license in order to continue to use the Software, or you are required to remove this Software and any archived copy from your computer immediately following the expiration of the Evaluation Period. The Software may not be used for any commercial purposes during evaluation period. For more information about registration and purchasing Registered Users license you please contact Author or nearest authorized reseller/distributor in your region. Information about registration you can find on official web-site of Software (http://www.netcontrol2.com) and in About window of Software. 3.2 Registered Users License This license is applied to any registered version of Software or registered copies of the Software. Unregistered copies of the Software become registered on entering of personal registration information

(registration key), received from Author or authorized reseller/distributor. Receiving registration information you also should receive addition to this Agreement, which will describe additional conditions of use of Software, including amount of computers where Software (and its components) may be used. Your license to use this Software is limited to the number of licenses purchased by you. Net Control 2 software consists in two parts administrator components (Client) and user components (Server), which are licensed separately. There are the following types of combined licenses currently available: 1 Administrator, 10 Remote Users license allow to install administrator components of Net Control 2 (Net Control 2 Client) on one computer at a time and user components (Net Control 2 Server) on up to ten computers at a time. 1 Administrator, 20 Remote Users license allow to install administrator components of Net Control 2 (Net Control 2 Client) on one computer at a time and user components (Net Control 2 Server) on up to twenty (20) computers at a time. 1 Administrator, 30 Remote Users license allow to install administrator components of Net Control 2 (Net Control 2 Client) on one computer at a time and user components (Net Control 2 Server) on up to thirty (30) computers at a time. 1 Administrator, 50 Remote Users license allow to install administrator components of Net Control 2 (Net Control 2 Client) on one computer at a time and user components (Net Control 2 Server) on up to fifty (50) computers at a time. 1 Administrator, 100 Remote Users license allow to install administrator components of Net Control 2 (Net Control 2 Client) on one computer at a time and user components (Net Control 2 Server) on up to 100 (one hundred) computers at a time. SITE license allows to use administrator and user components of Net Control 2 in any combination on up to 500 computers within a concrete physical SITE location (a building or a block of buildings) OR within bounds of a company/organization, depending what is smaller (for USA/Canada only). DISTRICT license allows unlimited usage of Net Control 2 software within bounds of school district. CORPORATE license allows unlimited usage of Net Control 2 software within bounds of company/organization. You shall not allow others to use, copy or evaluate registered copies of this Software. 3.4 Use Restrictions - You shall use this Software in compliance with all applicable laws and not for any unlawful purpose. Particularly, you may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the licensed program, or any subset of the licensed program, except as provided for in this agreement. You may not use this software without obvious consent of owner of the computer where this software will be used. You may not use or try to use this software for unauthorized access to information. Any such unauthorized use shall result in immediate and automatic termination of this license and may result in criminal and/or civil prosecution. 3.5 Copyright Restriction - This Software contains copyrighted material. You cannot create any derivative works or other works that are based upon or derived from the Software in whole or in part. Vadim A. Parkhomchuk, an author of the Software retains sole and exclusive ownership of all right, title and interest in and to the Software and all Intellectual Property rights relating thereto. Copyright law and international copyright treaty provisions protect all parts of Net Control 2 software and services. No program,

code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of the single user program. All rights not expressly granted hereunder are reserved. 3.6 Limitation of Responsibility SOFTWARE IS PROVIDED TO YOU "AS-IS", AUTHOR AND/OR COPYRIGHT HOLDERS DISCLAIMS ANY WARRANTY OR LIABILITY OBLIGATIONS TO YOU OF ANY KIND. You will indemnify, hold harmless, and defend authors of the software, its agents and distributors against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of the Software. 3.7 Termination - Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of the Software and destroy all copies of the Software supplied under this Agreement. The financial obligations incurred by you shall survive the expiration or termination of this license. 4. Registration Registration means purchasing Registered Users license as described in p. 3.2 of this Agreement, and for continue use of the Software after evaluation period. To register the Software you need to contact Author or the nearest authorized reseller/distributor of the Software. Additional provisions. You can use this software on any territory of the world. Registered users of the Software can use the Software within 50 years since date of concluding of this Agreement.
