CONSTITUTION AND BY-LAWS Lapu-Lapu City Public School Teachers and Division Employees Association (LCPSTDEA)

ARTICLE I. Section 1.

NAME The name of this organization shall be the Lapu-Lapu City Public School Teachers and Division Employees Association, in short, LCPSTDEA.

STATUS AND SCOPE The Association shall exist and function throughout the year. All duly elected officials and standing committees shall function accordingly. All regular and optional members shall be entitled to the privileges granted by the Association. The Association shall have a set of officers in the Division Office, and in the elementary & secondary units.

ARTICLE III. Section 1.

OBJECTIVES The objectives of this Association shall be to advance the interest and promote the welfare of the Lapu-Lapu City Public School Teachers and Division Employees in particular, and the teachers of the Philippines in general. Specifically, the Association shall seek to: a. Advance the cause of education as an agency for Filipino nationalism and promote the principles of the United Nations Educational, Scientific and Cultural Organization (UNESCO). b. Keep its members in close touch with one another. c. Help the members implement the program of the government and assist/coordinate with NGOs.

MEMBERSHIP The word Member refers to any employee as defined in Sections 2 &3. The word Teacher as used in this Constitution and By Laws refers to any person in the classified civil service who is an employee under the Department of Education. The word Division Employee refers to any person employed in the Division of Lapu-Lapu City as further defined in the following subsections: a. Regular Members 1. Permanent and provisional teacher of Lapu-Lapu City 2. Dentist, doctor, nurse, clerk and other division personnel in the City of Lapu-Lapu 3. School utility worker in the City of Lapu-Lapu

b. Optional Members 1. All teachers and division employees who have retired or who are temporarily incapacitated to perform their regular duties are still bonafide members, if they so desire. Formal application shall be filed by the retiree to the Committee on Membership and Records which will approve or disapprove the said application. 2. All members who shall retire during the year are considered members until the end of the long vacation and shall be exempted from paying all dues after retirement. 3. A provisional substitute teacher in the City of Lapu-Lapu during his/her period of service anytime of the school year. Section 3. Any employee or person who qualified in any of the above qualifications shall become a member only after payment of his/her membership in accordance with the provision of the Constitution and By-Laws. Any member who is no longer employed in the Division of Lapu-Lapu City other than retirement ceases to be a member. DUES AND PRIVILEGES Every member shall pay a monthly fee of P10.00 for operational expenses which shall be paid to the local school treasurer at the end of the school year and to be remitted to the LCSPTDEA Treasurer. This comprises the Annual Fee of Php120.00 Every new member shall pay the membership fee of P100.00. Incidental expenses relative to meetings and to local and national assemblies and trainings shall be charged to this membership fee. Every member even while on leave shall pay the required monthly dues, contributions and aids and shall also be entitled to all the privileges. All aids, dues and contributions should be paid to the LCSPTDEA treasurer within the prescribed period.

Every member is entitled to the following: a. One hundred percent (100%) return of investment in the form of paid annual fees will be given upon retirement. b. Every member shall give a contribution of Php10.00 as an accident/sick aid to a fellow member upon approval of the Board of Directors. A member is entitled to this aid only once in a year. c. Every member shall give an amount of Php20.00 as a death aid to the family of a deceased member. The death aid is given to both active and retired LCPSTDEA members. In the event that the full amount for the accident/sick aid and death aid cannot be collected on time, full amount will be taken from the Annual Fee. This amount will be replenished as soon as the collection is completed. In case of death of a member, the Association shall give immediately the following benefits to be derived from the annual fee (except for letter a): a. Cash upon notice (As stated in Sec. 5c) b. Wreath d. Necrological Services c. Vigil Services e. Attendance in burial whenever possible a. The Association shall also lead an active function in moral support in administrative, civil, and/or criminal cases relevant to his/her duties. The support maybe given only after the following conditions are met:

-31. The member concerned shall inform the President in writing regarding the case within a period of 30 calendar days from the time the incident took place. 2. The President shall then activate the Board of Inquiry and Legal Matters who will study carefully the merits and demerits of the case. 3. The Committee or Board of Inquiry and Legal Matters shall render a written report to the Board of Directors through the President who will conduct a special meeting for deliberations and record purposes. 4. The Board of Directors through plurality votes of members present shall be vested with power to decide the case, based on the following criteria: a) When he/she is not the aggressor. b) When the member is mentally sound when the incident took place. c) When the dignity and honor of the teaching profession as a whole is at stake.
b. The Association shall keep a Hands Off Policy in administrative, civil and/or criminal cases when both opposing parties involved are active members of the Association other than amicable settlement or arrangement, as provided for by the Constitution and By-Laws. The Committee on Inquiry and Legal Matters shall be vested with the power to summon the opposing parties for amicable settlement, as provided for by the Constitution and By-Laws.

ATTENDANCE IN MEETINGS A member shall have the right to attend all meetings of the Association and participate in the discussion and shall have the power to vote. Members of the Board of Directors shall attend all regular and special meetings of the Board and General Assembly. Members of the Committee shall attend all committee meetings duly called by the Chairman. Principals, Head Teachers, Teachers In - Charge of Schools and the Administrative Officer may devise their own system of checking the attendance of their members during meetings and immediately submit to the LCSPTDEA secretary a list of members present and members who left the meeting earlier stating their reasons for doing so.

ARTICLE VII. Section 1.

BOARD OF DIRECTORS COMPOSITION AND DUTIES The Board of Directors shall be composed of: a. The duly elected officers of the Association. b. -4Section 2. Section 3. The affairs of the Association shall be managed by the Board of Directors. It shall be the duty of the Board of Directors to execute all policies of the Association. The Board of Directors shall be empowered to decide on the merits or demerits of a case based on the findings of the Committee on Inquiry and Legal Matters, Committee on Benefits and Aids and other committees as provided herein. The Board of Directors shall legislate on the matters not explicitly assigned to the General Assembly. The Board of Directors shall have the power to decide on any general policy derived from the administration.

ARTICLE VIII. THE GENERAL ASSEMBLY Section 1. The General Assembly shall have the power to legislate during regular and special meetings. The General Assembly shall be composed of all members and advisers of the Association.

OFFICERS The officers of the association shall be a president, a vice president, first secretary (recording and releasing), second secretary (correspondence), a treasurer, an auditor, Press Relations Officers (Press, Public and Liaison) and board members. The Incumbent Officers shall hold office until successors have been elected and qualified.

ELECTION All officers shall be elected at large from and by the General Assembly except representative members from local units. All officers shall be elected for the term of two (2) years each, and shall be eligible for reelection. No officer can serve for more than 2 consecutive terms for the same office, except as representative members from local units. However, after an intervening term he or she is eligible for any position. Election of officers shall be on the 2nd month before the end of the term. The election shall be conducted by secret balloting. No candidate shall be nominated to more than one office. In case a member is nominated for more than one office he/she shall exercise his/her option or choice.

-5Section 6. The election of the representative members shall be done immediately after the annual election of the General Assembly but not beyond one week thereof. Any member may file his/her certificate of candidacy for any position before the Committee on Election a week before such election. If in case no regular member will file for a certificate of candidacy for any position prior to the election, the regular members will nominate possible officers. After which those nominated will file a certificate of candidacy. Election of representative members shall be held in their respective places of work. The manner of election of the representative members shall be delegated to each unit. GENERAL PROVISIONS The Association shall have a regular and supplementary budget which shall be allocated in the manner herein after provided for by the By-Laws. The City Mayor or the Schools Division Superintendent of Lapu-Lapu City or any person authorized by law to administer oath shall administer the oath of office for the newly elected officers, as provided for by the ByLaws. Any elected officer shall be eligible to participate and vote in the discussions only after he has taken his oath of office, as provided for in the preceding section. The Association shall have its own internal rules of conducting meetings as provided for by the By-Laws. The fund of the Association shall not be lent and loaned to any entity or person for any reason. Induction ceremonies of LCPSTDEA officers shall be simple, solemn and expenses of which shall be determined by the Board of Directors.

AMENDMENTS

This Constitution and By-Laws of the Association shall be amended only during meetings called for such purpose. BY-LAWS ARTICLE I. MEETINGS OF THE GENERAL ASSEMBLY

Section 1.

The annual meeting of the Association shall be held in the 3rd month of each school year. Special meetings of the Association shall be called by the President as he deems it necessary.

-6Section 3. All meetings shall be held at the DepEd office, unless otherwise ordered by the President with the consent of the Board. Every member of the Association, either regular or optional, is duty bound to attend the annual and all other meetings and to take part in the discussion and is entitled to vote. MEETINGS OF THE BOARD OF DIRECTORS The regular meeting of the Board of Directors shall be once every three (3) months, that is at the end of the quarter. Special meetings of the Board of Directors shall be called by the President as he deems it necessary or upon written request by two or more members. All Board Members must attend all meetings of the Board and of the General Assembly. Simple Majority shall constitute a quorum of the Board and of the General Assembly. The order of business at regular and special meetings of the board shall be: a. Calling the roll or checking of attendance by the Secretary in the manner provided for in the Constitution and By Laws. b. Reading of the minutes of the previous meeting c. Unfinished business d. Treasurer s report e. Reports from other committees f. New business ARTICLE III. VACATED POSITIONS

If the position of any officer or member of the Board, Committee Chairman and members become vacant by reason of death, resignation, disqualification, transfer, etc., the Board of Directors within 30 days after the vacancy occurs shall decide by simple majority vote of members present, the successor who shall hold office for the unexpired term. ARTICLE IV. Section 1. COMMITTEES All Chairpersons and members of the different committees of the Association shall be appointed by the President with the approval of the Board. All committees shall include in their membership at least one (1) member of the Board of Directors. Specifically, the Association shall have the following standing committees:

The President may create additional committee from time to time when the need arises. COMPOSITION OF COMMITTEE MEMBERS The Committee on Elections shall be composed of ten (10) members representing the 5 units of the Association who shall be appointed prior to the annual election, as provided for by Section 1, Article IV of the By Laws. The Budget Committee shall be composed of five (5) regular members, to wit: a. The Chairman shall be any regular member from the General Association. b. The LCPSTDEA Treasurer and the LCSPTDEA Auditor shall become automatic members. c. The remaining two (2) shall be from the regular members other than Board Members.

The Committee on Inquiry and Legal Matters shall be composed of seven (7) members, sitting en banc during the deliberations, as further required: a. Three (3) from the Board of Directors b. Four (4) from regular members other than the Board of Directors c. Members of said committee shall elect from among themselves the chairman for a specific case.

The Socio Cultural, Professional Growth and Library Mgt. Committee shall be composed of seven (7) members to wit: The two members from the Board of Directors. The remaining five (5) members shall be appointed by the President representing the five units. The Committee on Ways and Means shall be composed of (11) eleven members: a. Five (5) members, chairman of which is appointed by the President from the members of the Board of Directors. b. The treasurer of the LCPSTDEA and the five (5) unit treasurers are automatic members.

The Committee on Benefits and Aids shall be composed of six (6) members as further specified.

-8a. The Vice President shall be the chairman, the remaining members shall be the Presidents of the five units. Section 7. The Membership and Records Committee shall be composed of seven (7) members to wit: a. The two secretaries of the association. b. The five (5) secretaries of the local units are automatic members. Section 8. The Committee on Amendments shall be composed of all members of the board. The chairman of which shall be elected by the committee. FUNCTIONS OF COMMITTEES The Committee on Election shall be empowered to: a. Promulgate election rules that will govern election proceedings patterned after the rules issued by the Commission on Elections unless contrary to the provision of the Constitution. b. Conduct the election which shall be done by secret balloting. c. In case of tie, devises its own method of breaking the tie. d. In case of dispute arising from the election not specifically covered by existing election laws, adopt its own measure in solving such problems. The decision of the Committee on Elections regarding election matters shall be final and binding to all members of the Association. e. Proclaim the winners within two (2) days immediately after the election. f. Designate the place, date and time for the Oath Taking of newly elected officers within two weeks immediately following the proclamation of winners. g. Contact or inform in writing the inducting officer regarding the affair. h. Produce election forms such as certificate of candidacy, ballots, etc. Section 2. The Committee on Inquiry and Legal Matters shall be empowered to: a. Investigate and study carefully all cases assigned to them as provided for herein by the Constitution and By-Laws. b. Give research and provide moral support in the disposition of legal queries. c. Report in writing to the Board their findings and recommendations on all cases assigned. Section 3. The Budget Committee shall be empowered to: a. Prepare the regular budget of the association preferably within one week after appointment into office and submit the same to the Board of Directors through the President in a meeting called for the purpose, for discussion and approval. In the preparation of the regular and supplementary budgets of the Association, the Budget Committee, as recommended by the Board, may adopt the following guideposts:

b. Suspend immediately all expenses which will jeopardizes the financial state of the Association, authorize payments of such and when funds become available. c. Require the treasurer to supply in writing the Members of the Budget Committee and the Board of Directors a financial statement of the association every regular meeting of the Board. Section 4. The Committee on Socio Cultural, Professional Growth and Library Management shall be empowered to: a. Take charge of all social activities of the association. b. Plan out for honoring the retirees and members promoted in the association. c. Upgrade the competencies of the members of the Association in line with the duties. d. Recommend to the Board of Directors appropriate books, pamphlets, magazines to be purchased for the Association. Section 5. The Committee on Ways and Means shall be empowered to: a. Raise funds for the Association b. Negotiate and look for solutions of LCSPTDFEA PROBLEMS not specifically assigned to other committees. c. Provide for adequate and comfortable accommodations for Board and Assembly Meetings. Section 6. The Membership and Records Committee shall be empowered to: a. Campaign for members. b. Devise systematic processing of membership papers. c. Keep records systematically. Section 7. The Committee on Amendments is empowered to: a. Propose amendments on certain sections of the Constitution and ByLaws. b. Take note on sections in the Constitution and By-Laws to be amended as suggested by the Board of Directors. c. Report to the Board of Directors for discussion of amendments. d. Report to the General Assembly the proposed amendments for approval. e. Furnish all members copy of the approval Constitution and By-Laws of the Association.

-10Section 8. The Committee on benefits and Aids shall be empowered to: a. Work for the release of the death aid cash immediately upon notice by the beneficiary. b. Buy LCSPTDEA wreath for the deceased member and the cost of which shall be taken from the general fund. c. Prepare schedule for the vigil and necrological services. ARTICLE VIII. DUTIES OF OFFICERS Section 1. The President shall do the following: a. Call every meeting through the Secretary and preside over the meeting, and his vote will decide all questions that will result in a tie. b. Preserve order and defend the rights and prerogatives of the members. c. Order all payments authorized by the Association through the Board of Directors. d. See to it that the Constitution and By-Laws and all the resolutions of the General Assembly, Board of Directors, and the different committees are strictly complied with. e. Designate anybody from the Board of Directors as temporary committee officer. f. Create additional committees and appoint their corresponding members and chairman as embodied in the Constitution. g. Act as one of the signatories of the money to be deposited in a designated bank. Section 2. The Vice President shall take the place of the President in case of the latter s absence, illness or temporary inability to hold office and shall have in such cases the powers and obligations of the President. He shall act as chairman at large for the Committee on Benefits and Aids. In case of permanent assumption of the post as President, he shall relinquish his post as chairman for the Committee on Benefits and Aids. The Secretaries shall be First Secretary for Recording and Releasing and Second Secretary for Correspondence. Their duties and responsibilities are: a. Recording Secretary 1. To act as Secretary of the Board of Directors and of the General Assembly and prepare the minutes of every meeting. 2. To keep all the records of the Association. 3. To assume the duties of the President and Vice President in the absence of both, and shall have, in such cases, the powers and obligations of the President. b. Correspondence Secretary 1. To furnish the advisers ( in writing) a copy of all the minutes of the meetings of the Board of Directors and the General Assembly. 2. To inform all members, through their unit presidents, about the activities of the Association. 3. In the absence of the Recording Secretary, the Secretary of Correspondence can assume her place and vice versa.

-11Section 4. The Treasurer shall have the following duties and responsibilities: a. To keep all funds of the Association and all the account books necessary for the purpose. b. To collect, through the respective unit treasurers, all the necessary authorized aids, fees, dues, and contributions and deposit in the bank funds of the Association. c. To keep a register or book showing the names of all members of the Association with their respective payments of aids, fees, dues and contributions. d. To act as custodian of all properties belonging to the Association and shall have a record book showing all items bought and owned by the Association. e. To lend out any property of the Association as authorized by the Board through the President only after it is properly receipted, and to recall the same when not returned after a reasonable lapse of time. f. To disburse money only when duly verified by the auditor and approved by the President in accordance with the budget. g. To require proper accounting of expenses from committees or persons concerned; said report on expenses shall be written. h. The Treasurer shall submit in writing to the Board the properly audited financial statement of the Association two (2) weeks before the election. Section 5. The Auditor shall examine and audit the books and records of the Association from time to time and submit in writing to the Board of Directors, through the President his reports and recommendations. The Press Relations Officers of the Association shall be empowered to attend in all committee meetings. a. The PROS shall be responsible for all the necessary publicity about the Association and its activities. b. The PROS shall serve as members of Committee on Amendments. Section 7. The Board of Directors shall: a. Prescribe the Book Records to be kept by the Secretary and Treasurer and the fundamental policies that the latter shall observe in connection with his/her work. b. Have supervision of the management of the Association. c. Have the power to discipline and or dismiss an officer for incompetence, neglect, malfeasance, misfeasance or non-feasance in office as provided for in the Constitution and By-Laws. d. Have the power to discipline any member of the Association who is guilty of gross violation of the Constitution and By-Laws. e. Execute the general policies promulgated by the General Assembly. f. Legislate on matters, such as financial, social, civic, and other matters not explicitly assigned to the General Assembly in accordance with exigency.

-12ARTICLE VIII. ADVISERS Section 1. The Schools Division Superintendent shall be the adviser of the Association. The Adviser may advise the officers on matters that shall enhance the success of the Association. The Adviser may attend meetings of the General Assembly or of the Board of Directors and may participate in the discussion but shall have no vote. The adviser may prepare their statements of recommendations through the President and should be included in the agenda of the President.

ARTICLE IX. Section 1.

PENALTIES Any member who fails to give aids, dues and contributions after three (3) proper notifications by the treasurer of the Association shall be subjected to appropriate sanctions by the Board. In case of conduct unbecoming of good members during meetings and social activities sponsored by the association, the Board of Directors through The Board of Inquiry and Legal Matters upon receipt of a written report from any member properly subscribed and sworn to shall prove the merits and demerits of the case, the Board of Directors through plurality votes shall decide to withdraw all privileges due to the offending member for a stipulated period agreed upon by the Board of Directors. Any member not authorized by this Constitution and By-Laws who shall collect and disburse personally any amount due to the association shall be dropped from the roll of the Association. Any duly elected and appointed officer of the Association who shall fail to attend meetings without justified cause after the third time within the year shall be dropped from the list of officers of this Association. Any duly elected and appointed officer of the Association who shall fail to perform his duties either by negligence or physical disability shall be dropped from the list of officers of this Association. If the President fails to call an election within the specified date as provided herein within the Constitution he/she shall be considered dropped from the list of officers by the Board of Directors and the Vice President shall immediately assume office as President of the Association. If the Vice President fails to perform his duties either by negligence or physical disability, any member from the Board of Directors can call a meeting for an election.

ARTICLE X. Section 1.

GENERAL PROVISIONS The Association shall adopt the Robert s Rules and Order and Parliamentary Ruling by Antonio Orendain, in all its meetings.

-13Section 2. All funds of the Association shall be deposited in the bank with the name of the President and the Treasurer as signatories c/o LCSPTDEA.

ARTICLE XI. Section 1.
