First Party M/s Online Distribution LLC.

Second Party M/s ABR Emirates International

1. 2nd party will receive the service request calls during working hours (9AM 6PM) in working days only either by Tel. OR Email. 2. There is no regular site visit by 2nd party. 2nd partys support will be through online only, if it is necessary to visit the 1st partys site, then only engineers will visit the site & it is limited for 1 time per month. If any additional visit required in the same month there 2nd party can charge 350/- per visit. 3. Online technical support is limited 5 times in a month, If any additional online support requested will be charged AED 150/- per incident 4. Any data entry mistakes will not consider under this agreement & will be treated separately. 5. Further main modifications or additional modules, Reports apart from the existing Software will be considered as separate requirements and will be charged based on the requirement and must be working without problem. 6. If any software problem occurred because of computer virus / hardware / network / Operating System error is not considerable under this agreement 7. If Server having any Problem, it is the responsibility of 1st party to fix. The 2nd party will do the reinstallation of the software and reload the backup data once in a year free of charge and if more than one time 1st party have to pay the Dhs. 500 per Installation. 8. This AMC will cover the server software & 4 client software only. If any new server / client software installation will be separate requirement. 9. First party having the responsibility to keep the frequent backup of the data any loss of data by mishandling will not cover under this AMC. 10. Both parties having the right to terminate the agreement without any intimation, if any one of them failed to follow the Terms and Conditions. 11. The AMC period will be for 12 months from the date of agreement. Payment Terms : 1. 50% Advance & 50% 45 Days PDC With Confirmation Please dont hesitate to contact us for further clarifications.
