Code of Conduct Statement

This code is a model of the behaviours' and work standards we will demonstrate to support the organizational purpose, values and culture. The code applies to all employees, including permanent, temporary, casual, part-time and contractors.

Safety
We are involved in the promotion and improvement of workplace and community safety and we:

Ensure that the health, safety and welfare of customers, the public, co-workers and ourselves are not endangered as a result of our conduct at work. Overview
Cabac designs, manufacturers, imports and distributes an extensive range of products to the electrical industry. Cabac sells and promotes its products via a large network of electrical wholesale organisations that service the electrical trades, data communications, domestic and commercial building industry, power utility companies, domestic and commercial power infrastructure. The products includes electrical connectors, cables, tools, test and measurement instruments, structured wiring systems, copper and fibre connectivity, high and low voltage power connectivity products, network cabling infrastructure, home networking and media distribution systems, networking hardware and PC peripherals. Cabac's mission is to strive for excellence in providing the best quality products, service and support to customers. A next day delivery service is available throughout Australia for the majority of orders.

Legend Performance Technology's distribution operations service the IT industry. The product range comprises of an extensive range of DRAM and Flash based memory modules that are utilised in a range of applications such as desktop and notebook computers, servers, printers, photocopiers and mobile phones. It also incorporates a wide range of IT products for Data rooms such as Enclosures, UPS, PDUs and Patch Panels for system integrators. Legend Performance Technology is also a master distributor for Hitachi storage solutions. The comprehensive product range enables the company to service market segments that include OEM (Original Equipment Manufacturers - computer manufacturers), VAR (Value Added Resellers of computers) and specialist retailers operating in photographic, communications and recreational industries. The engineering and manufacturing operations are now managed by the subsidiary company Hendon Semiconductors.

Hendon Semiconductors design and manufacture unique integrated circuits (IC), thick film hybrids and printed circuit board module assemblies. Hendon Semiconductors. products are used in the automotive and medical industries and are also employed in both commercial and domestic appliances, including kettles, irons, hair dryers and fry pans. Hendon Semiconductors provide a range of engineering support services to assist with the integration of IC and to optimise the end products. capabilities. Hendon Semiconductors provide reference designs and ancillary test and calibration solutions. The design team and the automated surface mount electronics (PCB assembly) production facility is based in Hendon (Adelaide). Hendon Semiconductors is a 'fab-less' semiconductor company. Silicon wafer fabrication, wire bonding and encapsulation processes that are provided by a number of technology partners throughout Asia. Specialisation One key area of expertise is thermostatic control and management of mains operated heating and cooling appliances, where up-to-date multi-point sensing and electronic control can bring a wide range of operational advantages to the appliances. This application is widely used in commercial refrigeration, drink coolers, water heating and boiling units. In the domestic area, it is used in electric irons, rice cookers and frypans, and in the personal product area, in hair styling tools, such as hair straighteners and hair dryers.

Cabac Power specialises in Engineering Solutions for Australian Utilities such as Power, Water and Transport. Cabac Powers unique blend of Engineering, Design, Manufacturing facilities and Certified NATA laboratories makes it ideally placed to develop customer specific power conductivity solutions. Cabac Power sells and promotes its products via a large network of electrical wholesale organisations that service the power utility companies, domestic and commercial power infrastructure. The products include electrical connectors, cables and low voltage power

connectivity products. Cabac Power's mission is to strive for excellence in providing the best quality products, service and support to customers specific and unique engineering requirements in relation to low voltage power connectivity products. Legend Defence Industries Division was formed with the express purpose of providing the Australian Defence Force with advanced Australian engineering solutions. Legend's state of the art design and manufacturing capabilities as well as the wisdom, experience and professionalism of the management team provides the ADF and government with a valuable Australian supplier to defence and the defence industry. Legend has a strong background in supporting complex defence systems. With over 30 years experience in advanced electronics manufacture, Legend has been integral in delivering some of the ADF's most advanced systems. Legend has designed and manufactured components of the Collins Class submarine towed array - Kirawara, Nulka the hovering decoy rocket, Barra sonobuoys, the Mulloka on board ships sonar and many other sensors and devices for defence. Legend Defence Industries' expertise originate from both operational and industry experience in providing complex systems engineering, design, manufacture and management solutions to the defence, medical, automotive, aerospace, rail, and power based industries. Based in Hendon Adelaide, Legend Defence Industries mission is to grow the defence support capabilities of Legend Corporation through acquisition of and supply to the ADF and the defence industry of solutions to meet defence needs and capability. Corporate Governance
The Company's corporate governance policies and practices are outlined below. The Board of Directors The Company's Board of Directors is responsible for corporate governance of the Company. The Board develops strategies for the Company, reviews strategic objectives, and monitors performance against those objectives. The goals of the corporate governance process are to:

Drive shareholder value; Ensure a prudent and ethical base to the Company's conduct and activities; and Ensure compliance with the Company's legal and regulatory obligations.

Consistent with these goals, the Board assumes the following responsibilities:

Develop initiatives and identify opportunities for profit and asset growth; Reviewing the corporate, commercial and financial performance of the Company on a regular basis; Acting on behalf of, and being accountable to the Shareholders; Identifying business risks and implementing actions to manage those risks; Developing and effecting management and corporate systems to assure quality.

The Company is committed to the circulation of relevant materials to Directors in a timely manner to facilitate Director's participation in the Board discussions on a fully informed basis. Composition of the Board Election of Board members is substantially the province of the Shareholders in general meeting. However, subject thereto, the Company commits to the following principles:

The Board is to comprise of Directors with a blend of skills, experience and attributes appropriate for the Company and its business; and The principal criterion for the appointment of new Directors is their ability to add value to the Company and its business.

No separate nomination committee has been adopted, however the functions of such a committee involving the identification, appointment and review of the Board membership, are to be performed within the auspices of the full Board. Independent Professional Advice Subject to the Chairman's approval (not to be unreasonably withheld), the Directors, at the Company's expense, may obtain independent professional advice on issues arising in the course of their duties. Remuneration Arrangements The remuneration of an Executive Director will be decided by the Board, without the affected executive participating in that decision making process. The maximum remuneration of non-Executive Directors is the subject of a Shareholder resolution in accordance with the Company's Constitution, the Corporations Act and ASX Listing Rules, as applicable. The apportionment of non-Executive Directors remuneration within the maximum will be made by the Board having regard to the inputs and the value to the Company of the respective contribution by each non-Executive Director. The current limit, which may only be varied by shareholder at a General Meeting,is an aggregate amount of $400,000 per annum. The Board may award additional remuneration to non-Executive Directors called upon to perform extra services or make special exertions on behalf of the Company. External Audit

The Company in general meeting is responsible for the appointment of the external auditors of the Company, and the Board from time to time will review the scope, performance and fees of those external auditors. Audit and Risk Management Committee The Company has a separately constituted audit and risk management committee. The Board is committed to the establishment and maintenance of appropriate ethical standards to underpin the Company's operations and corporate practices.

Bruce Higgins

Chairman, Non Executive Director BEng, CPEng, MBA, FAICD Bruce is an experienced non executive director, chairman and former chief executive of both private and listed companies within Australia and internationally, spanning 25 years in diverse companies ranging from engineering, manufacturing and professional services to larger contracting businesses. Bruce was the recipient of Ernst & Young "Entrepreneur of the Year" award in the Southern California region-June 2005. Bruce currently serves as non executive chairman of Q Technology Group (ASX: QTG). Bruce is a member of the Audit and Risk Management Committee, Chairman of the Remuneration Committee and the Nominations Committee.
Brad R Dowe

Managing Director & CEO BSc (Computer Science) Brad is the founder and Chief Executive Officer of Legend and has been working in the field of computing and engineering for over 20 years. His experience covers all facets of electronics, engineering, product development, manufacturing processes and systems development and international business operations. Brad oversees the global management of the organisation. Brad is a member of the Legend Nomination Committee.
Ian Fraser

Non Executive Director FCPA, FAICD Ian was appointed as a Director in January 2008. He is

currently the non-executive Chairman of Forest Place Group Limited and a non-executive Director of Structural Systems Limited and PMP Limited. Ian has held several senior management positions including Managing Director of Pioneer Sugar Mills Limited, Clyde Industries Limited, Australian Chemical Holdings Limited and TNT Australia Pty Limited. Ian also has substantial international experience having lived and worked in South East Asia and the United States. Ian is the Chairman of the Audit and Risk Management Committee, and a member of the Remuneration Committee and the Nominations Committee.
Graham Seppelt

Company Secretary CPA Graham was appointed as company secretary on 18 January 2005. Graham is a Certified Practicing Accountant with 40 years' experience and has had wide exposure to a range of industries as a senior manager and contract accountant in corporate advisory roles. He is also the company secretary for BSA Limited, Mesbon China Nylon Limited, UXA Resources Limited and My ATM Holdings Limited.
