THE 2011 NAGA CITY ATHLETICS LEAGUE CONSTITUTION AND BY- LAWS

PREAMBLE We, the members of the Naga City Athletics League, imploring the aid of the Almighty God, in order to establish an alliance of all academic-athletic organizations within and beyond the City of Naga, shall promote the collective and individual rights and welfare of athletes, and foster closer and fruitful relationships among the different academic- athletic organizations through sportsmanship and discipline, freely bind ourselves in commitment to these ends and do hereby ordain and promulgate this Constitution and By-laws. ARTICLE I General Provisions Section 1. This document shall be called the Constitution and By-laws of the Naga City Athletics League. For purposes of brevity, it may be referred to as the NCAL Constitution or the Constitution. Section 2. The non-stock, non-profit private organization shall adopt the name of this organization is Naga City Athletic League otherwise known by the acronym of NCAL . Section 3. The NCAL shall be the official sports association for sports teams based in secondary or collegiate educational institutions within the City of Naga. Section 4. The NCAL main office shall be located at _______________________. Section 5. The NCAL shall have an official seal and motto. ARTICLE II Declaration of Objectives and Principles Section 1. The objectives of this League are as follows: (a) Instruct, motivate, and improve athletics programs for secondary and collegiate students in the promotion and development of organizational leadership, physical fitness, sports excellence and participation as a recreational pursuit; (b) Further develop athletic potentials through complementary programs conducted; (c) Encourage members to embody athletic discipline and character through sportsmanship and amateurism; (d) Provide a venue and link between the local and national sports associations for the furtherance of relationship strengthening and development by way of mutual aid and support; (e) Create a link and healthy relationship among the secondary and collegiate educational institutions within the City of Naga and the surrounding political divisions of the Camrines Sur Province; and (f) Make sports as one of the priority programs of the City Government of Naga together with the other Local Government Units of Camarines Sur. Section 2. In lieu of the objectives declared in this constitution, the League carries with it the following guiding principles:

(a) The NCAL believes that athletic programs provided for the student-athlete should form an integral part of his/her educational formation; (b) The NCAL believes that nondiscrimination of race, religion, political beliefs, gender and the like among members, as well as, cultural diversity within the various levels of the organization s structure should be a fundamental practice; (c) The NCAL believes in the responsibility to protect the health of and provide a safe environment for the student-athlete and other members of the organization; and (d) The NCAL believes that the relationship formed between individuals or within the team should be forged through sportsmanship shown in the values of equality, respect, and responsibility.

ARTICLE III Membership Section 1. The NCAL shall be composed of athletic teams based within secondary and collegiate educational institutions within the City of Naga referred to as regular members; however, athletic teams located outside the city are allowed to register and shall be referred to as affiliate members. Section 2. Applicants for membership are required to submit the following: (a) List containing the full names of team players, coach/es, and manager/s of the different sports; (b) Profile of the team and school/ university / college; Section 3. There shall be a membership fee in the amount of ______ Pesos (Php _______.00) for those applying for regular membership and _________ Pesos (Php _______.00) for those applying for affiliate membership. Section 4. All members of the NCAL shall not be required to renew their membership status; however, the requirements mentioned in this article shall be updated annually. Section 5. Membership and all rights arising therefrom are personal and non-transferable. Section 6. Members are allowed to withdraw their membership anytime provided that all obligations and duties required of them are fulfilled prior to the date of withdrawal. Section 7. Membership shall be terminated on the following grounds: (a) Habitual or gross neglect of performance of duty required of members; (b) Gross misconduct that undermines the integrity of the organization; (c) Gross disrespect to any member or officer of the organization; (d) Grave abuse of discretion; (e) Malversation of NCAL funds; (f) Fraud; (g) Deliberate infraction or offense against the provisions set out by this constitution, policies set by the board of trustees, and/or internal rules.

Enjoyment of rights, and privileges offered by the organization shall be extinguished upon the termination of membership. All properties and/or assets of the organization enjoyed and/ or in possession of the terminated member must be returned within twenty-four (24) hours from the date of the notice termination. ARTICLE IV Board of Trustees Section 1. General Powers. The business and affairs of the NCAL shall be managed by its Board of Trustees. Section 2. Number, Term, and Qualifications. The Number of Trustees constituting the Board shall be no less than seven (7) and no more than fifteen (15). Form the date of organization, the tenure of one- third (1/3) of the members shall expire every year, and a subsequent election of trustees comprising one-third (1/3) of the board of trustees shall be held annually and trustees so elected shall a term of three (3) years. Trustees thereafter elected to fill vacancies occurring before the expiration of a particular term shall hold office only for the unexpired term. A trustee must be a member of the organization and a resident of the Philippines. Section 3. Election of Trustees. The Trustees shall be elected by the majority votes of organizational members; and those persons who receive the highest number of votes at a meeting at which a quorum is present shall be deemed to have been elected. If any member so demands, the election of trustees shall be by ballot. No person shall be elected unless he/ she is a member of the organization. Section 4. Removal. Any trustee may be removed by two-thirds (2/3) vote of the members at any time without cause; provided: That it may not deprive the members the right of representation. Such removal shall take place at a regular or special meeting called for the purpose with prior notice to the members in the intention to propose such removal at the meeting. Moreover, a notice of the time and place of such meeting, as well as the intention of removal, must be given by written notice as prescribed by the Corporation Code of the Philippines. Any act or omission of the grounds for termination mentioned in Article III of this Constitution shall also apply. Section 5. Vacancies. Any vacancy occurring in the elected trustee may be filed by the affirmative vote of a majority of the remaining trustees provided there is a quorum; otherwise, said vacancies must be filled by the members in a regular or special meeting called for that purpose. A trustee elected to fill a vacancy shall be elected for the unexpired term of his predecessor in office. Section 6. The Chairman. There may be a Chairman of the Board elected by the trustees form their number at any meeting of the Board. In the absence of a Chairman, the President shall

preside at all meetings of the Board of Trustees and perform such other duties as may be directed by the Board. ARTICLE VIII Meetings of the Board of Trustees Section 1. Regular Meetings. The regular meeting of the Board of Trustees shall be held annually at the ________________, Naga City or at such place as the Board may designate. In addition, the Board of Trustees may provide, by resolution and notice, the time and place, anywhere in the Philippines for the holding of additional regular meetings. Section 2. Special Meetings. Special meetings of the Board of Trustees may be called or at the request of the President or any trustee. Such a meeting may be held either within or outside the City of Naga, as set by the person or persons calling the meeting. Section 3. Notice of Meetings. Regular meetings of the Board of Trustees may be held without notice. The person or persons calling a special meeting of the Board of Trustees shall, at least ten days before the meeting, give written notice thereof delivered personally or sent by mail to each trustee at his address as shown by the records of the NCAL. Such notice need not specify the purpose for which the meeting is called. Section 4. Waiver of Notice. Any trustee may waive notice of any meeting. The attendance by a trustee at a meeting shall constitute a waiver of notice of such meeting, except where a trustee attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Section 5. Quorum. A majority of the members of the Board of Trustees shall constitute a quorum for the transaction at any meeting of the Board of Trustees. Section 6. Manner of Acting. Except otherwise provided in these bylaws, the act of the majority of the trustees present at a meeting at which a quorum is present shall be the act of the Board of Turstees. Section 7. Presumption of Assent. A trustee of the league who is present at a meeting of the Board of Trustees at which action on any matter of the NCAL is taken shall be presumed to have assented to the action taken unless his contrary vote is recorded or his dissent is otherwise entered in the minutes of the meeting or unless he shall file his written dissent to such action with the person acting as the secretary of the meeting before the adjournment thereof or shall forward such dissent by registered mail to the Secretary of the NCAL immediately after the adjournment of the meeting. Such right to dissent shall not apply to a trustee who voted in favor of such action. Section 8. Informal Action by Trustees. Action taken by a majority of the trustees without a meeting is nevertheless Board action if written consent to the action in question is signed by all the trustees and filed with the minutes of the proceedings of the Board, whether done before or after the action so taken.

Section 9. Committees of the Trustees. The Board of Trustees, by resolution adopted by a majority of the trustees, present at a meeting at which quorum is present, may designate trustees to constitute an Executive Committee and other committees, each of which to the extent authorized by law and provided in such resolution, shall have ant may exercise all of the authority of the Board of Trustees in the management of the organiztion. The designation of any committee and the delegation thereto of authority shall not operate to relieve the Board of Trustees, or any member thereof, of any responsibility or liability imposed upon it or him by law.

ARTICLE V Executive Committee Section 1. The Executive Committee. The Executive Committee shall be composed of the following officers: (a) President (b) Vice-President (c) Secretary General Section 2. Term and Functions. The members of the Executive Committee shall serve for one (1) year and shall manage all businesses, transactions, and other concerns of the NCAL and shall have the following respective terms and functions: 2.1 The President. The president shall have the following duties and functions: (a) Call and preside in all meetings of the NCAL executive committee; (b) Give the final approval of all the activities, projects, programs, communication, budget and other related matters; (a) Represent the NCAL in his/ her official capacity on occasions, events, and affairs where the NCAL needs representing; (b) Create departments or other committees for a more efficient and effective management of the NCAL; (c) Exercise general supervision over all activities of the NCAL incidental to the discharge of the functions of his/ her office; (d) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of his/ her office. 2.2 The Vice-President. The vice-president shall have the following duties and functions: (a) Assist the president in the supervision and coordination of the affairs and activities of the NCAL; (b) Take over the functions of the president whenever his/her office is vacant by reason of his/ her resignations, removal from office, suspension, absence, or physical or mental incapacity; (c) Serve as convener of the committees mentioned in the preceding article; (d) Create departments or other committees for a more efficient and effective management of the NCAL;

(e) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of his/ her office. 2.3 The Secretary General. The Secretary General shall have the following duties and functions: (a) Keep minutes and records of all proceedings of the NCAL; (b) Prepare and file all communications of the NCAL; (c) Submit monthly reports of the state of the NCAL to the Mayor s Office, Sports Council, NCAL Board of Trustees, President, and other concerned offices; (d) Coordinate with the City Information Officer of all communications and related matters; (e) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of his/ her office; (f) Create departments or other committees for a more efficient and effective management of the NCAL;

ARTICLE V Committees Section 1. The NCAL shall have the following committees handling specific duties and functions for the efficient and effective discharge and performance of the objectives and principles of the League: (a) Committee on Finance (b) Committee on Games and Tournaments (c) Disciplinary Committee (d) Committee on Recognition and Accreditation (e) Committee on Rules and Regulations Section 2. Duties and Functions. The committees shall have the following duties and functions: 2.3 Committee on Finance. The Committee on Finance shall have the following duties and functions: (a) Prepare and present the annual budget of the NCAL to the executive committee for approval; (b) Handle and manage all incoming and outgoing financial transactions of the NCAL; (c) Prepare and submit a monthly financial report to the City Mayor s Office, and the NCAL Board of Trustees, NCAL President, and Secretary General; (d) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of the committee; 2.3 Committee on Games and Tournaments. The Committee on Games and Tournaments shall have the following duties and functions: (a) Prepare and present the procedures and plans for the games and tournaments of the NCAL to the executive committee for approval; (b) Handle and manage all games and tournaments of the NCAL; (c) Provide trainings, seminars and workshops for improvement of members of the NCAL;

(d) Prepare and coordinate communications to the different members of the NCAL; (e) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of the committee; 2.3 Disciplinary Committee. The Disciplinary Committee shall have the following duties and functions: (a) Handle and render judgment by due process on all complaints, protests, violations, and infractions filed by a member/s against an individual or a team, or any officer of the NCAL; (b) Prepare and submit a report containing all the findings and judgment on cases to the City Mayor s Office, and the NCAL Board of Trustees, NCAL President and Secretary General; (c) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of the committee; 2.4 Committee on Recognition and Accreditation. The Committee on Recognition and Accreditation shall have the following duties and functions: (a) Receive and process all membership applications and accreditation of academic teams and or athletic organizations based within educational institutions; (b) Prepare and submit an annual report of the all the applicants to the City Mayor s Office, and the NCAL Board of Trustees, President and Secretary General; (c) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of the committee; 2.5 Committee on Rules and Regulations. The Committee on Rules and Regulations shall have the following duties and functions: (a) Create and provide the NCAL s internal and external procedures, and rules and regulations to be reviewed by the executive committee and duly signed and approved by the NCAL Chairperson; (b) Prepare and furnish copies of the procedures and rules and regulations to the NCAL members, City Mayor s Office, NCAL Board of Trustees, NCAL President and Secretary General; (c) Perform such other functions and duties as may be necessary to the discharge and performance of the functions of the committee; ARTICLE VI Bill of Rights Section 1. The NCAL members shall have the following rights: (a) Be represented in all governing boards and policy making-bodies of the NCAL; (b) Be guaranteed of the democratic rights including but no limited to the following: i) Be protected from any improper disclosure; ii) Right to freely utter whatever one pleases without previous restraint, and to be protected against any responsibility for so doing as long as it does not violate another person s rights;

Be informed and be consulted on any affair or matter which directly and indirectly affects them and on any change in existing policies and systems; and Vote and be voted for as an officer of NCAL if qualified.

(c) Regular members are given 2 counts per vote while affiliated members are given 1 count per vote. (d) Due Process: i) The right to counsel; ii) The right to written notice of the charges and reasonable time within which to answer them; iii) The right to a hearing which shall include the right to present his own case and present bodies of evidence in support thereof; iv) The right to an impartial body that shall hear and determine his case and must consider the evidence presented; v) The right to appeal. (e) Be clearly informed and have access to all official records, policies, and regulations which directly and indirectly affects them. (f) Be free from any form of unreasonable searches and seizures. Section 2. All members shall also have the right to participate and support activities, projects and programs of the NCAL. Section 3. Utilize any property of the NCAL in the performance of duties and/or for practices, activities, and programs related to the objectives and principles of the NCAL. Section3. Every member shall have the right to initiate and recall against his/ her officers and representatives for any willful violation of the By-Laws. Section4. All rights and privileges of the member shall cease upon the termination of active membership in the NCAL.

ARTICLE VII Bill of Responsibilities Section1. Every member has the responsibility to: (a) Defend, promote, and protect his/her rights and welfare; (b) Exercise his/her right responsibility and with due regards for the rights of others; (c) Respect and religiously follow the NCAL policies, rules and regulations; (d) Helps engender an athletic atmosphere conducive to harmony among the members of the NCAL; (e) Attend and participate any and all activities of the NCAL; (f) Actively participate in the growth and development of the NCAL; (g) Perform his/her duties in the utmost and best manner; (h) Respect and support the ideals and principles of the NCAL;

(i) Practice due diligence in the usage of the properties of the NCAL.

ARTICLE IX Tournaments Section1. Affiliations. The NCAL will adopt the rules and regulations, as well as, the tournament processes of its national sports affiliations such as the Philippine Collegiate Champions League, Junior NBA Alaska, National Football Association, Samahang Basketball ng Pilipinas, and Philippine Taekwondo Association. Such rules and regulations are included in these NCAL Bylaws in the annex section; Section2. Rules and Regulations. In addition to the adopted rules and regulations from the NCAL affiliates, the League shall create necessary rules and regulations through the Committee on Rules and Regulations, provided that those additional provisions shall not be contrary to the law nor will it be in favor of a certain group of members. Section3. Tournament Date and Venue. The date and time of tournaments and games shall be decided upon by the Committee on Games and Tournaments provided it is duly authorized and approved by the Board of Directors. The official venues for the tournaments and games are the Naga City Civic Center, Naga City Coliseum, Naga City Gym, and the Naga City Sports Complex. Section4. Official Games. The NCAL shall have the following officially sponsored sports: basketball, badminton, cheer and dance, football, track and field, volleyball, swimming, and taekwondo. Any additional sports shall require the review and approval of the Board of Directors. ARTICLE X Finance Section 1. The sources of funding of the NCAL shall be but not limited to the following: (a) Membership Fee; (b) Revenues realized from donations and grants; and (c) Sponsorships Section 2. The Committee on Finance shall draft and submit the annual budget to the NCAL for review and approval. The budget shall include but are not limited to the following: (a) Games and tournaments organized; (b) Maintenance and other operating expenses; (c) Other activities of the NCAL; and (d) Trainings, seminars and other related services. Section 3. The Committee on Finance shall prepare the monthly report on the financial status and expenses incurred. Section 4. A Commission on Audit composed of five (5) Commissioners shall be formed to objectively examine and thoroughly verify all financial reports pertaining to the expenditures or

uses of the NCAL funds and property, and determine whether such funds and property were spent or used economically, honestly accounted for, and in conformity with the purpose of which they had been appropriated or intended. ARTICLE XI Benefits of Members Section 1. The regular members shall enjoy the following benefits: (a) Free usage and enjoyment of the properties of the NCAL, including rented properties, provided that such usage is in pursuance of the principles and objectives of the NCAL; (b) Enjoy sponsorship of their activities and programs; (c) Be given trainings and seminars on the various sports; and (d) Receive scholarships for their student-athletes. Section 2. The affiliated members shall enjoy the following benefits: (a) Usage of the properties of the NCAL, if the said property is rented, the member may use it at a reasonable discounted price; (b) Enjoy sponsorship of their activities and programs; and (c) Be given trainings and seminars on various sports.

ARTICLE XII Amendments Section1. The board of trustees, by a majority vote thereof, or at least a majority of the members, at a regular or special meeting duly called for the purpose, may amend or repeal any by-laws or adopt new by-laws. The two-thirds (2/3) of the members may delegate to the board of trustees the power to amend or repeal any by-laws or adopt new by-laws: Provided, That any power delegated to the board of trustees to amend or repeal any by-laws or adopt new by-laws shall be considered as revoked whenever a majority of the members, shall so vote at a regular or special meeting. Whenever any amendment or new by-laws are adopted, such amendment or new by-laws shall be attached to the original by-laws in the office of the NCAL, and a copy thereof, duly certified under oath by the secretary general and a majority of the trustees, shall be filed with the Securities and Exchange Commission the same to be attached to the original articles of incorporation and original by-laws.
