Cargoes name: Limestone in chips form to be loaded in to jumbo bags 1.2. Volume: 1,000.00 MT Total number of containers : 40 x 20DC; Max loading 25 MT/20DC 1.3. Specifications: . 1.4. Loading port: Cua Lo port, Nghe An province, Viet Nam 1.5. Discharging port: Vizag port, India 1.6. Schedule: - Estimated time for stuffing cargo: From 26th February 2011 to 8th March 2011 - Estimated time for departure at Cua Lo port: 9th March 2011 - Estimated time for departure at HCM city port: 14th March 2011 Article 2: Methods of delivery

Cargoes to be delivered to Cua Lo port under CY/CY terms and at XXXs load, count, stowage and seal. Vietsun is not responsible for quantity and quality of cargoes inside containers if the seal is intact. Article 3: Unit price and payment terms Unit price : USD 1,305 / 20DC In word: (One thousand three hundreds and five United state dollars only./.) Unit pride includes: th - Ocean freight from Cua Lo port, Viet Nam to Vizag port, India (Valid to 28 February 2011, applied to departure date from Hochiminh port) - THC, Seal fee, Bill fee, Telex release fee; lift on/ off at Cua Lo port and HCM city port, handling fee.

Unit price excludes: - Stuffing fees at Cua Lo port, local charges in India. - Customs clearance fee (USD 30/20DC) ; C/O application fee ( USD 100/ set); Villas certificate (USD 350 / set) 3.2.

Payment terms: Payment of ocean freight from Cua Lo port to Vizag port (USD 1,100/ 20DC ) must be made to Vietsuns agent in India before releasing the shipment to consignee. THC, Seal, Bill fee, Telex release; lift on/ off at Cua Lo port and HCM city port, handling fee (USD 205/20DC) and other fees will be prepaid in VND in equivalent (at current foreign selling rate of Vietcombank Nghe An) before stuffing of cargo into containers at Cua Lo port by cash or bank transfer.

Article 4: Liabilities of each party: Both parties shall make every effort to assist each other in handling cargoes smoothly. 4.1. XXXX shall have to: - Provide Vietsun all details of cargo for booking reservation and notify Vietsun of any change in the shipping plan in time. Once booking reservation is fixed, XXX will take full liabilities for any change happens. - Send Vietsun full and clean instruction, documents of the cargo for legal procedures involved. - Provide Vietsun with weighing documents for each container after stuffing at Cua Lo port - Stuff cargo into containers in time prior to cut-off time of vessel. - Pay arising detention fee for late/delay stuffing (if any) - Pay Vietsun the full amount of ocean freight from Cua Lo port to Vizag port and all relevant incurred charges in case consignee refuses to pay them in India. - Buy insurance for cargo shipping from Cua Co port to Vizag port. 4.2. Vietsun shall have to: - Provide XXX with qualified containers for international transport. - Be responsible to issue full set of original Bill of Lading with details of cargoes

supplied by XXX after the cargoes are on board On request, be responsible to send Original B/L and certificate to XXX by courier in time. - Be responsible to arrange to ship all shipments according to the provided shipping schedule and notify XXX in time if there is any change/delay which is caused by out of control situation (Force majeure). - Provide 10 days free detention at Cua Lo port and 10 days free detention at destination. Aricle 5: Arbitration - All disputes arising in connection with this Contract, if it cannot be amicably settled by both parties, shall be finally settled under the rules of conciliation and arbitration of the Chamber of Commerce by one or mere arbitrators appointed in accordance with Vietnam Law - The fee for arbitration and/or other charges shall be borne by the losing party, unless otherwise agreed. Article 6:. General condition - This contract comes into effect from signing date, any amendment and additional clause to these conditions shall be valid only if made in written form and duty confirmed by both sides. - This Contract shall automatically end after both sides fully implement liabilities stipulated in the contract - This contract is made in 4 (four) Engish originals, each side keeps 2 (two).
