Parent Street Publishing - Sales Associate Contract

THIS AGREEMENT is between Jeffrey Lloyd, Vice President of Parent Street

Publishing and __________________________________________ Web Design
Sales Associate (“ Associate”), effective (date) ____________________________.

1. STATUS. Parent Street Publishing retains Associate, and Associate accepts

retention by Parent Street Publishing as an independent associate to sell web
design contracts for Parent Street Publishing. Associates will not be treated as an
employee for federal and state tax purposes.
2. TERM. This agreement creates an “AT WILL” relationship that either party may
terminate at any time with or without cause upon twenty-four (24) hours written
notice to the other party.
a. Earned Commissions. Termination of this Agreement will not divest either
party of his or her right to any commission which was earned prior to notice of
termination. A commission is earned for this purpose when a signed contract
has passed the three day cancelation window of the contract.
3. OBLIGATIONS OF ASSOCIATE.
a. Conduct of Business. Associate will conduct his or her activities in an
appropriate responsible manner and will regulate his or her habits to maintain
the goodwill and reputation of Parent Street Publishing.
b. Leads. Associate is responsible for finding and locating potential leads.
c. Receipt of Money. Associate will immediately deliver to Parent Street
Publishing all money or documents received by Associate concerning any
transaction within the corse and scope of this Agreement. All checks should be
made payable to “Jeffrey Lloyd.” Failure to deliver money to Parent Street
Publishing within three days will result in a breach of contract and may result
in immediate dismissal as an Associate.
d. Failure to pay. Parent Street Publishing’s law firm is Powers and Chambers of
Southfield, Michigan. Failure to deliver money paid to you as an Associate,
owed to Parent Street Publishing will be considered fraud. Parent Street
Publishing will use all legal means to recover all owed money.
4. OBLIGATIONS OF PARENT STREET PUBLISHING.
a. Paying Commission. Commission will be paid to Associate within seven days
of date on a signed contract.
5. COMPENSATION. A flat fee of 20% commission will be paid, unless otherwise
stated.
a. Creation Fee. The Creation Fee is the fee Parent Street Publishing charges
clients for creating their website. The Associate will receive 20% of this fee.

b. Monthly Fee. The client will pay Parent Street Publishing a set amount of
money per month to maintain their website. The Associate will not receive
commission on this fee unless they can persuade the client to pay for the
service a year in advance.
c. Incentives. Incentives will be awarded per six month cycle. The six month
cycle begins for an Associate on the date in which they sign this Agreement,
and ends at midnight, six months from that point. Incentives are subject to
change without notice.
d. Multiple Salesperson. If two or more Associates participate in a transaction
or claim to have done so, Parent Street Publishing in its sole and absolute
discretion will determine the amount of commission due each Associate.
e. Time of Payment. The division and distribution of earned commission will
take place as soon after the three day window of contract cancelation has
expired.
6. ATTORNEY FEES. In any action involving a dispute between Parent Street
Publishing and Associate arising out of the execution of this Agreement, the loser
pays all costs.
7. ENTIRE AGREEMENT. This document contains the entire agreement of the
parties and supersedes all prior agreements or understanding which are not
expressly set forth. This Agreement may be modified only in writing signed and
dated by both parties,
