I. ENGLISH - END USER LICENSE AGREEMENT

PLEASE READ THIS END USER LICENSE AGREEMENT (THE AGREEMENT) CAREFULLY BEFORE USING THIS SOFTWARE.

NOTICE TO USER BY RECEIVING AND/OR USING THIS ACD SYSTEMS LTD. (ACD) SOFTWARE YOU ACCEPT AND AGREE TO BE BOUND BY THE FOLLOWING USER AGREEMENT. THIS AGREEMENT IS A BINDING LEGAL AGREEMENT BETWEEN ACD AND THE PURCHASERS, USERS OR EVALUATORS (YOU) OF THIS SOFTWARE. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, REMOVE THIS SOFTWARE FROM YOUR COMPUTER NOW AND, IF APPLICABLE, PROMPTLY RETURN TO ACD BY MAIL ANY COPIES OF THIS SOFTWARE AND RELATED DOCUMENTATION AND PACKAGING IN YOUR POSSESSION. 1. Definitions Software means the computer software program that accompanies this Agreement and includes any available software user manuals, reference manuals and installation guides, or portions thereof, either in electronic or printed form, in any media whatsoever. Use of this Software means that You have loaded, installed, or run this Software on a computer or similar device. Backup Copy means one nontransferable copy of this Software created for archival purposes only that is not installed or Used on any computer or workstation (or number of users covered in a multi-user site license) except for back-up use during emergency situations. Evaluation Version means that You may evaluate the Evaluation Version of this Software without purchasing a license for a maximum of thirty (30) calendar days (the "Evaluation Period"). 2. Software License 2.1 Grant Subject to the terms of this Agreement, ACD grants to You a limited, non-exclusive, nontransferable license, without right to sub-license: to Use or evaluate the object code version of this Software in accordance with this Agreement and any other written agreement with ACD. ACD does not transfer title to this Software to You; the license granted to You is not a sale.

2.2 Installation and Use You are responsible for installation of this Software.

Your license to use this Software is limited to the number of licenses purchased by You. For more information about purchasing additional licenses of this Software please contact an authorized reseller or ACD directly through our online form: http://www.acdsee.com/support/ You shall not allow others to Use, copy or evaluate copies of this Software. Others may obtain a copy of this Software from: http://www.acdsee.com/ 2.3 Portable Computer Use If You have purchased a license to use this Software and installed it on Your desktop computer, You may install a second copy of this Software on Your portable computer for Your exclusive use only. 2.4 Use Restrictions - You shall Use this Software in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, Use, display or distribution of this Software together with

material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited. Each licensed copy of this Software may be used on one single computer location or workstation. If You install this Software onto a multi-user platform, server or network, each and every individual user of this Software must be licensed separately or included by a multi-user or site license. Others may not Use or install Your copy of this Software. The assignment, sublicense, networking, sale, or distribution of copies of this Software is strictly forbidden without the prior written consent of ACD. It is a violation of this Agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the Use of this Software. Upon request by ACD, You agree to give ACD access to Your site during regular business hours solely for the purpose of ensuring compliance with this Agreement.

2.5 Transfer Unless otherwise authorized herein, this Software and the license herein granted shall not be
copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that You may make one Backup Copy for back-up use during emergency situations. For information about redistribution of this Software please visit http://www.acdsystems.com. 2.6 Intellectual Property Restrictions ACDs name, trademarks, logo and graphics file that represents this Software shall not be used in any way to promote products developed with this Software. This Software contains copyrighted material, trade secrets and other proprietary material. You will not deliver, disclose, or convey to any third party, either directly or indirectly, the contents of this Software. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile this Software or alter or remove any proprietary rights or copyrights notice or identification which indicates ACDs ownership of this Software. You shall not create any derivative works or other works that are based upon or derived from this Software in whole or in part. ACD retains sole and exclusive ownership of all right, title and interest in and to this Software and all intellectual property rights relating thereto. This Software is protected without limitation by Canadian copyright law and international copyright treaty provisions. All rights not expressly granted hereunder are reserved for ACD. 2.7 Limitation of Responsibility - You will indemnify, hold harmless, and defend ACD, its employees, agents and distributors against any and all claims, proceedings, demands and costs resulting from or in any way connected with Your use of this Software. IN NO EVENT (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF NEGLIGENCE) WILL ACD, ITS EMPLOYEES, AGENTS, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, AGGRAVATED OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, OR LOSS OF INFORMATION OR DATA), IN CONNECTION WITH OR ARISING OUT OF OR RELATED TO THIS AGREEMENT, THIS SOFTWARE OR THE USE OR INABILITY TO USE THIS SOFTWARE OR THE FURNISHING, PERFORMANCE OR USE OF ANY OTHER MATTERS HEREUNDER WHETHER BASED UPON CONTRACT, TORT OR ANY OTHER THEORY INCLUDING NEGLIGENCE AND REGARDLESS OF WHETHER ACD HAS BEEN ADVISED OF THIS POSSIBILITY OF SUCH DAMAGE. ACDs AND ITS SUPPLIERS ENTIRE LIABILITY, WITHOUT EXCEPTION, IS LIMITED TO REIMBURSEMENT TO YOU OF THE PURCHASE PRICE OF THIS SOFTWARE (MAXIMUM BEING THE LESSER OF THE AMOUNT PAID BY YOU AND THE SUGGESTED RETAIL PRICE AS LISTED BY ACD) IN EXCHANGE FOR THE RETURN OF THE PRODUCT, ALL COPIES, REGISTRATION PAPERS AND MANUALS, AND ALL MATERIALS THAT CONSTITUTE A TRANSFER OF LICENSE FROM YOU BACK TO ACD. Such reimbursement will only occur if this Software was purchased directly from ACD. If You purchased this Software through a reseller, distributor, retailer, or third party, Your agreement with such parties will govern and You may be able to request a refund directly from such parties. 2.8 Warranties This Software is provided to Licensee "as is" without representation, warranty or condition of any kind. ACD MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS IN RESPECT OF THIS SOFTWARE AND EXPRESSLY EXCLUDES ALL REPRESENTATIONS, WARRANTIES, OR CONDITIONS EXPRESSED OR IMPLIED, ORAL OR WRITTEN, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ACD DOES NOT WARRANT THAT THIS SOFTWARE WILL OPERATE ON A CONTINUOUS OR ERROR FREE BASIS.

2.9 Export Compliance You agree that this Software will only be exported, transferred or shipped in compliance with the United States Export Administration Act and the export laws and restrictions of any other country where this Software is Used. The license granted to You under this Agreement is on the condition that You comply with applicable export control legislation and You acknowledge that this license will be revoked if You do not comply with this section. 2.10 Governing Law - This Agreement shall be governed exclusively by the laws of the Province of British Columbia and the laws of Canada applicable therein except any principles regarding conflicts of law rules, the United Nations Convention on Contracts for the International Sale of Goods and the International Sale of Goods Act (B.C.). You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of Victoria, British Columbia, and any competent courts of appeal therefrom. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this Agreement and not affect the validity and enforceability of any other provisions. 2.11 Termination - Any failure by You to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this Agreement including the license hereunder. Upon termination of this Agreement for any reason, You agree to immediately cease Use of this Software and destroy all copies of this Software. The financial obligations incurred by You shall survive the expiration or termination of this Agreement including this Agreement.

3. Evaluation Software
3.1 Evaluation Version Use -You may evaluate the Evaluation Version of this Software without purchasing a license for the Evaluation Period. On or before the expiration of the Evaluation Period, You must purchase a license from ACD (or an authorized reseller or distributor) in order to continue to use this Software, or You are required to remove this Software and any Back-Up Copy from Your computer immediately following the expiration of the Evaluation Period. For more information about purchasing a license to use this Software, please contact ACD Customer Service. 3.2 Evaluation Version Distribution The Evaluation Version of this Software may be freely distributed, provided that: (a) such distribution includes only the original archive supplied by ACD. You may not alter, delete or add any files in the distribution archive or modify this Software in any way; (b) the limited evaluation nature of this Evaluation Version Software is not misrepresented; (c) no money is charged to the person receiving this Evaluation Version Software, beyond reasonable cost of packaging and other overhead; (d) You provide prior email or written notice to ACD at the email address or fax number listed above that You are distributing this Evaluation Version and, if this Software is being distributed with other media or software, ACDs prior written approval is required. To obtain prior written approval, please contact ACD. You may be required to report to ACD the number of units of this Evaluation Version Software distributed from time to time. 4. Registration

4.1 Registration - To register this Software You can do one of the following: 1) complete and mail the printed
registration card (if applicable) to ACD; 2) submit the registration information online through the registration screen found within this Software (if applicable); or 3) submit the registration information online through ACDs Support pages at http://www.acdsystems.com. As a registered user, You will have the option to receive helpful information and special email offers for ACD customers, as well as ACDs monthly newsletters featuring tips, tricks, updates and savings.

4.2 Consent to Use of Data - You agree that ACD may collect and use information gathered in any manner as
part of the product support services provided to You, if any, related to this Software. ACD may also use this information to provide notices to You which may be of use or interest to You. You can elect to not receive any further notices from ACD, either by 1) unsubscribing directly to any e-mail You receive or 2) by visiting our preference center at: http://www.acdsee.com/community/ which lists the publications You are subscribed to and allows You to unsubscribe or change Your preferences (You can log-in to the preference center once You have

submitted Your e-mail address to ACD and it has been processed). The Software contains components that enable and facilitate the use of certain Internet-based services. You acknowledge and agree that ACD may automatically check the version of this Software that You are utilizing and may provide upgrades or fixes to this Software. In order to receive such upgrades or fixes, You must agree to the download when prompted. You are not obligated to download any upgrades or fixes to this Software that are provided by ACD. If any provision of this Agreement is unenforceable or invalid for any reason whatsoever, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions of this Agreement and such provision shall be severable from the remainder of this Agreement. The English version of this Agreement shall be used for interpreting and construing the meanings of any provisions herein. 5. Third Party Notices This Software also contains software of ACDs suppliers which is used in accordance with the notices reproduced below, which notices You acknowledge and agree to together with the remainder of this Agreement. SI VOUS NACCEPTEZ PAS DTRE LI PAR CE CONTRAT, SUPPRIMEZ IMMDIATEMENT CE LOGICIEL DE VOTRE ORDINATEUR ET, LE CAS CHANT, RENVOYEZ PAR VOIE POSTALE ACD TOUTE COPIE DE CE LOGICIEL ET LES DOCUMENTS ET EMBALLAGES AFFRENTS EN VOTRE POSSESSION. 1. Dfinitions "Logiciel" dsigne le logiciel qui accompagne ce contrat et inclut tous les manuels de l'utilisateur disponibles, les guides d'exploitation et d'installation, ou tout extrait de ceux-ci, sous forme lectronique ou imprime, quel que soit le support. Votre licence pour utiliser ce logiciel est limite au nombre de licences que Vous avez achetes. Chaque copie sous licence de ce Logiciel ne peut tre utilise que sur un seul ordinateur ou une seule station de travail. Si Vous installez ce Logiciel sur une plate-forme, un serveur ou un rseau utilisateurs multiples, chaque utilisateur du logiciel devra obtenir une licence part ou tre inclus dans une licence utilisateurs multiples ou multi-site. Aucune tierce personne ne pourra Utiliser ou installer Votre copie de ce Logiciel. Toute attribution, concession de sous-licence, mise en rseau, vente ou distribution de copies de ce Logiciel est strictement interdite sans laccord crit pralable dACD. Lattribution, la vente, le partage, le prt, la location, lemprunt, la mise en rseau et le transfert dUtilisation de ce Logiciel seront considrs comme des violations de ce Contrat. la demande d'ACD, vous acceptez de donner ACD la possibilit d'accder Votre site durant les heures de bureau uniquement dans le but de s'assurer que vous respectez ce Contrat. 2.5 Transfert Sauf indication contraire, ce Logiciel et la licence accorde par les prsentes ne doivent tre copis, partags, distribus, revendus, proposs la revente, transfrs ou concds par sous-licence en tout ou partie. Ce remboursement ne prendra effet que si le Logiciel a t achet directement ACD. Si Vous avez achet le Logiciel chez un revendeur, un distributeur ou un tiers, c'est votre contrat avec ces parties qui s'appliquera et Vous serez en mesure d'exiger un remboursement directement de ces parties. 2.8 Garanties Ce Logiciel est fourni au dtenteur de licence "tel quel" sans reprsentation, garantie ni condition d'aucune sorte. ACD NE FOURNIT AUCUNE REPRSENTATION OU GARANTIE CONCERNANT CE LOGICIEL ET EXCLUT EXPRESSMENT TOUTE REPRSENTATION, GARANTIE OU CONDITION EXPRESSE OU TACITE, ORALE OU CRITE, Y COMPRIS, SANS S'Y LIMITER, TOUTE GARANTIE OU CONDITION TACITE DE QUALIT MARCHANDE OU D'ADQUATION UNE FONCTION PARTICULIRE OU ABSENCE DE CONTREFAON. ACD NE GARANTIT PAS QUE CE LOGICIEL FONCTIONNERA DE FAON CONTINUE OU SANS ERREURS. 2.9 Respect des conditions d'exportation Vous acceptez que ce Logiciel soit uniquement export, transfr ou envoy par bateau conformment au United States Export Administration Act et aux lois et aux restrictions l'exportation de tout autre pays dans lequel ce Logiciel sera Utilis. DER NICHTVERLETZUNG VON SCHUTZRECHTEN DRITTER. ACD GIBT KEINERLEI GEWHRLEISTUNG DAFR, DASS DIESE SOFTWARE UNTER ALLEN UMSTNDEN KONTINUIERLICH UND FEHLERFREI ARBEITET. 2.9 Exportfhigkeit Sie erklren, dass diese Software nur in bereinstimmung mit dem "United States Export Administration Act" und mit den Exportbestimmungen und beschrnkungen aller anderen Lnder, in denen die Software verwendet wirde, in andere Lnder exportiert, bertragen oder versendet wird. Die Ihnen im Rahmen dieser Vereinbarung gewhrte Lizenz unterliegt der Bedingung, dass Sie alle anwendbaren Exportkontrollgesetze beachten. Sie stimmen zu, dass diese Lizenz erlischt, wenn Sie diese Bestimmungen nicht beachten. 2.10 Anwendbares Recht Dieser Vertrag unterliegt ausschlielich dem Recht der Provinz British Columbia und den darauf anwendbaren Gesetzen Kanadas, soweit sie dazu nicht in Widerspruch stehen, dem bereinkommen der Vereinten Nationen ber Vertrge ber den internationalen Warenkauf sowie dem "International Sale of Goods Act" (British Columbia). Hiermit unterstellen Sie sich unwiderruflich der nicht exklusiven Gerichtsbarkeit der Gerichte von Victoria (British Columbia) und smtlichen davon abhngigen Berufungsgerichten. Sollte eine Bestimmung dieser Vereinbarung sich als ungesetzlich, ungltig oder als anderweitig nicht anwendbar herausstellen, dann kann diese Klausel als trennbar von dieser Vereinbarung betrachtet werden, sodass die Gltigkeit und Durchsetzung der anderen Klauseln in keiner Weise beeintrchtigt wird. 2.11 Vertragskndigung Jegliche Verletzung der Bedingungen und Vereinbarungen dieses Vertrags resultiert in der automatischen und sofortigen Kndigung dieser Vereinbarung und der in ihrem Rahmen gewhrten Lizenz. Bei Beendigung dieser Vereinbarung, unabhngig vom Grund der Beendigung, verpflichten Sie sich, die Verwendung der Software sofort einzustellen und smtliche Kopien dieser Software sofort zu vernichten. Sptestens am Tag der Beendigung des Bewertungszeitraums mssen Sie entweder eine Lizenz von ACD (oder einem autorisierten Wiederverkufer oder Distributor) erwerben, damit Sie die Software weiterhin nutzen knnen, oder die Software und smtliche archivierte Kopien mit Beendigung des Bewertungszeitraums von Ihrem Computer entfernen. AVVISO PER L'UTENTE - RICEVENDO E/O UTILIZZANDO QUESTO PRODOTTO SOFTWARE DELLA ACD SYSTEMS LTD. ("ACD"), LUTENTE ACCETTA DI ESSERE VINCOLATO DALLE CONDIZIONI DEL PRESENTE CONTRATTO. IL CONTRATTO HA VALORE LEGALE VINCOLANTE TRA ACD E GLI ACQUIRENTI, GLI UTENTI E CHI FA UNA VALUTAZIONE (UTENTE) DEL PRODOTTO SOFTWARE. QUALORA NON SI ACCETTINO I TERMINI E LE CONDIZIONI DEL CONTRATTO, OCCORRER RIMUOVERE IL PRODOTTO SOFTWARE DAL COMPUTER E RESTITUIRE PRONTAMENTE PER POSTA OGNI COPIA DEL PRODOTTO SOFTWARE CON I RELATIVI DOCUMENTI E MATERIALI DIMBALLO. 1. Definizioni Prodotto software indica il programma informatico fornito a corredo del presente Contratto e include tutti i manuali dellutente, manuali di riferimento e guide allinstallazione disponibili, o parte di essi, in formato elettronico o cartaceo, su qualsiasi tipo di supporto. Utilizzo del prodotto Software indica il caricamento, linstallazione o lesecuzione del prodotto Software su un computer o dispositivo simile. Copia di backup indica una copia non trasferibile del presente prodotto Software creata ai soli fini dellarchiviazione, che non viene installata o utilizzata su alcun computer o postazione (o numero di utenti inseriti in multilicenza) ma esclusivamente per il backup in situazioni di emergenza. Versione di prova indica che lutente pu utilizzare la Versione di prova del prodotto Software senza acquistare una licenza per un massimo di trenta (30) giorni consecutivi ("Periodo di prova"). 2. Licenza software 2.1 Concessione In base ai termini del presente Contratto, ACD concede allUtente una licenza limitata, non esclusiva e non trasferibile, senza alcun diritto di concedere licenza a terzi: Utilizzare o valutare la versione in codice oggetto del prodotto Software nel rispetto del presente Contratto e di eventuali altri accordi scritti con ACD. ACD non trasferisce alcun titolo di propriet di questo prodotto Software; esso viene concesso in licenza, non venduto. 2.2 Installazione e utilizzo LUtente responsabile per linstallazione del prodotto Software. 3.3 Luso di questo prodotto Software limitato al numero di licenze acquistate. Eventuali copie possono essere richieste a: http://www.acdsee.com/ 2.3 Utilizzo su computer portatili Se stata acquistata una licenza per lutilizzo del prodotto Software da installare su un PC, possibile installare una seconda copia del prodotto su un proprio computer portatile a uso esclusivo dellUtente. 2.4 Limitazioni allutilizzo - Luso di questo prodotto Software consentito nel rispetto di tutte le leggi pertinenti e ne vietato ogni impiego illegale. Senza limitare quanto riportato in precedenza, sono rigorosamente vietati luso, la divulgazione e la distribuzione di questo prodotto software associato a materiale pornografico, razzista, volgare, osceno, diffamatorio, calunnioso, offensivo, promotore dodio, discriminazione o pregiudizio basati su credo, origine etnica, razza, orientamento sessuale o et. Ogni copia del prodotto Software concessa in licenza potr essere usata solo in una singola postazione o un singolo computer. Qualora il prodotto Software venga installato su una piattaforma multiutente, su server o in rete, ogni singolo utente del prodotto Software deve disporre di una licenza distinta o deve essere coperto da una licenza sito o multiutente. La copia del prodotto Software dellutente non pu essere utilizzata o installata da terzi. La cessione, concessione di licenza a terzi, messa in rete, vendita e distribuzione di copie del prodotto Software sono severamente vietate senza la preventiva autorizzazione scritta di ACD. Cedere, vendere, condividere, dare in comodato, affitto, nolo, prestito, mettere in rete e trasferire il prodotto Software implicano la violazione del presente Contratto. Su richiesta di ACD, lutente accetta di consentire ad ACD laccesso alla propria sede durante il normale orario lavorativo al solo scopo di verificare la conformit al presente Contratto. 2.5 Trasferimento - Ove non diversamente autorizzato nel presente Contratto, il prodotto Software e la licenza conferita con esso non potranno essere copiati, condivisi, distribuiti, rivenduti, messi in vendita, trasferiti, n concessi in licenza a terzi, n in parte n per intero. Se ne potr fare una Copia di backup soltanto per lutilizzo in situazioni di emergenza. Per informazioni sulla possibilit di ridistribuire il prodotto Software, visitare il sito Web http://www.acdsystems.com. 2.6 Limitazioni relative alla propriet intellettuale - Il nome ACD, i marchi di fabbrica, il logotipo e i file grafici che rappresentano il prodotto Software non possono essere impiegati in alcun modo per promuovere prodotti sviluppati con il prodotto Software. 3.5 Il prodotto Software contiene materiali, segreti commerciali e altri materiali proprietari tutelati dai diritti dautore. Lutente non pu fornire, rivelare o trasmettere a terzi, direttamente o indirettamente, il contenuto di questo prodotto Software. Non si potr tentare n modificare, decodificare, disassemblare o decompilare il prodotto Software, n modificare o rimuovere gli avvisi o le indicazioni relativi ai diritti di propriet attestanti la propriet di ACD del prodotto Software. Non consentito creare opere derivate o in altro modo basate o tratte dal prodotto Software, in parte o per intero. La titolarit e i diritti di propriet intellettuale relativi al prodotto Software rimangono di propriet esclusiva di ACD. Questo prodotto Software protetto, senza limitazioni, dalla legge canadese sul copyright e da disposizioni di trattati internazionali sul copyright. Tutti i diritti non espressamente concessi in virt di questo documento sono riservati alla ACD. 2.7 Limitazione delle responsabilit - Lutente del software si impegna a risarcire e ritenere indenne e manlevata ACD, i suoi dipendenti, agenti e distributori in caso di azioni legali, richieste di risarcimento, costi sostenuti derivanti o in qualsiasi modo connessi alluso del software di ACD. In nessun caso (incluso, senza limitazioni, il caso di negligenza) ACD, i suoi dipendenti, agenti, FORNITORI e distributori potranno rispondere per danni conseguenti, incidentali, indiretti, speciali, AGGRAVATI o di tipo punitivo (inclusi, senza limitazioni, danni per lucro cessante, mancato utilizzo, interruzione delle attivit, perdita di informazioni o dati), ricollegabili a o derivanti da questo Contratto, dal prodotto Software o dallutilizzo o dallincapacit di utilizzare il prodotto Software, o dalla fornitura, dalle prestazioni o dallutilizzo di qualsiasi altro aspetto compreso nel Contratto, in base a contratto, illecito o altra giurisprudenza, compresa la negligenza, che ACD sia stata o meno informata della possibilit di tali danni. Lintera responsabilit di ACD e dei suoi fornitori, senza eccezioni, limitata al rimborso al cliente del prezzo di acquisto del prodotto Software (dove limporto massimo rappresentato dal prezzo pi basso tra il prezzo effettivamente pagato e quello consigliato al dettaglio in base al listino ACD) in

cambio della restituzione del prodotto, di tutte le copie, dei fogli di registrazione e dei manuali e di tutto ci che costituisce una restituzione di licenza dal cliente ad ACD. Tale rimborso avr luogo solo se il prodotto Software stato acquistato direttamente da ACD. Se il prodotto Software stato acquistato mediante un rivenditore, distributore, dettagliante o terzi, sar valido il contratto stipulato con dette parti e l'utente potr richiedere il rimborso direttamente ad esse. 2.8 Garanzie Questo prodotto Software viene fornito al Licenziatario cos com senza dichiarazioni, garanzie o condizioni di alcun tipo. ACD NON RILASCIA ALCUNA DICHIARAZIONE, GARANZIA O CONDIZIONE A RIGUARDO DI QUESTO PRODOTTO SOFTWARE ED ESCLUDE ESPRESSAMENTE QUALSIASI ALTRA DIHIARAZIONE, GARANZIA O CONDIZIONE, SIA ESSA ESPLICITA O IMPLICITA, VERBALE O SCRITTA, INCLUSA, A TITOLO ESEMPLIFICATIVO, QUALSIASI GARANZIA O CONDIZIONE IMPLICITA DI COMMERCIABILIT, IDONEIT PER UN PARTICOLARE SCOPO O NON VIOLAZIONE DI ALTRUI DIRITTI. ACD NON GARANTISCE CHE QUESTO PRODOTTO SOFTWARE FUNZIONER IN MODO CONTINUO O SENZA ERRORI. 2.9 Conformit per lesportazione Si accetta che questo prodotto Software verr esportato, trasferito o spedito esclusivamente nel rispetto della United States Export Administration Act (Legge sulla regolamentazione dell'esportazione degli Stati Uniti) e delle normative e limitazioni allesportazione dei paesi in cui il prodotto Software viene utilizzato. La licenza concessa con il presente Contratto condizionata dal rispetto, da parte dell'utente, della legislazione in vigore per il controllo delle esportazioni e lo stesso riconosce che la licenza verr revocata in caso di mancato rispetto della presente sezione. 2.10 Legislazione di riferimento e foro competente Il presente Contratto sar regolato dalle leggi della Provincia della British Columbia e del Canada, eccetto in caso di conflitto fra leggi, la Convenzione delle Nazioni Unite sui contratti di vendita internazionale di beni e lInternational Sale of Goods Act (B.C.). Lutente accetta in modo irrevocabile di sottomettersi alla giurisdizione non esclusiva del Tribunale di Victoria, British Columbia e ad ogni Corte dAppello competente. Qualsiasi clausola considerata illegale, non valida o altrimenti non applicabile, potr essere separata dal presente Contratto senza peraltro influenzare la validit e lapplicabilit di qualsiasi altra clausola. 2.11 Cessazione - Qualsiasi inadempimento da parte dellutente dei termini e delle condizioni del Contratto comporta la cessazione automatica e immediata del Contratto e della licenza ad esso collegata. In caso di cessazione del Contratto, per qualsivoglia motivo, lutente accetta di interrompere immediatamente luso del prodotto Software e di distruggere tutte le copie dello stesso. Gli obblighi di tipo finanziario a carico dellutente non vengono meno con la scadenza o cessazione del Contratto, compreso il Contratto stesso. 3. Software di prova 3.1 Utilizzo della versione di prova Lutente pu valutare la Versione di prova di questo prodotto Software senza acquistare una licenza per il Periodo di prova. Per poter continuare ad utilizzare il prodotto Software oltre la scadenza del Periodo di prova necessario acquistare una licenza da ACD (o rivenditore/distributore autorizzato); diversamente, non appena scade il Periodo di prova, il prodotto Software ed eventuali Copie di backup dovranno essere disinstallati dal computer. Per ulteriori informazioni sullacquisto di una licenza per utilizzare il prodotto Software, rivolgersi al servizio clienti di ACD. 3.2 Distribuzione della versione di prova - La Versione di prova del Software pu essere distribuita liberamente alle seguenti condizioni: (a) la versione distribuita deve includere esclusivamente larchivio originale fornito da ACD. Non consentito alterare, eliminare o aggiungere file allarchivio nonch modificare in alcun modo il prodotto Software; (b) poich limitata, la Versione di prova del Software non deve essere nascosta o dissimulata; (c) nessun costo pu essere addebitato a chi riceve la Versione di prova, oltre ai ragionevoli costi relativi allimballaggio e ad altre spese generali; (d) ACD dovr essere informata, per e-mail o per iscritto ai recapiti indicati sopra, riguardo la distribuzione della Versione di prova; qualora il prodotto Software venga distribuito con altri supporti o software, occorrer ottenere la previa autorizzazione scritta di ACD. Registrazione 4.1 Registrazione - Per registrare il prodotto Software possibile scegliere tra: 1) compilare e spedire la cartolina di registrazione prestampata (se disponibile) ad ACD o 2) inviare i dati di registrazione via Internet tramite la pagina di registrazione contenuta nel prodotto Software (se disponibile) o 3) inviare i dati di registrazione via Internet mediante le pagine relative all'assistenza del sito Web http://www.acdsystems.com. Come utente registrato, possibile scegliere di ricevere utili informazioni e offerte speciali via e-mail destinate ai clienti ACD, nonch la newsletter mensile ACD con consigli, trucchi, aggiornamenti e occasioni di risparmio. 4.2 Assenso al trattamento dei dati - Lutente acconsente alla raccolta e alluso da parte di ACD dei dati raccolti in qualsiasi modo nellambito dei servizi di supporto dei prodotti forniti allutente, se esistenti, relativi al prodotto Software. ACD potr utilizzare tali dati per inviare allutente avvisi di possibile interesse o utilit. Lutente pu scegliere di non ricevere altre comunicazioni da ACD 1) annullando direttamente liscrizione mediante qualsiasi e-mail ricevuta o 2) visitando il centro profili degli utenti all'indirizzo: http://www.acdsee.com/community/ che elenca le pubblicazioni alle quali lutente attualmente abbonato e che consente di disdire labbonamento o di cambiare i parametri ( possibile accedere al centro dopo aver inviato il proprio indirizzo e-mail ad ACD Systems e dopo che stato elaborato). Il prodotto Software contiene componenti che attivano e semplificano l'utilizzo di determinati servizi basati su Internet. Lutente accetta e concorda che ACD pu verificare in modo automatico la versione del prodotto Software utilizzato e pu fornire aggiornamenti o correzioni del prodotto stesso. Per ricevere tali aggiornamenti e correzioni, lutente deve accettare il download quando richiesto. Non si obbligati a scaricare aggiornamenti o correzioni al prodotto Software fornite da ACD. Avvisi di terzi Questo prodotto Software contiene anche prodotti software di fornitori di ACD utilizzati nel rispetto delle seguenti avvertenze, che vengono accettate dallutente cos come il resto del presente Contratto. IN NESSUN CASO SAM LEFFLER O SILICON GRAPHICS SARANNO RESPONSABILI PER ALCUN DANNO SPECIALE, INCIDENTALE, INDIRETTO O CONSEGUENTE, N DI ALTRI DANNI RISULTANTI DA MANCATO UTILIZZO, PERDITA DI DATI O LUCRO CESSANTE, NEPPURE SE INFORMATI DELLA POSSIBILIT DI TALI DANNI, N FONDATI SU QUALSIASI GIURISPRUDENZA RELATIVA ALLA RESPONSABILIT, DERIVANTI DA O COLLEGATI ALLUSO O ALLE PRESTAZIONI DEL PRODOTTO SOFTWARE.

LA CON ATENCIN ESTE CONTRATO DE LICENCIA DE USUARIO FINAL (EL "CONTRATO") ANTES DE USAR EL SOFTWARE.

AVISO PARA EL USUARIO: AL RECIBIR O UTILIZAR EL SOFTWARE DE ACD SYSTEMS LTD. ("ACD"), USTED ACEPTA REGIRSE POR LOS TRMINOS Y CONDICIONES DEL PRESENTE CONTRATO DE USUARIO. EL PRESENTE ES UN CONTRATO LEGAL VINCULANTE ENTRE ACD Y LOS COMPRADORES, USUARIOS O EVALUADORES (USTED) DE ESTE SOFTWARE. SI NO EST DE ACUERDO EN SOMETERSE A LOS TRMINOS Y CONDICIONES DE ESTE CONTRATO, ELIMINE EL SOFTWARE DE LA COMPUTADORA AHORA Y, SI CORRESPONDE, DEVUELVA POR CORREO TODAS LAS COPIAS DEL SOFTWARE Y TODA LA DOCUMENTACIN Y MATERIAL DE EMBALAJE RELACIONADO CON EL SOFTWARE QUE OBREN EN SU PODER. 1. Definiciones: Software significa el programa de software de computadora que acompaa este Contrato e incluye todos los manuales de usuario, manuales de consulta y guas de instalacin del software, en todo o en parte, sea en formato electrnico o impreso o en cualquier otro tipo de soporte. El trmino usar en relacin con el software significa que usted ha cargado, instalado o ejecutado el Software en un ordenador u otro dispositivo similar. Copia de seguridad significa una copia intransferible del Software creada con fines de archivacin nicamente, que no est instalada ni se usa en ningn otro ordenador ni estacin de trabajo (o la cantidad de usuarios autorizada por una licencia multiusuario o de sitio) a excepcin de su uso como copia de respaldo en situaciones de emergencia. Versin de evaluacin significa que usted puede evaluar la Versin de evaluacin de este Software por un mximo de treinta (30) das calendario (el Perodo de evaluacin) sin adquirir una licencia. 2. Licencia de software 2.1 Cesin: de conformidad con los trminos de este Contrato, ACD le otorga una licencia limitada, no exclusiva e intransferible, sin derecho a otorgar sublicencias: para usar o evaluar la versin en cdigo objeto de este Software de acuerdo con este Contrato y cualquier otro contrato celebrado por escrito con ACD. ACD no le transfiere la titularidad sobre el Software; se trata de un contrato de licencia y no de una venta. 2.2 Instalacin y uso: usted es responsable por la instalacin del Software. La licencia de uso que se le otorga sobre este Software est limitada a la cantidad de licencias que haya adquirido. Quienes deseen obtener una copia del Software deben dirigirse a: http://www.acdsee.com/ 2.3 Uso en ordenadores porttiles: si usted ha adquirido una licencia para usar el Software y lo ha instalado en un ordenador de escritorio, podr usar una segunda copia del Software en su equipo porttil para su uso exclusivo nicamente.

2.4 Restricciones de uso: usted deber usar el Software de conformidad con todas las leyes aplicables y no para fines ilegales. Sin perjuicio de lo expresado, est terminantemente prohibido el uso, exhibicin o distribucin del Software junto con material de naturaleza pornogrfica, racista, vulgar, obscena, difamatoria, injuriante, abusiva, discriminatoria, prejuiciosa o que fomente el rencor basndose en la religin, la ascendencia tnica, la raza, la orientacin sexual o la edad. Toda copia del Software otorgada bajo licencia se debe usar en un solo ordenador o estacin de trabajo. Si usted instala el Software en una plataforma, servidor o red multiusuario, deber obtener una licencia para cada usuario individual sea por separado o como parte de una licencia mulitiusario o de sitio. Ninguna otra persona podr Usar ni instalar su copia de este Software. Est terminantemente prohibido ceder, otorgar sublicencias, usar en red, vender o distribuir copias del Software sin que media una autorizacin escrita de ACD. El hecho de ceder, vender, compartir, dar en prstamo o en alquiler, usar en red o transferir el Uso del Software constituye una violacin del presente Contrato. A pedido de ACD, usted acepta permitir que ACD tenga acceso a sus instalaciones durante el horario de atencin habitual con el nico fin de asegurar el cumplimiento del presente Contrato. 2.5 Transferencia: a menos que se otorgue otro tipo de autorizacin por el presente, el Software y la licencia otorgados en virtud del presente no podrn ser copiados, compartidos, distribuidos, revendidos, ofrecidos para reventa, transferidos o cedidos por sublicencia, sea de forma total o parcial, a excepcin de la copia de seguridad que se puede realizar con fines de respaldo para uso en situaciones de emergencia. Este Software contiene material protegido por copyright, secretos industriales y otros materiales protegidos por derechos de propiedad intelectual. Usted no podr entregar, revelar ni transmitir a terceros, sea directa o indirectamente, el contenido del Software. Usted no podr modificar, realizar tareas de ingeniera inversa, descompilar ni desensamblar el Software as como tampoco alterar o quitar los avisos de propiedad intelectual o de copyright ni cualquier otra identificacin de la titularidad de ACD sobre el Software. No podr crear obras derivadas ni ninguna otra obra basada o derivada del Software sea en todo o en parte. ACD conserva la propiedad nica y exclusiva de todos los derechos, titularidad e intereses sobre el Software as como todos los derechos de propiedad intelectual relacionados con l. Este Software est protegido sin limitaciones por la ley de copyright del Canad y por las disposiciones de los tratados internacionales sobre copyright. ACD se reserva todos los derechos no cedidos expresamente mediante el presente Contrato. 2.7 Limitacin de la responsabilidad. Usted se compromete a indemnizar, mantener libre de toda responsabilidad y asumir la defensa de ACD, sus empleados, agentes y distribuidores ante cualquier reclamo, demanda, juicio y costos relacionados de alguna manera con su uso del Software. EN NINGN CASO (INCLUSO ENTRE OTROS, EN LOS CASOS DE NEGLIGENCIA) ACD, SUS EMPLEADOS, AGENTES, PROVEEDORES O DISTRIBUIDORES SERN RESPONSABLES POR DAOS INDIRECTOS, ACCIDENTALES, ESPECIALES, AGRAVADOS O PUNITORIOS DE CUALQUIER NATURALEZA (INCLUIDOS ENTRE OTROS, LOS DAOS POR LUCRO CESANTE, IMPOSIBILIDAD DE USO, INTERRUPCIN DE LA ACTIVIDAD COMERCIAL O POR PRDIDA DE DATOS O DE INFORMACIN) RELACIONADOS DE ALGUNA MANERA CON ESTE CONTRATO, EL SOFTWARE O EL USO O LA IMPOSIBILIDAD DE USO DEL SOFTWARE O POR LA PRESTACIN, RENDIMIENTO O USO DE CUALQUIERA DE LAS CUESTIONES DEL PRESENTE SEAN CONTRACTUALES, DOLOSAS O REGIDAS POR CUALQUIER OTRA TEORA DEL DERECHO, ENTRE ELLAS, LA NEGLIGENCIA, Y SEA QUE ACD HAYA SIDO ADVERTIDA O NO ACERCA DE LA POSIBILIDAD DE QUE SE PRODUZCAN TALES DAOS. LA NICA RESPONSABILIDAD DE ACD Y DE SUS PROVEEDORES, SIN EXCEPCIN, SE LIMITA AL REINTEGRO DEL PRECIO DE COMPRA DEL SOFTWARE (EL MENOR ENTRE EL PRECIO PAGADO POR USTED Y EL PRECIO MINORISTA SUGERIDO POR ACD) A CAMBIO DE LA DEVOLUCIN DEL PRODUCTO, TODAS SUS COPIAS, DOCUMENTOS DE REGISTRO Y MANUALES Y CUALQUIER OTRO MATERIAL QUE CONSTITUYA UNA TRANSFERENCIA DE LA LICENCIA DE USTED DE REGRERSO A ACD. Dicho reintegro se producir si el Software fue comprado directamente a ACD. En caso de que haya adquirido el Software de un revendedor, distribuidor, minorista o tercero, deber solicitar el reintegro de conformidad con el contrato celebrado con dicha tercera parte. 2.8 Garantas: este Software se suministra a los licenciatarios tal cual es sin declaraciones, garantas ni

ACD NO REALIZA NINGUNA DECLARACIN, NI OFRECE GARANTAS, NI PONE CONDICIONES RESPECTO DEL SOFTWARE Y EXCLUYE EXPRESAMENTE TODA DECLARACIN, GARANTA O CONDICIN EXPRESA O IMPLCITA, ORAL O ESCRITA, ENTRE ELLAS, LAS GARANTAS O CONDICIONES DE CALIDAD COMERCIAL, ADECUACIN A UN FIN DETERMINADO O DE NO VIOLACIN. ACD NO GARANTIZA QUE EL SOFTWARE FUNCIONE SIN INTERRUPCIONES NI LIBRE DE ERRORES. 2.9 Cumplimiento con las normas de exportacin: usted se compromete a que este Software slo sea exportado, transferido y enviado de conformidad con la Ley de Administracin de las exportaciones de los Estados Unidos y las leyes y restricciones de cualquier otro pas en el que se use el Software. La licencia concedida a usted de conformidad con este Contrato se le otorga con la condicin de que usted cumpla con la legislacin vigente sobre control de las exportaciones y que acepte que esta licencia sea revocada si usted no cumple con este artculo. 2.10 Jurisdiccin: el presente Contrato se rige exclusivamente por las leyes de la Provincia de Columbia Britnica y las leyes del Canad aplicables al presente contrato, a excepcin de los principios sobre conflicto de leyes, la Convencin de las Naciones Unidas sobre Contratos para la Venta internacional de bienes y la Ley sobre venta internacional de bienes (C.B.). Por el presente usted reconoce y se somete a la jurisdiccin no exclusiva de los tribunales de Victoria, Columbia Britnica y de cualquier tribunal de alzada competente de forma irrevocable. En caso de que alguna de las disposiciones de este Contrato resultara ilegal, nula o de alguna manera de cumplimiento imposible de exigir, se la considerar separable del Contrato sin que ello afecte a la validez y al cumplimiento de las dems disposiciones. 2.11 Terminacin: el incumplimiento de su parte de cualquiera de los trminos y condiciones del presente Contrato ser motivo de la rescisin automtica del Contrato e incluso de la licencia otorgada en virtud del presente. Terminado el Contrato por cualquier motivo que sea, usted acepta dejar de usar de inmediato el Software y destruir todas las copias de este Software. Las obligaciones financiera contradas por usted subsistirn al vencimiento o terminacin del Contrato incluido este Contrato mismo. 3. Software de evaluacin 3.1 Uso de la versin de evaluacin: usted podr evaluar la Versin de evaluacin de este Software sin adquirir una licencia durante el Perodo de evaluacin. Al vencimiento del Perodo de evaluacin, deber adquirir una licencia de manos de ACD (o de un revendedor o distribuidor autorizado) para poder continuar usando el Software; de lo contrario, deber eliminar el Software y la Copia de seguridad de su computadora de inmediato al vencimiento del Perodo de evaluacin. Para obtener ms informacin sobre la adquisicin de una licencia de uso del Software, pngase en contacto con el Servicio de atencin al cliente de ACD. 3.2 Distribucin de la versin de evaluacin: la Versin de evaluacin del Software se puede distribuir gratuitamente siempre y cuando: (a) dicha distribucin incluya el archivo comprimido original suministrado por ACD. usted no altere, elimine ni agregue archivos en el archivo comprimido de distribucin ni modifique el Software de alguna otra manera; (b) no sea tergiversada la naturaleza de evaluacin limitada de esta Versin de evaluacin del Software (c) no se cobre ningn cargo a la persona que reciba la Versin de evaluacin del Software a excepcin de los costos razonables de empaque y envo y otros gastos generales; (d) usted notifique previamente por correo electrnico o por escrito a ACD a la direccin de correo electrnico o al nmero de fax indicado anteriormente que usted distribuye esta Versin de evaluacin y si el Software se distribuye junto con otro medio o software; deber obtener la autorizacin escrita de ACD. Para obtener dicha autorizacin escrita, pngase en contacto con ACD. Es posible que se le exija oportunamente informar a ACD de la cantidad de unidades de Versiones de evaluacin del Software distribuidas. 4. Registro 4.1 Registro: para registrar este Software, dispone de las siguientes opciones: 1) completar y enviar por correo la tarjeta de registro impresa (si correspondiese) a ACD; suministrar los datos de registro en lnea mediante la pantalla de registro que ofrece el Software (si correspondiese); o 3) Suministrar en lnea los datos de registro a travs de las pginas de soporte tcnico de ACD en http://www.acdsystems.com. registrado, usted podr optar por recibir informacin til y ofertas especiales para clientes de ACD por correo electrnico y boletines mensuales de ACD que ofrecen consejos, trucos, actualizaciones y descuentos. 4.2 Consentimiento para usar datos personales: usted presta su consentimiento para que ACD compile y use los datos reunidos como parte de los servicios de atencin al cliente prestados a usted, si los hubiera, en relacin con el Software. ACD podr usar estos datos para enviarle informacin que pueda serle til o de su inters. Usted puede optar por no recibir ninguna notificacin por parte de ACD sea 1) anulando la suscripcin directamente desde cualquier mensaje de correo electrnico que reciba o 2) visitando nuestro centro de preferencias en: http://www.acdsee.com/community/ que enumera las publicaciones a las que usted est suscrito y le permite anular las suscripciones o modificar sus preferencias. Usted no est obligado a descargar las actualizaciones o parches del Software que suministra ACD. Avisos de terceros: el Software incluye adems software de proveedores de ACD que se utiliza de conformidad con los avisos que se reproducen a continuacin, avisos que usted reconoce y acepta al igual que el resto de este Contrato.
