Yorkville Advisors Completes 5M Equity Facility with Nostra Terra Oil and Gas Plc

(London September 09, 2011) Yorkville Advisors, LLC (Yorkville), the US-based alternative investment manager, is pleased to announce it has entered into a Standby Equity Distribution Agreement ("SEDA") for up to 5 million, on behalf of YA Global Master SPV Ltd. (YA Global), with Nostra Terra (AIM:NTOG), an oil and gas producer with assets in the USA. Nostra Terra Oil and Gas engaged the SEDA to continue its operation in exploration and production of hydrocarbon regions across the U.S. upstream industry. Pursuant to the terms of the SEDA, Nostra Terra Oil and Gas has the discretion to withdraw funds of up to 5 million in tranches (Advances) of the Companys ordinary shares of 0.1 pence each (Ordinary Shares), with an option to increase up to 10 million, in exchange for the issue of new equity for a period of 36 months of the transaction documents. Any shares to be issued in relation to the SEDA shall be admitted to AIM. At its sole discretion, Nostra Terra Oil and Gas can notify YA Global that it requires it to buy shares at 96% of the lowest daily volume weighted average price (VWAP), based off of the AIM (NTOG) pricing during the 10 trading days following such notification.
