Agreement to Conditions. Each exhibitor and its employees agrees to abide by these conditions, it being understood and agreed that the sole control of the exhibit area rests with USA International Fashion Shows, producer of Couture Fashion Week. Assignment of Space. Classification of exhibits and assignment of space will be done on a firstcome first-served basis. Special requests will be considered. If an exhibitor has any complaint regarding the assigned position of his/her exhibit, he/she should bring this complaint to the attention of the event organizers in a timely fashion so the complaint can be addressed as soon as possible. Event organizers will make every reasonable effort to resolve such complaints. Payment. The full fee must accompany each request for exhibit space. Cancellation Policy. Refund Policy and Other Fees. Up to 60 days before the event: 50% of amount paid. 30 to 60 days before event: 25% of amount paid. No refunds less than 30 days before the event. A charge of $35 will be assessed for all returned checks. Attendees. This is not a traditional trade show. The limited number of exhibits are meant to complement the fashion shows. Audiences come and go to and from each fashion show. There are 3 fashion show times per day, some with multiple designers. Attendance varies from show to show and consists of upscale fashion buyers, members of the press, affluent ticket buyers, VIPs and other invited guests. Average number of guests 500-600 per fashion show time. A) B) C) D) E) What is included in the CFW exhibitor package? F) Upon request, an online invitation that you can send to your potential buyers/guests (free admission to Exhibits only; tickets to fashion shows must be purchased in advance). Liability. USA International Fashion Shows undertakes no duty to exercise care, nor assumes any responsibility, for the protection and safety of the exhibitor, his officials, agents or employees, or the protection of the property of the exhibitor or his representatives, or of property used in connection with the exhibit, from theft or damage or destruction by fire, accident or other cause. Small and easily portable articles shall be properly secured or removed after event hours and placed in safekeeping by the exhibitor. Any protection exercised, in fact, by USA International Fashion Shows shall be deemed purely gratuitous on its part and shall in no way be construed to involve it in liability by the exhibitor. The exhibitor agrees to indemnify and hold USA International Fashion Shows and its employees harmless from all such claims and from all claims or liability of any nature whatsoever arising from the activities of the exhibitor or any of his representatives or from the property of the exhibitor. USA International Fashion Shows shall not be liable for the fulfillment of this agreement as to delivery of space, if lack of delivery is due to any one of the following causes due to events beyond producers control including but not limited to: destruction of or damage to the building or the exhibit area by fire or act of God; acts of a public enemy; civil unrest; war; strikes; natural disaster; the authority of the law. In such an unlikely event, USA International Fashion Shows may, at its discretion, credit a portion of any fees paid by exhibitor towards a future event. Standard Disclaimer: Participation in any fashion events produced by USA International Fashion Shows does not guarantee any specific volume of sales, specific number of attendees or presence of specific buyers or celebrities, or specific publications coverage (which is at the discretion of each publications editors). USA International Fashion Shows and its affiliates shall not be liable for any special, indirect, incidental, or consequential damages, including without limitation losses, lost

revenues, or lost profits that may result from participating in our shows. We reserve the right to change venues for a better or equivalent venue. Insurance. It is the sole responsibility of the exhibitor to obtain the appropriate amount and type of insurance to cover their property, agents or employees, from theft, damage by fire, accident, or any other cause. USAIFS will not be responsible for any injury that may occur at exhibits or to an exhibitor's employees, or for the loss of, or damage to, any materials from any cause whatsoever, whether in transit, or during the event, regardless of whether USA International Fashion Shows furnishes attendants, guards or night watchpersons.

Protection of Exhibit Facility. Nothing shall be posted on, or tacked, nailed, screwed, or otherwise attached to columns, walls, floors, or other parts of the exhibit area. Packing, unpacking and assembly of exhibits shall be done only in designated areas and in conformity with directions of USA International Fashion Shows, or the event space manager or their assistants. Food and Beverages. In accordance with venue policy, no food or beverages may be sold or distributed at the event without prior permission. Please inquire. Use of Space. Exhibits shall be shown only in the designated exhibit area as established by USA International Fashion Shows. If an exhibitor plans to install a completely constructed exhibit of such a character that the exhibitor will not require or desire the use of standard exhibit space equipment, no part thereof shall so project as to obstruct the view of adjacent exhibit spaces. No exhibit may exceed a height of 8 feet on any side except with the permission of USA International Fashion Shows. Neither exhibits nor advertising material will be permitted to protrude outside an exhibitors designated space. USA International Fashion Shows reserves the right to control and prohibit any disturbing noises produced by an exhibitor. Sound & Lighting. Specialty lighting and promotional lighting projected on exhibit hall walls, ceiling, or floor spaces not contracted for with USA International Fashion Shows or Waldorf Astoria are prohibited. Installation and Dismantling. The specific requirements as to time for installation and dismantling of exhibits shall be supplied to each exhibitor in advance. Such requirements shall be binding upon the exhibitor as though fully set forth herein. All exhibits must be in place and set up by the time of the official opening of the event. USA International Fashion Shows may reassign space not occupied or set up by that time for other purposes. Exhibitors will be expected to be set up and tear down according to the USA International Fashion Shows schedule of events. Freight & Warehouse Shipments. Exhibitors are responsible for coordination and payment of all their freight and labor to and from event site. If an exhibitor's freight is still at event site at the end of the published hours for show breakdown, USA International Fashion Shows or the venue manager will place that freight with a freight carrier at the expense of the exhibiting company. Default Occupancy. Any exhibitor failing to occupy space contracted for is not relieved of the obligation of paying for such space at the full rental price, and USA International Fashion Shows shall have the right to use such space as it sees fit to eliminate unused space at the event venue, provided such exhibit space is not occupied by one hour before the official event opening. Personnel. All parties participating in the exhibit area of USA International Fashion Shows are expected to use special care wherever they deem it necessary to hire temporary help to assist in their exhibit or hospitality activities, so that personnel selected by them will be of a caliber in keeping with the high standards of Couture Fashion Week. Exhibitors shall provide CFW with a list of people who will be working at their exhibit in advance.
