ENGAGINGINDEPENDENTCONTRACTORS (Formsavailableoncampusserver) Background Attimes,thedistinctionbetweenindependentcontractorsandemployeesareblurred.Thisis especiallytruewhenthepersonworksalone,withouthiredassistants.Manycompanieshave usedthisblurrinesstoavoidtaxesandintheprocessreferredtotheirworkersasindependent contractorswhentheywerereallyemployees.Thestateandfederaltaxingauthoritiesarenow aggressively auditing companies to find these abuses. When tax officials find misclassified workers,thehiringfirmsarechargedforalltheworkerstaxesandareassessedhugepenalties. Firmsarealsosuedbyworkerswhobelievethattheywereinappropriatelycalledindependent contractors. These lawsuits are filed when the worker needs unemployment, disability, or workerscompensationinsurance. In order to avoid these problems, the IRS, as well as other institutions, developed guidelines that agencies can use to ensure that proper distinctions are made between employees and IndependentContractors. NOCCCDdevelopedathreestageprocesstobecompletedbefore anindependentcontractorisengaged.Thesestagesare: Theindependentcontractorevaluation Theassessmentwhethertheengagementisloworhighrisk Thecontractdevelopmentstage. I. IndependentContractorEvaluation WeevaluatedvariousguidelinesprovidedbytheIRS,ERISA,etc.andcameupwitha14point questionnaire (Exhibit # 1). This is the crucial first step in the process and the one that evaluatesconditionsofanengagementandserviceprovidersbackgroundconcludingifitmeets thecriteriaofanindependentcontractor. Thisquestionnaireiscompletedbyarepresentative fromtheDivisionrequestingtheservicesandreviewedbytheDean/Directororadesignee. The questionnaire requiresananswer of yesor no butallowsforfurther explanation ifthe condition surrounding the question, happens to fall in a gray area (e.g. the amount of instructions given to an independent contractor). We encourage as much validation as reasonably possible as a means of protecting the District in the event of a complaint or legal action. The completed questionnaire should beforwarded to the designated individual (see below) to evaluatetherisk. Note: Outsideservicesprovidedprobono(publicservicewithoutpayment)arenotsubjectto thisevaluationprocess. II. RiskLevelsandInsuranceRequirements Theriskforengagingindependentcontractorswillbeevaluatedbyadesignatedindividualfor eachcollegeandtheDistrict. All requests for independent contractor services whether compensated or pro bono shall be routedtotherespectiveRiskEvaluator. Therisklevelandinsurancerequirement(ifdetermined to be needed) should be indicated on the bottom part of the questionnaire. The minimum insurance requirement is $1 million per occurrence or $2 million aggregate, ifapplicable. Any questionsregardinginsuranceshouldbereferredtotheDistrictRiskManager. A. Compensated Services: Unlike employees who are covered by the District insurance umbrella, independent contractors are not. For this reason due care should be taken in engagingone. Thelevelofindependentcontractoractivityrangesfromindividualsaddressingstudentson vocationalissuestobusinessestablishmentsprovidingservicefunctions.Thelevelofriskis equally diverse. For practical and economic reasons, certain independent contractors providing low level risk can be engaged without requiring insurance coverage. We are providingalistingoflowlevelriskengagementsasareference(Exhibit#2). Finaldecision onthelevelofriskwillbemadebytheRiskEvaluator. B. ProBonoServices: Requestsfortheseengagementsstillneedtobeevaluatedforthe riskpotential. ArrangementsshouldbemadewithineachcollegeorDistricttohaveallpro bono services forwarded to the respective Risk Evaluator for review prior to final arrangements. Ifprobonoservicesareconsideredhighrisk,theserviceprovidershouldberequested tosigntheProBonoServiceform(Exhibit#3)asameansofdocumentingtheservice providedandarrangementsshouldbemadetoprovideTenantUserLiabilityInsurance Program(TULIP)insurancewiththecosttobechargedtotherequestingorganization. If services are determined to be low risk, the service provider should be requested to sign the ProBono Serviceform (Exhibit# 3) and the Release of Liability (Exhibit # 4) describedbelow,ifdeemedtobenecessary. C. ReleaseofLiabilityCertainlowriskservices,regardlessifcompensatedorprobono, carrycertainlevelofrisks(i.e.danceperformers)thatcouldresultininjuries.Ifinsurance coverageisnotrecommended,theRiskEvaluatorwilldetermineifcertainserviceproviders willberequiredtosignaReleaseofLiability(Exhibit#4). III. ContractDevelopment Thisdoesnotapplytoprobonoservices. Preparingthecontractisthelaststepinthisprocess. It provides the language consistent with the questionnaire distinguishing an independent contractorfromanemployee. Therearetwotypesofcontractsthatwillbeused: A. Low Risk Contract Shortform (Exhibit #5) This contract will be used if risk is low (Exhibit#5)andinsurancewillnotberequired. B. HighRiskContract(Exhibit#6)Thiscontractwillbeusediftheriskisdeterminedto be high and insurance is required. A separate Additional Insured Endorsement from the insurancecarrierneedstoaccompanytheinsurancecertificate.

The contract will be signed only after thefirst two stages havebeen completed. The person preparingthecontractmustensurethatthefollowingdocumentsareattachedwiththecontract forsigning:

Timeline It is critical that the process be started on a timely basis to allow for processing and for paymentstobemadepromptly.Therearecertainengagementsinvolvingrefereesthatneedto be paid during the day of the game. It is recommended that the process start at least two monthsbeforethedateoftheengagementtoprovideampletimeforprocessing.

While engaged in carrying out and complying with any of the terms and conditions of this Agreement, the CONTRACTORisnotanofficer,agent,oremployeeoftheDISTRICT.CONTRACTORunderstandsandagrees thathe/sheandallofhisemployeesarenotemployeesoftheDISTRICTandarenotentitledtobenefitsofanykind ornaturenormallyprovidedemployeesoftheDISTRICTand/ortowhichDISTRICTemployeesarenormally entitled, including, but not limited to, State Unemployment Compensation or Workers' Compensation. CONTRACTORshallassumefullresponsibilityforpaymentofallfederal,stateandlocaltaxesorcontributions including Unemployment Insurance, Social Security, and Income Taxes with respect to CONTRACTOR'S employees. TheCONTRACTORherebywarrantsthattheproductsorservicestobeprovidedunderthisagreementcomply with the accessibility requirements of Section 508 of the Rehabilitation Act of 1973, as amended, and its implementingregulations.CONTRACTORagreestorespondpromptlytoandresolveanycomplaintsregarding accessibilityofitsproductsorservicesthatarebroughttoitsattention.Failure tocomplywiththeserequirements shallconstituteabreachandbegroundsforterminationofthisagreement. CONTRACTORunderstandsandagreesthatallmaterialsproducedunderthisAgreementshallbecomethe propertyoftheDISTRICTand cannotbeusedwithoutDISTRICT'Sexpressedwrittenpermission.DISTRICT shallhaveallright,titleandinteresttosaidmaterialsincludingtherighttosecureandmaintainacopyright and/or trademark of said materials in the name of the DISTRICT. CONTRACTOR consents to use of CONTRACTOR'Snameinconjunctionwiththesale,use,performance,anddistributionofthematerialsforany purposeandinanymedium. DISTRICTmay,atanytime,foranyreasonterminatethisAgreementandcompensateCONTRACTORonlyfor servicesrenderedtothedateoftermination.WrittennoticebyDISTRICTshallbesufficienttostopfurther performance of services by CONTRACTOR. TheCONTRACTOR,atCONTRACTOR'Sexpense,cost,andrisk,shalldefendanyandallactions,suitsor otherproceedingsthatmaybebroughtorinstitutedagainsttheDISTRICT,itsBoardofTrustees,officers, agents,oremployeesonanysuchclaim,demand,orliabilityarisingoutoforinanywayconnectedwithany servicescoveredbythisAgreement,andshallpayorsatisfyanyjudgmentthatmayberenderedagainstthe DISTRICToritsBoardofTrustees,officers,agents,oremployeesinanysuchaction,suit,orotherproceeding asaresultthereof. Pursuant to Section 8, CONTRACTOR agrees to procure, pay for, and keep in full force and effect, the followingtypesofinsurance: A. Comprehensivegeneralliability: Nolessthan$1,000,000peroccurrenceand$3,000,000aggregate. B. Automobileliabilityinsuranceperaccidentforbodilyinjuryandpropertydamageshallbefornolessthan $1,000,000peroccurrencewithnoannualaggregatelimit. C. Professional liability insurance (Errors and Omissions), shall be for no less than One Million Dollars ($1,000,000)peroccurrence. SuchinsurancemustbeinaformmutuallyacceptabletobothpartiestoprotectCONTRACTORand DISTRICTagainstliabilitywhichmayariseoutofthisAgreement.Inaddition,CONTRACTORagreesto provideanendorsementtothispolicystating,Suchinsuranceasisaffordedbythispolicyshallbeprimary, andanyinsurancecarriedbyDISTRICTshallbeexcessandnoncontributory.Nolaterthanfourteen(14) days from execution of this Agreement by the DISTRICT and CONTRACTOR, CONTRACTOR shall provideDISTRICTwithcertificatesofinsuranceevidencingallcoveragesandtheendorsementsrequired hereunderincludingathirty(30)daywrittennoticeofcancellationorreductionincoverage.CONTRACTOR agreestonameDISTRICTanditsBoardofTrustees,officers,agentsandemployeesasadditionalinsureds undersaidpolicy.

Theservicesrequiredhereinmustmeettheapprovalofthe DISTRICTandshallbesubjecttotheDISTRICT'S generalrightofinspectionandsupervisiontosecurethesatisfactorycompletionthereof.CONTRACTOR agreestocomplywithallDISTRICTpoliciesandproceduresandallfederal,stateandlocallaws,rulesand regulations that are now, or may in the future become applicable to CONTRACTOR, CONTRACTOR'S business,equipment,andpersonnelengagedinservicescoveredbythisAgreementoraccruingoutofthe performanceofsuchservices. The failure of DISTRICT or CONTRACTOR to seek redress for violation of, or to insist upon, the strict performance ofanytermorconditionofthisAgreementshallnotbedeemedawaiverbythatpartyofsuchterm orcondition,orpreventasubsequentsimilaractfromagainconstitutingaviolationofsuchtermorcondition. Ifanyterm,conditionorprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid, void,orunenforceable,theremainingprovisionswillneverthelesscontinueinfullforceandeffect,andshallnot beaffected,impairedorinvalidatedinanyway. This agreement constitutes the entire agreement between the parties to it and supersedes any prior or contemporaneous understanding or agreement with respect to the transactions contemplated.
