Representation and Exclusivity Contract (Contract) Lánazate!

Contract made this day ________ of the month of ___________, 201_ by and between
________________________________ (Artist) whose address is and hereinafter referred to in
this agreement as "Artist" and Integra Radio Group and/or its Successors (Representative)
whose address is at 808 W. Dallas Street. Conroe, TX 77301, and is hereinafter referred to in
this Agreement as "Representative".

IT IS NOTED THAT

Whereas, the Artist desires to obtain advice, guidance, counsel, and direction in the
development and promotion of his/her career as a musician, recording, artistic, performing arts
and in new and different areas of his/her artistic talents that can be developed and exploited;
and

Whereas, the Representative through its contacts, experience and background, is qualified to
provide such advice, guidance, counsel and direction to the Artist;

Therefore, in consideration of the mutual promises and covenants hereinafter mentioned and
detailed, it is understood and agreed by the parties that:

1. Representative agrees to provide services such as counseling, guidance, advice and other
services that Artist reasonably requires to develop his/her career as a musician, composer,
actor, recording artist, and performing artist, and to develop new and different areas within which
his/her artistic talents can be developed and exploited, including but not limited to the following
services:

(a) represent the Artist and act as its negotiator, to fix all terms of propensity, use, employment
or exploitation of the Artist's talents and related products; and,

(b) supervise the professional employment of the Artist, and on behalf of the Artist, consult with
employers or prospective employers to ensure proper use of and continued demand for the
Artist's services; and

(c) be available at reasonable times, times, and places to confer with the Artist in connection
with all matters concerning the Artist's professional career, business interests, employment, and
publicity; and,

(d) exploit the personality or celebrity of the Artist in all media, and in connection therewith,
approve and permit for the purpose of trade, advertising and publicity, the use, dissemination or
publication of the Artist's name, likeness, signature, voice and artistic musical material; and,

(e) hire, fire and/or direct such theatrical agents, booking agencies and employment agencies,
as well as other firms, persons or companies that may be engaged for the purpose of obtaining
contracts, engagements or employment for the Artist; and,

(f) represent the Artist in all matters relating to any union; and

(g) exercise all the powers given to the Representative pursuant to Paragraph 4 hereof.

2. The Representative is not required to provide exclusive services to the Artist or to devote all
of its time or the time of any employee of the Representative to the Artist's affairs. Nothing herein
shall be construed to limit Representative's right to represent other persons whose talents are
similar to Artist's or persons who may compete with Artist or to own, procure and seek business
which may be similar to Artist's or which may compete with Artist's.

3. Artist hereby appoints Representative as its sole and exclusive manager and/or
representative for all general and normal matters within the jurisdiction and authority of manager
and/or representative including, and not limited to, the advice, guidance, direction, and direction
specifically referenced in Paragraph 1 herein. Artist agrees to only request such advice,
guidance, direction, and direction from Representative and agrees that he/she will not hire or
solicit any other agent, representative, or manager to provide similar services to him/her; and
that he/she will not perform such services for himself/herself and will not negotiate, accept, or
execute any contract, agreement, understanding, understanding, project, undertaking,
enterprise, or agreement relating to his/her artistic career as a singer, performer, musician,
actor, recording or performing arts artist. and that he/she will not negotiate, accept, or execute
any contract, agreement, understanding, project, assignment, undertaking or arrangement
relating to his/her artistic career as a singer, performer, musician, actor, recording or performing
artist without the prior agreement and consent of the Representative.

4. Artist hereby irrevocably appoints Representative for the duration of this Representation and
Exclusivity Agreement and any extensions hereof as its legal representative and/or attorney-in-
fact to sign, make, execute, accept, endorse, collect, charge, deliver and send any and all bills of
exchange, checks and promissory notess as its legal representative; to demand, sue for, collect,
charge, recover, repossess, recover, and receive all goods, demands, awards, money, interest
and other items which may be payable or due to the Artist; and to make, execute, deliver and
forward receipts, cancel and terminate other payments from sales or otherwise and to defend,
settle or compromise, settle, adjust, draft, submit to arbitration and accept all actions, demands,
accounts, calculations, claims, and requests of any nature whatsoever which are or shall be
pending in such manner and in all respects without limitation to the foregoing; generally to do,
perform and carry out any other act, deed, or thing of any nature whatsoever which it is
reasonable to have done, performed, and carried out of any and every nature and kind in such
manner as the Artist himself could personally do; and the Artist hereby ratifies and affirms all
acts performed by the Representative by virtue of this power of attorney or power of attorney.

The Artist expressly agrees that he/she shall not exercise for him/herself any of the powers
herein granted to the Representative through the aforementioned power of attorney and/or
power of attorney without the consent of the Representative in writing and that all sums and
considerations paid to the Artist for his/her artistic performance shall be paid to the
Representative.

It is expressly understood that the foregoing power of attorney and/or power of attorney is limited
to reasonable matters related to the Artist's career as a musician, singer, performer, actor,
recording and performing artist and those new and different areas in which his or her artistic
talents may be developed and exploited.

Artist agrees and understands that the power of attorney and/or power of attorney granted to
Representative is coupled and/or coupled with an interest that Artist irrevocably grants to
Representative in Artist's career, in Artist's artistic talents, in the products of such career and
talents, and in Artist's income arising from such career, talents, and products.

Concurrently with the execution of this Agreement, the Artist shall execute a special power of
attorney and/or special power of attorney which the Representative is entitled to file in any
jurisdiction. This special power of attorney or special power of attorney shall have the same
duration as this Agreement and shall be automatically renewed when this Agreement is renewed
and/or extended. If the special power of attorney or special power of attorney is not renewed or
extended, it is agreed that by the sole fact of renewing or extending this Agreement, such
special power of attorney or special power of attorney shall automatically be renewed or
extended for a period identical to the term of this Agreement.

5. (a) As compensation for services provided, Representative shall receive from Artist (or
withhold from Artist's gross income) TWENTY PERCENT (20%) of such income.

(b) The term "gross receipts", as used herein, refers to the sum total of all income of the Artist
related to the Artist's career in the fields of entertainment, amusement, music, recording, motion
picture, television, radio, literature, theatrical, and advertising, and the Artist's artistic talents
which are developed and exploited; received by trustees, beneficiaries, assignor, assignee, or
any person, firm or corporation, or any person or firm of any person or firm of any person or firm
of any person or firm of any person, firm or corporation.The Artist's income from the Artist's
entertainment, amusement, music, recording, motion picture, television, radio, literary, theatrical,
and advertising, and the Artist's artistic talents that are developed and exploited; received by
trustees, beneficiaries, assignor, assignee, or by any person, firm or corporation (including the
Representative) on his or her behalf.

(i) Advance royalty payments to the Artist that are deemed to be recoverable or recoverable or
deducted from future revenues by the party or parties making such advance royalty payments
shall not be included in gross revenues.

(ii) Royalty payments made to the Artist after repayment shall be payable to the Representative
as mentioned in Section 5 of this Agreement.

(c) The compensation agreed to be paid to the Representative shall be based on the gross
revenues (as defined herein) of the Artist accrued or received by the Artist during the term of this
Agreement and subsequent to the termination of this Agreement as a result of any services
performed by the Artist during the term of this Agreement or as a result of any contract
negotiated during the term of this Agreement and any renewal, extension, or modification of this
Agreement.The compensation to be paid to the Representative shall be based on the gross
revenues (as defined herein) of the Artist accrued or received by the Artist during the term of this
Agreement and subsequent to the termination of this Agreement as a result of any services
performed by the Artist during the term of this Agreement or as a result of any contract
negotiated during the term of this Agreement and any renewal, extension, or modification of this
Agreement.

(d) In the event that the Artist forms or creates a corporation or company during the term hereof
for the purpose of providing and/or supplying and/or exploiting its artistic talents, the Artist
agrees that such corporation or company shall offer to enter into and execute a management
contract with the Representative identical in all respects and respects to this Agreement (with
the exception of the portions referenced herein).

(i) In the event the Representative accepts such offers, then the gross income of such
corporation before deduction of any salary to the Artist, any business and/or corporate income
taxes and any business and/or corporate expenses or any other expenses and/or deductions
shall be included as part of the gross income of the Artist as defined herein for purposes of
calculating compensation payable to the Representative as set forth herein.The gross income of

(e) In the event that Artist forms a firm or corporation or enters into or executes a contract with a
firm or corporation, during the term of this Agreement, for the purpose of exploiting and/or
supplying Artist's artistic talents, then in addition to any and all consideration payable to
Representative as set forth herein, Representative shall have the irrevocable right to purchase at
least TWENTY PERCENT (20%) shares of such firm or corporation.In addition to any and all
consideration payable to Representative as provided herein, Representative shall have the
irrevocable right to purchase at least TWENTY PERCENT (20%) of the stock of such firm or
corporation at ONE DOLLAR ($1.00) per share.00) PER SHARE. Artist expressly agrees not to
enter into or execute any contract with any firm or corporation for such purpose unless such
option is made available to Representative.

(f) Artist agrees that all Gross Revenues as defined herein may be paid directly to
Representative by all persons, corporations, firms, and firms and shall not be paid to Artist by
such persons, corporations, firms, and firms, and that Representative may withhold from such
payments Representative's compensation and may reimburse itself for any fees, costs, or
expenses reasonable and/or chargeable to or advanced or incurred by Representative from
Artist's Gross Revenues, that portion of Artist's Revenues, that portion of the ReRepresentative
may reimburse itself for any fees, costs, or expenses reasonable and/or charged or advanced or
incurred by Representative from Artist's gross income, that portion of Artist's income which
equals Representative's compensation and any expenses incurred by Representative on behalf
of Artist.

6. The Artist is solely responsible for payment to all event booking and promotion agencies,
fees, union dues, advertising, promotional or operating costs, travel or transportation costs,
closet and reasonable expenses as a result of the Representative's services hereunder. In the
event that Representative pays or incurs in advance fees, costs, or expenses on behalf of Artist,
or incurs any other reasonable expenses and/or costs related to Artist's professional career or
the performance of Representative's services hereunder, Artist shall promptly reimburse
Representative for such expenses, costs and fees.

7. The Artist warrants and promises not to be invalid, restrained or enjoined from performing this
Agreement and to perform or carry out the terms and conditions of this Agreement. The Artist
further warrants and represents that no act or omission by the Artist shall hereafter violate any
right or obligation of any person. Aritsta agrees to indemnify Representative and releases and
holds Representative harmless and/or indemnifies Representative from any loss, liability,
damages, costs, expenses, fees (including attorneys' fees) incurred by Representative as part of
any claim, demand, suit, litigation, or proceeding against Representative as a result of any actual
or alleged breach, breach, default, breach, and/or breach by Artist of any warranty,
representation, or covenant or agreement of Artist.Representative shall not be liable for any loss,
liability, damages, costs, expenses, fees (including attorneys' fees) incurred by Representative
as part of any claim, demand, suit, litigation, or proceeding against Representative as a result of
any actual or alleged breach, breach, default, and/or breach by Artist of any warranty,
representation, covenant or agreement of Artist. Artist agrees to make every reasonable effort to
perform, develop and exercise his or her career during the term of this Agreement, and to
cooperate with Representative to the fullest extent possible in the interest of furthering Artist's
career.

8. The term of this Agreement shall be for an initial period of ONE (1) YEAR with the
irrevocable option to renew for annual periods for FOUR (4) YEARS after the conclusion of the
first year with prior notice (via mail or email) to the Artist SIXTY (60) days either prior to the
expiration of the initial period or each optional period.The term of this Agreement shall be for an
initial period of ONE (1) YEAR with an irrevocable option to renew for annual periods for FOUR
(4) YEARS after the end of the first year with prior notice (via mail or e-mail) to the Artist SIXTY
(60) days either prior to the expiration of the initial period or each optional period.

9. Representative agrees to maintain accurate books and records of all transactions relating to
Artist, which books and records may be inspected during business hours by a certified public
accountant who is designated by Artist with prior notice to Representative.

10. During the term of this Agreement, it is understood and agreed that no change or
modification shall be made to this Agreement unless written in this Agreement and signed by
both parties. No waiver and/or waiver or breach of this Agreement shall be construed as a
waiver and/or waiver or future breach of any term of this Agreement.

11. It is agreed that any assertion or claim made by Artist or Representative that the other party
has breached any obligation contained in this Agreement, the party alleging the breach shall
inform the other party in writing by certified mail and such party shall have a period of SIXTY
(60) days from the date of receipt of such written communication to restore or remedy the
breach.s certified mail of the specific obligation claimed to have been breached and such party
shall have a period of SIXTY (60) days from the date of receipt of such written communication to
restore or remedy the breach.

12. The Artist and the Representative agree and accept that no joint venture or partnership
relationship exists between the Artist and the Representative as a result of this Agreement.

13. (a) This Agreement shall be construed in accordance with the laws of the State of Texas,
United States of America in accordance with the contract entered into as a governing principle,
and shall be binding upon and inure to the benefit of the parties, their heirs, successors, assigns,
attorneys-in-fact, administrators, and executors.

(b) The use of the masculine gender in this Agreement shall also be understood to refer to the
feminine gender or the neuter gender when the context so requires.

14. The Representative may transfer this Agreement to any other company or person or
persons (Successor); and if so, the Successor shall offer to enter into and execute a
management contract as Artist's Representative and the contract shall be identical in all respects
and respects to this Agreement (with the exception of the portions mentioned herein).

15. The Artist agrees to provide or furnish, along with this Agreement, a copy of his/her official,
valid and current identification from the country where he/she resides as of the date indicated at
the beginning of this Agreement.

IN WITNESS WHEREOF, and as a sign of express conformity and acceptance of the terms
contained in this Agreement, the parties hereto sign it on the date indicated at the beginning of
this document.

preparation and execution of said contracts and I agree to fully and punctually perform said
contracts.

In the event that I fail to appear and fully and timely perform said agreements, and in
consideration of Integra Radio Group and/or its Successors acting as my attorney-in-fact, I
agree to indemnify Integra Radio Group and/or its Successors for any actual loss or damage to
Integra Radio Group and/or its Successors including court and/or civil and/or legal costs and
expenses and attorney's fees, resulting from my failure to appear and fully and timely perform
said agreements.

This document shall be construed and interpreted as a Special Power of Attorney or Special
Power of Attorney through which Integra Radio Group and/or its Successors are empowered to
enter into contracts for my personal services as an artist. The rights, powers, and authority of my
attorney-in-fact, Integra Radio Group and/or its Successors, to exercise any and all rights and
powers granted herein to my attorney-in-fact shall commence on the day of of the month
of _____________201_ and such rights, powers, and authority
shall remain in force, enforceable and effective until the day of ________ of the month of
_______________201_ or until I give notice of termination to my attorney-in-fact in writing and
signed by me.
