Service Agreement

Between the undersigned PATRICIA ROJAS FLOREZ, with principal domicile in the city of Pitalito -
Huila, hereinafter referred to as CONTRACTOR, identified as shown at the bottom of her signature, and
on the other hand LORENA VARGAS CORREA, who is identified as shown at the bottom of her
signature and hereinafter referred to as CONTRACTOR, we have agreed to enter into a contract for the
rendering of technical services, which shall be governed by the clauses expressed below and in general
by the provisions of the Civil Code and the Code of Commerce applicable to the subject matter hereof.
CONTRACTOR, have agreed to enter into a contract for the rendering of technical services, which shall
be governed by the clauses set forth below and in general by the provisions of the Civil Code and the
Code of Commerce applicable to the subject matter of this contract:

First. Object. The CONTRACTOR, independently, without subordination or dependence, using means
provided by the CONTRACTOR, shall provide the services of:

 ACCOUNTING ASSISTANT: Perform activities inherent to accounting, payroll, portfolio,

provisions, reconciliations.

 DIGITATION OF ACCOUNTING INFORMATION: Process accounting information to the

accounting system designated by the contractor.

 ELABORATION OF FINANCIAL REPORTS: submit monthly reports on the work carried out
with respect to the companies in charge.

Second. Termination of the Contract. This Service Agreement shall extend for a period of TWELVE
MONTHS.

Third. ECONOMIC REMUNERATION. - The CONTRACTOR shall pay the CONTRACTOR for
Technical Services the amount of ONE MILLION TWO HUNDRED THOUSAND PESOS M.CTE.

Fourth. Extension. If upon expiration of the term established for the execution of the service contract,
the CONTRACTOR does not notify cancellation of the same, it is understood that it is extended for a
period similar to the present contract.

Fifth. New service. If at the end of the object of the contracted service, the CONTRACTOR needs a new
service from the CONTRACTOR, a new Service Agreement shall be made and it shall not be
understood as an extension because the contractual causes that gave rise to this contract have
disappeared.

Sixth. CONTRACTOR's obligations. The CONTRACTOR'S obligations are as follows:

1. To act with seriousness and diligence in the contracted service.

2. To make monthly reports.

3. Attend to the requests and recommendations made by the CONTRACTOR or its delegates, as
promptly as possible.

4. Allow the CONTRACTOR or a delegate to visit the CONTRACTOR's facilities or the site where the
contracted work is being performed.

5. Pay social security contributions in accordance with current legislation.

6. Any other agreed upon by the parties without subordination.

Seventh. CONTRACTOR's obligations. The CONTRACTOR has the following obligations:

1. To pay the fees fixed to the CONTRACTOR, according to the form agreed upon within the due term.

2. Deliver all information requested by the CONTRACTOR in order to carry out its independent work
normally.

Eighth. Early or abnormal termination. Failure to comply with the obligations of each of the parties shall
give rise to the other party to unilaterally terminate the Service Contract.

Tenth. Arbitration clause. Any controversy or difference relating to this contract, its execution and
liquidation, shall be resolved by an arbitration tribunal which for reasons of economy shall be designated
by the parties and shall be located at the domicile where the contracted service was to be executed or,
failing that, at the domicile of the party summoning it. The Arbitration Tribunal shall be subject to the
provisions of Decree 1818 of 1998 or organic statute of alternative dispute resolution systems and other
concordant rules.

In any case, this contract is enforceable because it is a clear, express and enforceable obligation for the
parties.

In proof of conformity, two copies of the same tenor are signed in the city of PITALITO - HUILA, on the
4th day of JANUARY, 2010.
