NON-DISCLOSURE AGREEMENT

THIS AGREEMENT governs the disclosure of information provided by the Korea Institute for Advancement of Technology(hereinafter called KIAT), a non-profit organization incorporated in Korea and having its principal place of business at 135-513, Korea Technology Center 305 Teheranno, Kangnam-Ku, Seoul, Korea to the Evaluator. 1. Definition of Confidential Information. As used herein, "Confidential Information" shall mean any and all technical and non-technical information provided for the Evaluator by the KIAT including but not limited to (a) patent(s) and patent applications, (b) trade secret, and (c) copyrighted information (d) proprietary information-- ideas, techniques, sketches, drawings, works of authorship, models, inventions, know-how, processes, financial information, investors, employees, business and contractual relationships, business forecasts, sales and merchandising, marketing plans and others. 2. Handling of Confidential Information. The Evaluator agrees that at all times and notwith- standing any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party confidential Information provided by the KIAT, except as approved in writing by the KIAT to this Agreement. The KIAT shall permit the Evaluator only to access to confidential Information provided by KIAT. The Evaluators employees or authorized representatives having a need to know and who have signed confidentiality agreements are also bound by confidentiality obligations at least as restrictive as those contained herein. 3. Residual Knowledge. Recipient may enhance its knowledge and experience retained in intangible form in the unaided memories of its directors, employees/contractors and advisors as a result of viewing Disclosers Confidential Information. 4. Warranties. The Evaluator represents and warrants to the KIAT that (a) it has the requisite corporate authority to enter into and perform this Agreement, (b) this Agreement constitutes its legally binding obligation, enforceable in accordance with its terms, and (c) its execution and performance under this Agreement, including its disclosure of confidential Information to the recipient, will not result in a breach of any obligation to any third party or infringe or otherwise violate any third partys rights. 5. Miscellaneous. The Evaluator shall not transfer or assign this Agreement to any other person or entity, whether by operation of law or otherwise, without the prior written consent of the other. When goal of the Project has been accomplished by another program and accordingly continued the Project is no longer necessary. When it is deemed unnecessary to continue the Project in accordance with performance of industrial technology policy by Party A. When the lead organization intends to discontinue performing the Project. (3) () 3 () , 15 . When the Agreement is terminated, Party B shall discontinue the use of the Costs and report the details of execution of the government contributions it received and the balance to Party A or Dedicated Organization without any delay in accordance with Article 3. 11 () Article 11 (Others)

When Party B deems necessary to open or present the outcome of the Project to the public, Party B shall announce that it was performed as the Project for feasibility study of International Collaborative R&D Program by Ministry of Knowledge Economy. (2) . If any provision which is not mentioned in the Agreement hereof, related regulations in the Related Decree is considered as provisions under the Agreement hereof.

1( ) Article 1 (Purpose)
1 ( ) . The purpose and details of the full scale project to be executed under the Agreement shall be in accordance with the purpose and details of 'Proposal for Full Scale Project Under International Collaborative R&D Program' ("Proposal") presented in Appendix 1 hereof.

Settlement of Project Budgets under Knowledge Economy Technology Innovation Programsand the regulations on follow-up management (hereinafter called Related Law) (2) (1) . All project participants referred to in the foregoing (1) shall make their best effort to comply withthe Regulations on Research Ethics and Integritydesigned to secure research ethics, and the Regulations on Security Control of the Knowledge Economy Technology Innovation Programsdesigned to establish and enforce security measures for research and development projects.
Party B shall have the rights and responsibilities set forth in each of the following subparagraphs: Overall management regarding conclusion and performance of an agreement on a project Payment of civilian dues, a portion of project budget to be borne by Party B Securing participating personnel and facilities necessary to perform a project and administrative support Management of project budget and report of budget disbursement results Submission of interim reports(annual, progress, phase-based) and final report Utilization of deliverables and submission of a deliverables utilization report, etc. Collection, use, and payment of collection and report thereof Submission of survey, analysis, and evaluation reports on national research and development programs Security control of the ongoing project Compliance with research ethics Other matters defined as the rights or responsibilities of a dedicated organization by the Operational Regulations and Guidelines. Notwithstanding the foregoing (1), Party A may adjust the disbursement amount and the date of disbursement of the government contributions in the event of each of the following subparagraphs: where adjustment is needed due to a limited government budget or financial constraint; Where the agreement has been amended due to reduction of the project budget or shortening of the total project period where adjustment is needed due to an amendment to or termination of this Agreement; where it is necessary to adjust the amounts following the results of the annual progress inspection and the interim evaluation conducted by Party A or a person they appointed for such purpose; and where adjustment is needed due to any causes beyond the control of Party A or the DO (hereinafter called "Force Majeure"). Party A may make inquiry of details of project budget disbursements on a regular or a real-time basis through inquiry on the financial transactions of the Project Account for the purpose of effective pursuit of the full scale project hereunder and transparent execution of the project budget. In such a case, any person that uses and manages the project budget such as Party B, participating organizations, subcontract organizations and so forth shall consent to such inquiry. To effectively pursue the full scale project hereunder, Party B may disburse a part of the project budget received under the foregoing (1) or (2) by concluding an agreement with a participating organization, and the participating organization shall use and manage the received budget with the care of bona fide managers pursuant to the foregoing (4).

Within fifteen days from the day that Party A had notified Party B of its review result of the project budget account settlement report, Party B shall remit an unused amount of the government contributions from the balance of the total project budget to a bank account designated by the Party A in accordance with the Party A's review result of the project budget account settlement report.
8( ) Article 8 (Amendment)
(1) () () . Party A and Party B may amend and change the details of the Proposal and this Agreement in accordance with the procedures and methods specified in the Operational Regulations or the Guideline. Party B intends to change the goals set forth in the Proposal, replace Party B or participating organization/company, adjust the total project period, replace a principal investigator, change expensive - 79 -
research equipment, materials and facilities, increase a budget for labor cost and subcontract cost, or adjust the total project budget of each executing organization deviating from the original amount under the agreement, it shall obtain approval thereof from Party A prior to one month from the closing date of the year that causes of such amendment occur. Such approval shall be sought in accordance with the rules and procedures specified in the Operational Regulations and Guideline, etc. (3) () (2) (3) () () () () . In the event Party B or participating organizations seek approval of Party A for replacement of Party B or participating organizations under the foregoing (2) or (3), the newly replaced Party B or participating organizations shall conclude the International Collaborative R&D Project Transfer and Assignment Agreement, under which the newly replaced Party B or participating organizations shall assume all rights and obligations of the previous Party B or participating organizations, arising out of execution of the project or utilization of deliverable hereunder. A notarized copy of the executed Bilateral International Collaborative R&D Project Transfer and Assignment Agreement shall be submitted to Party A. (4) . Other specific matters concerning amendment of this Agreement shall be subject to the Operational Regulations and Guideline
9( ) Article 9 (Termination)

where an event set forth in Article 24 'Termination of an Agreement' of the Operational Regulations occurs; where an organization that executes or utilizes the full scale project such as Party B, a Principal Investigator, participating organization and its representative, a subcontract organization or a project leader of a subcontracted project (hereinafter called "Executing Party") delays in paying or fails to pay the Civilian Dues under Article 3 hereof without any justifiable reason; where an Executing Party inappropriately disburses or manages the project budget under Article 4 hereof; where submission of a result report under Article 4 hereof has been delayed for more than three months without any justifiable reason or such a report has been falsely prepared; where Party A, or a party they had appointed, had classified the project as "Termination" in the annual progress inspection or the interim evaluation of the result report submitted under Article 4 hereof. where the goal of the project had been already achieved through a different project, so there is no need to continue it; where MKE finds it unnecessary to continue the project in light of the industrial technology policies; and where it is deemed that other cause having the same degree of significance as the foregoing through occurs. In the event of termination of this Agreement, an Executing Party shall immediately stop using the project budget and report to the head of Party A with the detailed statements of the disbursements and a balance of the government contributions without any delay. The Executing Party shall remit an amount subject to restitution, calculated from the Party A's review result of the account settlement, to a bank account designated by Party A within one month from the day that Party A had notified such amount subject to restitution.

The head of Party B shall take measures set forth in each of the following subparagraphs in applying for or registering intellectual property rights resulting from the project under this Agreement: In the application for intellectual property rights, information indicating government funding, including the identification number of each project, supporting agency and title of each project, etc. shall be specified, and such application shall not be made in the name of an individual chief researcher or participating researcher; Concerning intellectual property rights applied or registered in the Republic of Korea or a foreign country, an application for intellectual property rights or an application for registration thereof containing the information set forth in the foregoing and the evidentiary documents such application and/or registration, shall be submitted to Party A within six months from the date of such application or registration; and Concerning intellectual property rights registered in a foreign country, a copy of the registration gazette thereof shall be submitted to Party A within three months from the date of publication of such gazette.

5. Restitution of government contributions (1) . , , , (, ) . With respect to restitution of government contributions, the accountable organization shall pay the affected amount in cash within the scope of government contributions during the sanctioned period; provided, however, that a corporation is subject to default, bankruptcy, business discontinuation or it is found difficult to pay the affected amount in cash, it may re-pay the government contributions using the Tangible Items (research equipment, research facilities and prototype product, etc.) (2) 3,000 , 1,000 , . () () . For the purpose of granting to Party B the license on a technology that was developed by Party A as a result of performing a project under the Knowledge Economy Technology Innovation Programme, Party A and Party B agree as follows:
2( ) Article 2 (License)

Subject to the terms and conditions set forth herein, Party B shall possess the right to use (including act of producing products using the deliverables), assign (including technology transfer), lease or export Technology in the territory of Republic of Korea (hereinafter called License). In case where patent rights, utility model rights, design rights, etc. are established and registered with respect to Technology, the License granted to Party B shall be deemed to include exclusive rights of the aforementioned rights, unless otherwise specified in law and regulations or other special agreement.
* * In principle, the licensee shall be given the exclusive license; provided, however, that a non-exclusive license may be given to the licensee through consultation between the parties to the License Agreement.

Party B shall not furnish or dispose the License hereunder to a third party through permission of use or assignment of the License to a third party, or establishment of a pledge thereon, etc. without a prior written consent of Party A. Any terms and conditions hereunder may be amended effectively by a written consent of Party A and Party B; provided, however, that if it is deemed that Party Bs production capacity has failed to meet the demand of products, or Party B has failed to sufficiently materialize Technology technically and thus it is deemed lack an ability to improve it, Party B may allow a third party to license Technology.

In the event of falling under any of the following subparagraphs, Party A is entitled to urge Party B to perform its obligations in writing giving a 30-day grace period prior to termination of this Agreement, and in case where this Agreement is terminated subsequently, Party A shall not return the amount already paid to it (including promissory notes already received), and Party B shall return all data and documents furnished concerning Technology to Party A and lose all and any rights hereunder: 4 () Where Party B does not license Technology or give up licensing Technology within the licensing period under Article 4 hereof without any justifiable reasons; 4 () () Where Party A deems that Party B has suspended its operation and subsequently it is unable to continue performing this Agreement within the licensing period under Article 4 hereof; () 5 Where Party B fails to pay the compensation for the License under Article 5 hereof without any justifiable reasons; and/or Where Party B is in breach of any of the terms and conditions hereunder, and obligations under related law and regulations.
