THIS AGREEMENT governs the disclosure of information provided by the Korea Institute for Advancement of Technology(hereinafter called KIAT), a non-profit organization incorporated in Korea and having its principal place of business at 135-513, Korea Technology Center 305 Teheranno, Kangnam-Ku, Seoul, Korea to the Evaluator. 1. Definition of Confidential Information. As used herein, "Confidential Information" shall mean any and all technical and non-technical information provided for the Evaluator by the KIAT including but not limited to (a) patent(s) and patent applications, (b) trade secret, and (c) copyrighted information (d) proprietary information-- ideas, techniques, sketches, drawings, works of authorship, models, inventions, know-how, processes, financial information, investors, employees, business and contractual relationships, business forecasts, sales and merchandising, marketing plans and others. 2. Handling of Confidential Information. The Evaluator agrees that at all times and notwith- standing any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party confidential Information provided by the KIAT, except as approved in writing by the KIAT to this Agreement. The KIAT shall permit the Evaluator only to access to confidential Information provided by KIAT. The Evaluators employees or authorized representatives having a need to know and who have signed confidentiality agreements are also bound by confidentiality obligations at least as restrictive as those contained herein. 3. Residual Knowledge. Recipient may enhance its knowledge and experience retained in intangible form in the unaided memories of its directors, employees/contractors and advisors as a result of viewing Disclosers Confidential Information. 4. Warranties. The Evaluator represents and warrants to the KIAT that (a) it has the requisite corporate authority to enter into and perform this Agreement, (b) this Agreement constitutes its legally binding obligation, enforceable in accordance with its terms, and (c) its execution and performance under this Agreement, including its disclosure of confidential Information to the recipient, will not result in a breach of any obligation to any third party or infringe or otherwise violate any third partys rights. 5. Miscellaneous. The Evaluator shall not transfer or assign this Agreement to any other person or entity, whether by operation of law or otherwise, without the prior written consent of the other. 3 ( ) Article 3 (Payment of Costs for the Project)

7 ( ) Article 7 (Termination of Agreement)

When it is deemed difficult to expect intended outcome or lack of ability to perform such development is warranted due to suspended performance of the Project. When goal of the Project has been accomplished by another program and accordingly continued the Project is no longer necessary. When it is deemed difficult or unnecessary to continue the Project due other serious causes. When it is deemed unnecessary to continue the Project in accordance with performance of industrial technology policy by Party A. When the lead organization intends to discontinue performing the Project. (3) () 3 () , 15 . When the Agreement is terminated, Party B shall discontinue the use of the Costs and report the details of execution of the government contributions it received and the balance to Party A or Dedicated Organization without any delay in accordance with Article 3. Party B shall pay the restituted amount in accordance with settlement to account designated by Dedicated Organization within 15 days of notification.

8 ( ) Article 8 (Intellectual Property Rights and Reversion of Items, etc)

10 ( ) Article 10 (Compliance with Related Law)

In the process of accomplishing the Project hereof, Party B shall comply with the Industrial Technology Innovation Promotion Act and the Enforcement Decree, Operational regulations and Management Guidelines and Related Decree for provisions not stated in the Agreement hereof. In violation of the Agreement and Related Decree hereof by Party B, Party A or Dedicated organization reserves the right take punitive measures in accordance with Operational Regulations against Party B.

11 () Article 11 (Others)

When Party B deems necessary to open or present the outcome of the Project to the public, Party B shall announce that it was performed as the Project for feasibility study of International Collaborative R&D Program by Ministry of Knowledge Economy. (2) . If any provision which is not mentioned in the Agreement hereof, related regulations in the Related Decree is considered as provisions under the Agreement hereof.

12 ( ) Article 12 (Interpretation and settlement of conflict)


(1) , () . The Agreement hereof shall be written both in Korean and English together and in case of any divergence of interpretation, the Korean text and interpretation by Party A will prevail. (2) . . The conflict which may occur during performance of the Project for clauses not defined in the Agreement hereof, shall be settled in consultation between Parties. If the conflict is not settled upon consultation, it shall be referred to the court of justice in the jurisdiction of Party A for settlement by arbitration.

1( ) Article 1 (Purpose)
1 ( ) . The purpose and details of the full scale project to be executed under the Agreement shall be in accordance with the purpose and details of 'Proposal for Full Scale Project Under International Collaborative R&D Program' ("Proposal") presented in Appendix 1 hereof.

2 ( ) Article 2 (Definition of Terms)

Article 3 (Principle of Good Faith)

Parties to this Agreement shall perform the Project under Article 1 hereof in good faith under the coordination and supervision of Principal Investigator in accordance with this Agreement andIndustrial Technology Promotion Act, and the Enforcement Decree and Enforcement Rules thereof,the Common Operational Regulations for Knowledge Economy Technology Innovation Programs,the Evaluation Guideline for the Knowledge Economy Technology Innovation Programs (International Collaborative Research and Development Programs),the Comprehensive Regulations on Collection, Use and Management of Royalties,the Operational Regulation for Calculation, Management and Use and - 73 -

Settlement of Project Budgets under Knowledge Economy Technology Innovation Programsand the regulations on follow-up management (hereinafter called Related Law) (2) (1) . All project participants referred to in the foregoing (1) shall make their best effort to comply withthe Regulations on Research Ethics and Integritydesigned to secure research ethics, and the Regulations on Security Control of the Knowledge Economy Technology Innovation Programsdesigned to establish and enforce security measures for research and development projects.

4 ( ) Article 4 (Rights and Responsibilities of Parties)

Party B shall have the rights and responsibilities set forth in each of the following subparagraphs: Overall management regarding conclusion and performance of an agreement on a project Payment of civilian dues, a portion of project budget to be borne by Party B Securing participating personnel and facilities necessary to perform a project and administrative support Management of project budget and report of budget disbursement results Submission of interim reports(annual, progress, phase-based) and final report Utilization of deliverables and submission of a deliverables utilization report, etc. Collection, use, and payment of collection and report thereof Submission of survey, analysis, and evaluation reports on national research and development programs Security control of the ongoing project Compliance with research ethics Other matters defined as the rights or responsibilities of a dedicated organization by the Operational Regulations and Guidelines. Party B and Participating Organizations shall agree and be cooperative with Party A and/or a person appointed by Party A with respect to their effort to collect and utilize information on the deliverables and participating personnel, etc. of the project.

5( ) Article 5 (Disbursement of Project Budget, etc.)

For the purpose of pursuing a full scale project referred to in Article 1 hereof, Party A, Korea Institute for Advancement of Technology under Article 11 (4) of the Industrial Technology Innovation Promotion Act and Article 14 (1) of the Enforcement Decree of the same Act (hereinafter called "Dedicated Organization" or "DO"), shall disburse the government contributions of the project budget to thegovernment contribution account(hereinafter called "Project Account"), which was designated and specified by Party B at the time when the parties hereto concluded the Agreement. All participating organizations shall pay contributions in cash and in- kind, independent of the government contributions referred to in the foregoing (1), (hereinafter called "Civilian Dues") of the project budget to Party B as follows. Notwithstanding the foregoing (1), Party A may adjust the disbursement amount and the date of disbursement of the government contributions in the event of each of the following subparagraphs: where adjustment is needed due to a limited government budget or financial constraint; Where the agreement has been amended due to reduction of the project budget or shortening of the total project period where adjustment is needed due to an amendment to or termination of this Agreement; where it is necessary to adjust the amounts following the results of the annual progress inspection and the interim evaluation conducted by Party A or a person they appointed for such purpose; and where adjustment is needed due to any causes beyond the control of Party A or the DO (hereinafter called "Force Majeure"). Party B and the participating organizations shall use and manage the project budget (including government contributions, the Civilian Dues and accrued interest thereon; the same shall apply hereinafter) with the care of bona fide managers in accordance with Article 26 of the Common Operational Regulations for Knowledge Economy Technology Innovation Programs (hereinafter called Operational Regulations). Party A may make inquiry of details of project budget disbursements on a regular or a real-time basis through inquiry on the financial transactions of the Project Account for the purpose of effective pursuit of the full scale project hereunder and transparent execution of the project budget. In such a case, any person that uses and manages the project budget such as Party B, participating organizations, subcontract organizations and so forth shall consent to such inquiry. To effectively pursue the full scale project hereunder, Party B may disburse a part of the project budget received under the foregoing (1) or (2) by concluding an agreement with a participating organization, and the participating organization shall use and manage the received budget with the care of bona fide managers pursuant to the foregoing (4).

6( ) Article 6 (Report on Deliverables and Budget Disbursement)


(1) () . . Party B shall prepare an annual report using a given form and submit it to the DO before the closing date - 77 -

of the corresponding year. In this event, the subcontract organizations account settlement for an annual budget may be omitted. (2) () 1 1 (1 2 ), () . () 3 () . . In the event that Party B executes a phased-based project, it shall submit to Party A an interim report (Phase 1 result report and Phase 2 proposal) prior to one month from the closing date of Phase 1. In addition, Party B shall submit the project budget disbursement results to the head of a subcontracted settlement agency appointed by the head of Party A within three months from the closing day of the corresponding Phase Agreement. As for an overseas organization, it may have the accounts of a project budget settled by a subcontracted settlement agency that had been separately appointed by such a overseas organization. Party B shall submit to Party A a final report prior to one month from the closing date of the total project period, and also a deliverables utilization report in accordance with the procedures and methods separately specified by Party A, by the end of every February for five years from the year of Party As notification of the Final Evaluation result. Party A may determine success or failure of the project by reviewing the final report. (4) () (1), (2) (3) , () , () () . Party A may request Party B to correct or supplement a result report, a next phase proposal, and a deliverable utilization report specified in the foregoing (1), (2) and (3), if necessary. In such case, Party B shall correct or supplement details of a project as requested by Party A. (5) () () , () () () . To confirm that the project budget is disbursed in a transparent and fair manner, Party A may request Party B and participating organizations to submit documents on budget disbursement results or conduct onsite inspection thereof, and Party B and participating organizations shall faithfully respond to such request by Party A or a person appointed by Party A. () . Party B may carry forward a balance of the project budget generated in the corresponding year or phase to the next year or phase. Within fifteen days from the day that Party A had notified Party B of its review result of the project budget account settlement report, Party B shall remit an unused amount of the government contributions from the balance of the total project budget to a bank account designated by the Party A in accordance with the Party A's review result of the project budget account settlement report.

7( ) Article 7 (Submission of Related Documents, etc.)


(1) () () , , . In the event that Party A or a person they had appoint for such a purpose, requests an onsite investigation, inspection of related documents, and submission of related materials, Party B shall comply with such request in good faith and cause the participating organizations and subcontract organizations to comply with such request. (2) () () , , , () () . 4 11 . Party A and Party B shall send all communications, notices or the like in writing to the other party to their respective address specified in the Agreement via content-certified mail, registered mail, electronic mail, etc. In the event that there is any change in the address of Party A or Party B, they shall immediately advise the other party thereof. In such event, the due date for mandatory notification refers to the due date for submission of a result report under Article 4 Report on Deliverables and Budget Disbursement hereof and the effective period of rights and obligations under Article 12 Applicable Laws and Regulation hereof.

8( ) Article 8 (Amendment)
(1) () () . Party A and Party B may amend and change the details of the Proposal and this Agreement in accordance with the procedures and methods specified in the Operational Regulations or the Guideline. (2) () , () / , , , , , 1 () . . Party B intends to change the goals set forth in the Proposal, replace Party B or participating organization/company, adjust the total project period, replace a principal investigator, change expensive - 79 -

research equipment, materials and facilities, increase a budget for labor cost and subcontract cost, or adjust the total project budget of each executing organization deviating from the original amount under the agreement, it shall obtain approval thereof from Party A prior to one month from the closing date of the year that causes of such amendment occur. Such approval shall be sought in accordance with the rules and procedures specified in the Operational Regulations and Guideline, etc. (3) () (2) (3) () () () () . In the event Party B or participating organizations seek approval of Party A for replacement of Party B or participating organizations under the foregoing (2) or (3), the newly replaced Party B or participating organizations shall conclude the International Collaborative R&D Project Transfer and Assignment Agreement, under which the newly replaced Party B or participating organizations shall assume all rights and obligations of the previous Party B or participating organizations, arising out of execution of the project or utilization of deliverable hereunder. A notarized copy of the executed Bilateral International Collaborative R&D Project Transfer and Assignment Agreement shall be submitted to Party A. (4) . Other specific matters concerning amendment of this Agreement shall be subject to the Operational Regulations and Guideline

9( ) Article 9 (Termination)

where an event set forth in Article 24 'Termination of an Agreement' of the Operational Regulations occurs; where an organization that executes or utilizes the full scale project such as Party B, a Principal Investigator, participating organization and its representative, a subcontract organization or a project leader of a subcontracted project (hereinafter called "Executing Party") delays in paying or fails to pay the Civilian Dues under Article 3 hereof without any justifiable reason; where an Executing Party inappropriately disburses or manages the project budget under Article 4 hereof; where submission of a result report under Article 4 hereof has been delayed for more than three months without any justifiable reason or such a report has been falsely prepared; where Party A, or a party they had appointed, had classified the project as "Termination" in the annual progress inspection or the interim evaluation of the result report submitted under Article 4 hereof. where the goal of the project had been already achieved through a different project, so there is no need to continue it; where MKE finds it unnecessary to continue the project in light of the industrial technology policies; and where it is deemed that other cause having the same degree of significance as the foregoing through occurs. (2) 3 () , () () 1 () . In the event of termination of this Agreement, an Executing Party shall immediately stop using the project budget and report to the head of Party A with the detailed statements of the disbursements and a balance of the government contributions without any delay. The Executing Party shall remit an amount subject to restitution, calculated from the Party A's review result of the account settlement, to a bank account designated by Party A within one month from the day that Party A had notified such amount subject to restitution.

10 Article 10 (Conclusion of License Agreement and Payment of Royalty)

In the event that Party B is a for-profit organization as defined by Article 11 of the Enforcement Decree of the Industrial Technology Promotion Act, the licensee companies that utilize the deliverables of the full scale project shall be all of Party B and the participating organizations, who are for-profit companies, and in the event that Party B is a non-profit organization such as universities & colleges, research institutes, the licensee companies shall be all of the participating organizations, who are for-profit companies. In any event, the licensee companies shall enter into license agreement, collect royalties and directly pay collected - 81 -

The head of Party B shall take measures set forth in each of the following subparagraphs in applying for or registering intellectual property rights resulting from the project under this Agreement: In the application for intellectual property rights, information indicating government funding, including the identification number of each project, supporting agency and title of each project, etc. shall be specified, and such application shall not be made in the name of an individual chief researcher or participating researcher; Concerning intellectual property rights applied or registered in the Republic of Korea or a foreign country, an application for intellectual property rights or an application for registration thereof containing the information set forth in the foregoing and the evidentiary documents such application and/or registration, shall be submitted to Party A within six months from the date of such application or registration; and Concerning intellectual property rights registered in a foreign country, a copy of the registration gazette thereof shall be submitted to Party A within three months from the date of publication of such gazette.

12 ( ) Article 12 (Applicable Law and Regulations)


(1) 2(1) . Any person or an organization that participates in the execution of the full scale project or utilizes the deliverables hereunder shall abide by the Applicable Laws and Regulations set forth in Article 2 (1) and this Agreement. Matters not specified in this Agreement shall be executed in accordance with the Applicable Laws and Regulations. (2) () () () . In the event that an Executing Party, such as Party B, is in breach of any provisions of this Agreement or the Applicable Laws and Regulations, Party A may apply sanctions under the Applicable Laws and Regulations against said Executing Party.

13( ) Article 13 (Follow-up Measures Against Non-Performance of the Agreement)

disbursed under Article 3 hereof in part or in its entirety, any balance thereof, or the Tangible Items (research equipment, facilities, prototype products, etc.) or the intellectual property rights (including exclusive license) corresponding thereto, depending on the causes attributable to each of the Executing Parties that participated in the full scale project, such as Party B, participating organizations, licensee companies; provided, however, that if Party A finds it necessary to take urgent measures even before determining causes attributable to each of the Executing Parties, it may take a preliminary blanket measure necessary for sanctions and restitutions and thereafter determine such causes and apply retroactively. (2) () 7 1 . In the event of termination of the Agreement under Article 7 hereof, independent of the restitutions set forth in the foregoing (1), MKE or Party A may take measures to restrict participation of the Executing Party responsible for termination of the Agreement in a new project under the National Research and Development Program as prescribed by the Applicable Laws and Regulations. (3) () 1 , . In case where MKE or Party A determines that the act set forth in the foregoing (1) through constitutes a criminal act, they may request the governmental investigative authorities to investigate such act or file a criminal lawsuit. (4) 38, 19 3 . Any matters regarding the sanctions against an Executing Party of the corresponding full scale project or restitution of the government contributions shall be determined in accordance with Article 38 of the Operational Regulations, Article 19 of the Guideline for Bilateral International Collaborative R&D Program and Appendix 3 of this Agreement.

14( ) Article 14 (Non-Disclosure)


(1) () () . Party A and Party B shall not disclose or furnish any confidential information acquired in the process of executing the full scale project under this Agreement or utilizing the deliverables thereof to public without mutual consent. (2) () () , , , . Party A and Party B shall not use a project result report or related documents in part or in its entirety and - 88 -

the name, trademark, design, etc. of the other party that had been furnished hereunder or perform any act that implies the name, trademark, design, etc. of the other party through advertising, public relations and sales promotion or lawsuits, etc. for its own interest. In the event that any of the Executing Parties, including Party A and Party B, disclose, announce or utilize the deliverables of the full-scale project hereunder, there must be explicit reference to the project being performed and funded under the International Collaborative R&D Program of the Ministry of Knowledge Economy. As for any event resulting from breach or violation of the foregoing (1) through (3), the party in breach or violation shall be held fully accountable for civil as well as criminal consequences resulted therein.

15( ) Article 15 (Interpretation & Resolution of Dispute)

In the event of any discrepancy, difference or conflict over interpretation thereof, the Korean language shall precede. (2) . () . In the event of falling under any of the following subparagraphs, Party A is entitled to urge Party B to perform its obligations in writing giving a 30-day grace period prior to termination of this Agreement, and in case where this Agreement is terminated subsequently, Party A shall not return the amount already paid to it (including promissory notes already received), and Party B shall return all data and documents furnished concerning Technology to Party A and lose all and any rights hereunder: 4 () Where Party B does not license Technology or give up licensing Technology within the licensing period under Article 4 hereof without any justifiable reasons; 4 () () Where Party A deems that Party B has suspended its operation and subsequently it is unable to continue performing this Agreement within the licensing period under Article 4 hereof; () 5 Where Party B fails to pay the compensation for the License under Article 5 hereof without any justifiable reasons; and/or Where Party B is in breach of any of the terms and conditions hereunder, and obligations under related law and regulations. 12() Article 12 (Indemnification)

Party B shall not use part or all of original copy, copy or reproduction of information, reports and documents that Party A has furnished to Party B in relation to this Agreement for sales promotional purposes including advertisement, PRs and for the purpose of other propaganda and litigation and shall not imply or use the name of Party A for the foregoing purposes.

14( ) Article 14 (Notification)

Party B shall immediately notify Party A of any material changes on its part after conclusion of this Agreement, including not limited to changes of corporate address, etc. and any mistake by Party A due to Party Bs non-performance of such notification is not subject to claims by Party B.

Any dispute or disagreement arising out of or related to this Agreement or either partys performance of its obligations hereunder shall be resolved amicably through mutual consultation between Party A and Party B. In case where such dispute or disagreement has not been resolved by the parties hereto, it shall be resolved by arbitration in Korea in accordance with the Commercial Arbitration rules of Korean Commercial Arbitration Board.

16( ) Artilce 16 (Effective Day)
