Severstal main mission is to become world leaders in creation new things. Their main mission is to establish themselves as a leader in world steel manufacturing companies. They understand leadership as in broad sense, in a global sense. For that reason, in 1997 1998 that company started their export abroad to Asia and Europe. First of all, that means, that they suppose to create a value of their company, and leave behind their competitors. Internationalizing strategy
SeverStal is Russias largest steel producer headquartered in Moscow and listed on both the Moscow and London Stock Exchanges. In Q2 2007, the already challenging reputational issues facing SeverStal, both as a Russian company and as a steel producer, were further complicated by a recent IPO and a high-profile, abortive merger with the Arcelor steel group. In response to this environment, the Senior Vice President of Public Relations commissioned to deliver a Board-level report and specific recommendations on the reputational challenges and opportunities facing SeverStal across its key US and European markets. Severstal International In 2010, Severstal International made some major changes, including divesting the European operations and streamlining the North American business to evolve into a stronger and more focused organisation. Observations:

Severstal has invested heavily in expanding the gold business through M&A and organic growth in the last years, growing into the second largest Russian gold miner (behind Polyus Gold) at 670 thousand ounces annual output.

Over 50% of the total exploration expenses in the mining industry are for gold exploration. This surge in exploration has resulted in a long list of deposits that might be developed profitably across the world. Implications:

Severstal is developing projects in Burkina Faso, Guinea and Kazakhstan. The money raised with the IPO may be used to fund these developments, raising the output of the company. However, a major part of the money might be used by the steel division of the company to improve operating performance in steel making, which has been a loss making activity in 2009.

The spin-off of the gold division is a logical move of the company at the current demand for gold, which has driven gold prices to stable levels above $1000. Up to a few years ago, most gold mines were using long term gold prices of $300 in the feasibility analysis of mining projects. However, projects are started now that require prices above $600 to be feasible. The Financial Times provides a good overview of the development of gold prices in an interactive graph.

From the initial sources2 in can be suggested a disconnect between how the company was perceived by its own executives (its identity) and its reputation among external stakeholders (its image), especially outside Russia. A key objective to analyze the nature, extent and causes of this perception gap, and to identify strategies by which internal and external perceptions might be aligned through more persuasive positioning and messaging. The critical role and impact of the international media in shaping this perception gap was also to be explored, not least through the close identification in the international media of SeverStal with its CEO and majority shareholder, Mr Alexey Mordashov, and the resultant interplay between their corporate and personal reputations. Finally, SeverStals reputational assets were found to be strong financial performance, assertive corporate strategy and the CEOs personal standing. Areas of risk were perceptions of poor CSR credentials and lack of transparency in governance. The ensuing communications program led to greatly restored trust in the risk zones, illustrated by a massive increase in market and buyer confidence3. It is evident that strategic objectives would best be met through an integrated, multi-stage research approach. First, internal perceptions of SeverStals reputation would be explored through in-depth interviews with key company executives. Second, a wider programme of external stakeholder interviews would provide qualitative and quantitative insight into the drivers of SeverStals reputation in each target market. Third, the findings of these stages would then inform an evaluation of the companys Media and Market Sentiment through analysis of its coverage across these same markets. This approach was designed to provide a truly integrated analysis of SeverStals image and reputation, as presented by international media coverage and as perceived by both internal and external stakeholders4. The significant reduction in prices and capacity utilization at the end of 2008, and the consequent dip in earnings, acted as an alarm bell, awakening Severstal Company to the fact that

business as usual was not an option. Now we can understand how we used the challenges of 2009 to our advantage, to position Severstal for further strategic growth and prosperity5. Severstal efforts were focused on maintaining adequate liquidity and managing the risks associated with complying with financial covenants. Our aim was to make sure that the Company is well-positioned to weather a long downturn and, should the markets improve, we would only benefit from this. Therefore, that company introduced a more conservative treasury approach, one that contemplates a number of initiatives:

Reducing debt: As bad as 2009 was, we reduced consolidated gross debt by over US$1 billion, to US$7.2 billion. At the same time net debt decreased by US$0.5 billion, from US$4.8 billion to US$4.3 billion by the year end. As earnings are recovering, we are well on track to meeting our long term target of net debt to EBITDA being below 1.5 times.

Tight working capital management: This Company-wide initiative yielded impressive results, releasing US$1.7billion to support our liquidity during the challenging times.

Maintenance of significant cash balances: We finished the year with US$2.95 billion of cash and deposits on hand (more than covering all short term obligations), helping us to retain financial flexibility despite the depth of the crisis. As visibility improves we will be reviewing our policy regarding the size of the cash balance.

Safeguarding available cash holdings: As volatility persisted and bank defaults were a possibility, we shifted our cash holdings to the most stable and credible banks in the market. Our deposits are well diversified across financial institutions, thus reducing the risks. We review the bank list and reset the limits quarterly.

Monitoring FX trends: In anticipation of FX volatility, at the end of 2008 we converted the majority of our cash into euro and dollar denominated deposits. This proved to be the correct approach, as we saw ruble devaluation at the beginning of 2009. The stabilization of the rouble later in the year allowed us to increase the share of the rouble holdings.

Proactive covenant management: It is no secret that 2009 put a lot of pressure on borrowers to comply with financial covenants. We also had our challenges, but I am proud to report that we successfully renegotiated all relevant agreements, increasing our covenant headroom and giving us greater financial flexibility. We achieved this through a proactive approach, and open communications with lenders. I would like to thank all our banks for their partnership and support.

As financial markets started recovering, good quality borrowers like Severstal were able to access the market again. In September 2009 we successfully closed exchange bond placements of 15 billion roubles a first among our Russian metals and mining peers. We have also significantly improved the quality of our existing credit portfolio, extending the average duration, reducing the security coverage and cost of funding, and harmonising the terms of agreements. I believe 2009 challenged us to change the status quo and adopt new approaches to efficiency and risk management. This year we started an ambitious new project cash pooling. Its aim is to create a leaner organisation with more effective use of cash and liquidity. Strategic Development Project


Their Strategic Development project involves experts on corporate strategy working at the Corporate Centre and those developing market strategies in business units. Its major goals are to develop long-term, stable business models for the Company, to improve our strategic planning processes and to update our corporate strategy. It will enable SeverStal to set up a sustainable and coherent asset structure, meet our strategic financial goals, and accomplish our mission to become one of the leaders in the global steel industry8. In 2009, the project accomplished many critical tasks to help us achieve our goals:

Severstal developed the basic provisions of our corporate strategy, achieved alignment around these goals by the corporate top management and communicated our new strategy to the TOP-100. Communication to the rest of the employees, and our investors, is scheduled for June-July 2010.

Our strategic financial and industrial goals were approved, and should be taken into account for all investment decisions. The financial goals include an increase in profit (to be among the world industrys leaders by EBITDA), resilience to the business cycle (EBITDA margin), and in efficiency of capital use (return on capital employed ROCE and net debt-toEBITDA ratio), which will help us cope with cyclical volatility. Currently, we are evaluating all M&A and organic growth projects on the basis of our strategic goals.

Developing the corporate strategy and business unit strategies will take place regularly, resulting in up-to-date advice on attractive investment projects, compliance of the business unit strategies with corporate goals, and communication of our strategy around the Company. As part of this process, we carry out strategic stress testing of our assets to analyse their resilience to the cycle, and to identify strategic weaknesses and possible remedies.

We defined our business models and started work on their improvement. Currently, we are exploring the possibilities to create a large vertically integrated complex in emerging markets with local steelmaking raw materials, to develop a mini-mill business model in areas wellsupplied with scrap, as well as to build up a global resource asset portfolio.

We began work to set up a joint team of the Corporate Centre and Severstal Resources to look into increasing our presence in attractive regions for steel and raw materials businesses, such as the rapidly developing markets of Asia, Africa and Latin America.

In 2010, major work under the Strategic Development project will entail external communication of our corporate strategy, further improvements on the regular process of strategic analysis and development of business strategies, and also widening the opportunities for the practical implementation of the new strategy.

During 2009, Severstal took a major step forwards in its development, establishing its corporate mission, vision and values. The launch of a new brand in 2009 supported these developments. Why do they need a new corporate culture? That Company is developing rapidly. In 15 years they have grown from being a large regional enterprise to a leading national Company, and are now a leading international steel and mining Company. Our vision, brand and corporate culture need to develop alongside this transformation and reflect this growth9. Severstal derives competitive advantage from three important strengths: striving for excellence, the experience and dedication of our people, and our vertically integrated value chain. leaders in value creation. Our slogan, Achieve more together, has an important role to inspire call to action, uniting everyone across Severstal. Having set a direction for our development, we are establishing a new Severstal Business System, encompassing a number of strategic projects designed to bring our mission and vision to life. Each project is managed by a specific functional area of our operations and all of them are critical for achieving our goal of being an industry leader. Severstal Business System is based on our corporate values of safety, customer care, efficiency and agility, respect for employees and teamwork. Having launched these projects in 2009, we are already seeing progress. Each project means changing existing business processes, looking at things from the standpoint of our values, and devising solutions to the challenges we face. Cultural change is impossible without good internal communication, and we worked hard at this during 2009. Our intranet became a single conduit for informing our employees about our Company and its many developments. The chief executive and heads of divisions now regularly communicate with employees in each region by videoconferencing, and any employee can now ask the chief executive the most demanding of questions. In summary, the work carried out in 2009 has laid the foundations for the future. In 2010 and the years ahead we will witness the development of a radically new Company. What we can expect in the future


It is clear that Russia exported gas, oil and metal. Our country was, is and will be raw materials' source for all world. The deficit of raw products from the West side is clear and growing, and now we can expect the same demand from the East side. In metallurgy production - domestic industry can be absolutely competitive among world leaders. However, it is only our potential, not a real estate. For realization we should work hard in developing advanced technologies and entering a new level of production and business. It was15-18 years ago when Russian metallurgy had endured the crisis.It was financial decline together with the sharp recession of sale of production has raised the question about a

survival of its many enterprises. However, right in these years the most effective management of the enterprises has started to be formed. Various metallurgical holdings of Russia differently solve a question of the profits and investments. At first sight, "Severstal" has solved this question for a long time and unequivocally: since 2003 the holding has started to carry out expansion on the West. Already the first attempts of "Severstal" on acquisition unprofitable, it is frequent in debts, the metallurgical enterprises have caused ambiguous reaction. So, we have decided that we have to concentrate on the market, where we are presented already. However, now, we study the market of India and don't eliminate the probable purchases in this region. There are some interesting M&A projects in Europe as well, and we are studying them. Moreover, we pay much attention to the assets in the CIS countries: if there are some interesting assets, we will be pleased to enter this market. For instance, we would be interested in some Ukrainian assets.

WHAT WERE THE AIMS IN THE USA, WHEN YOU WERE PURCHASING ROUGE STEEL IN 2004? WHAT ARE THEY NOW , WHEN YOU HAVE ALREADY FIVE STEEL MAKING ASSETS IN THIS REGION ?
- At the very beginning, we intended to establish a strong and flexible company at the American market that will gain high earnings at the growing market and will manage to remain stable at the falling market from the financial viewpoint. Probably, it is a recipe for success in any industry. Now, SNA occupies already the 4th place in America by the production capacities after ArcelorMittal, Nucor and US Steel. The overall price of assets that Severstal purchased this year totaled nearly $2,8 billion, or $380 per one ton of steel. Now, the US aggregate capacities total about 12,5 million tons of steel a year. By 2009, when we will launch the second section of Severstal Columbus, they will grow by 1,5 million tons. Now, we would have occupied the 3rd place with such volume of flat rolled products production.

TO WHAT MARKETS DO YOUR PRODUCTIONS ORIENT?


- After we had purchased new enterprises in the USA, we extended the range of products that our assets produce. Now, we produce the tinplate, and we have extra volumes in the galvanization. Even now, we select our purchases with the lower ratio: we paid nearly $225 per ton for Sparrows Point, WCI Steel nearly $275, Esmark Inc.- about $500. Conclusion
1) First of all, we will notice that with new and powerful foreign actives it became the first metallurgical holding of the Russian origin. Traditional press releases of Magnitogorsk (the company remains to the largest manufacturer ) or messages on record general manufacture of "Evrazholdinga" have hopelessly become outdated. 2) Secondly, strategy of development of holding and expansion of its actives more than 10 years appear complete and successful. Appendix 1 (Severstal International OverView)


SeverStal classified as held for sale the Lucchini segment and a number of entities within the North America reporting segment (Severstal Sparrows Point LLC, SSP Railroad LLC, Severstal Warren LLC, Severstal Wheeling Inc and Mountain State Carbon LLC), as at 31 December 2010. This followed our decision to sell these entities within 12 months of the reporting date and to represent the Groups discontinued operations.

In Europe:
o o In June 2010, the Group sold its 50.8% stake in the lossmaking Lucchini S.p.A. for a total consideration of 1 (US$1.2 at the transaction date exchange rate). In February 2011, the Group signed an amendment to Lucchinis share purchase agreement with the majority shareholder. This cancelled the buy-back call option and the entitlement, for the benefit of the Group, to any gain on a subsequent sale of this stake to a third party. This allows us to deconsolidate Lucchini, starting from March 2011 financial reporting. To focus on our core steel-making strategy, in May 2010, the Group sold Northern Steel Group, engaged in the processing and distribution of steel products in North America, for a total consideration of US$124.0 million. As a result of the re-focusing of our North American business, on 1 March 2011, we entered into a definitive agreement to sell the subsidiary of Severstal North America which owns facilities at Warren, OH, Wheeling, WV, and Sparrows Point, MD. The transaction was completed on March 31, 2011.

Brief NAFTA steel market overview The North American Free Trade Agreement (NAFTA) light flat rolled steel market, which includes Canada, Mexico, and the US, is one of the largest and most diverse steel markets in the world. Key factors affecting the NAFTA steel market are overall demand, utilisation of capacity, inventories, exports and imports, and competing materials. GDP growth edged higher by 2.9% in 2010 and NAFTA steel shipments regained momentum with total NAFTA light flat rolled steel demand at 58.89 million metric tonnes.

Following the changes, our present operations in Severstal North America (SNA) comprise the following assets:

Columbus Dearborn Joint ventures and associates:


SNA holds interests in three joint ventures and one associate, established together with other US companies in order to expand our product line and provide services. The joint ventures produce metallurgical coke and galvanized steel, and provide steel processing services.

Double Eagle
Dearborn owns 50% of the Double Eagle Steel Coating Company, a joint venture with United States Steel Corporation.

Spartan Steel
Dearborn owns 48% of Spartan Steel Coating LLC, a joint venture with Worthington Steel of Michigan. Spartan Steel produces hot-dip galvanized sheet steel, primarily for automotive and service centre customers.

Delaco Processing
Dearborn owns 49% of Delaco Processing LLC, located in Dearborn, Michigan. Delaco Supreme Tool and Gear Co. owns 51% of Delaco Processing LLC. Delaco Processing specialises in slitting steel strip and sheet up to 1,829mm in width.

Mississippi Steel Processing


Columbus owns 20% of Mississippi Steel Processing LLC (MSP), which is a steel service centre under construction at Columbus industrial site. MSP is a joint venture with Merlo Holdings Inc. (40%) and Layhill Ventures LLC (40%). Production is expected to begin in the second quarter of 2011 with anticipated annual production of 156,000 tonnes per year.

Key performance indicators of Severstal North America in 2010 (excluding discontinued operations)
Revenue from Dearborn and Columbus went up by 25.9% to US$2,911.5 million (FY2009: US$2,312.5 million) with EBITDA of US$86.4 million, compared to FY 2009 negative of US$113.8 million. Their performance throughout 2010 reflects stronger steel demand. 2010 revenue was driven by both volume and price factors.

Capital expenditure (including discontinued operations) Total capital expenditures in 2010 were US$341.6 million, which is 43.2% more than 2009. Major projects at Dearborn and Columbus were resumed in 2010 as the economy improved. In 2011, the total amount of investment at Severstal North America will be approximately US$465 million. This will include the construction, commissioning and start-up of the second electric arc furnace, continuous caster, tunnel furnace, and pickle line, and the second hot-dip galvanizing line at Severstal Columbus, and the new cold rolling complex and hot-dip galvanizing line at Severstal Dearborn. Upon completion of these capital improvement programmes, combined annual steel-making capacity will reach 5.4 million tonnes, cold rolling capacity at Dearborn and Columbus will increase to 3.6 million tonnes, and galvanizing capacity will reach 2.4 million tonnes. The total cost of sales in 2010 was US$2,911.6 million, which is 16.8 % more than in 2009. This is due to increased volumes and the higher cost of raw materials.
