Rules and Regulations of Start with e-nnovation Contest GENERAL STATUTES

ORGANIZERS

Start with e-nnovation Contest (hereinafter referred to as Contest) is organized by Allegro Gruop Sp. z o. o (LLC)., based in Poznan, Marcelinska 90, 60-324, Pozna, submitted to Court Register (Polish: Krajowy Rejestr Sdowy), under the jurisdiction of Regional Court of Poznan, Nowe Miasto and Wilda, Department of Economy, registered under KRS 0000104322, Tax Identification Number (NIP): 779-21-25-257 hereinafter referred to as Organizer. 2 PARTICIPANTS

1. Natural persons not employed by the Organizer, legal persons, organizational units without a legal status, and those who possess legal rights as granted by the act, can participate in the Contest, provided that they meet the following criteria: 1) they are not current beneficiaries of foreign development or research support from private investors resources, as well as private equity or venture capital funds; 2) they have got an original start-up (hereinafter referred to as Project) idea or they are already completing such Project on the market without a support listed in the paragraph 1) here above; 3) until the date of Contest results announcement, they are committing to refrain from public presentation of the Project (excluding Contest presentations), announcing the Project, e.g. on conferences or presentation; this does not apply to the webpage; 4) they have full intellectual property rights to the Project, including copyright and property ownership pertaining to the Project; execution of these rights during and for the purposes of the Contest, including the use of the Project by the Organizer and Selection Committee will not constitute a legal breach of any third-party rights; 5) they commit to maintain the intellectual property to the Project, and copyright right to the Project until the date of Contest results announcement. 6) they commit to implement restrictions preventing third-party access to Project data. 2. By submitting their Contest application to the Organizer, the participant states that he meets all the criteria listed above in paragraph 2. The provisions of preceding sentence notwithstanding, the

Organizer shall have the right to obtain a separate, signed confirmation of meeting the criteria from the participant, subject to eliminating them from the Contest. 3. Should any of the criteria specified in paragraph 1. above prove not to be met, or should a participant fail to provide a signed confirmation of meeting the criteria within 3 (three) working days following Organizers request, a participant will be eliminated from the Contest. 3 CONTEST DURATION

1. The Contest lasts from May 23, 2011 until September 5, 2011. 2. Unless otherwise defined by the provisions of this regulations (hereinafter referred to as Regulations): 1) Contest entries are admitted from May 23, 2011 until September 5, 2011.

2) The results of Stage 1 of the Contest will be made public until September 21, 2011 on the
following website: http://e-nnovation.pl/ 3) The results of Stage 2 of the Contest will be announced until October 21, 2011, during the Conference.

II. THE GENERAL REGULATIONS OF THE CONTEST 4 Stage 1 CONTEST SCHEDULE

1. Each Contest participant is required to submit an application form, available on the Contest
website: http://e-nnovation.pl/zglos-projekt. The deadline is at midnight of September 5, 2011. The application form includes, among others, a Project description, particularly a description of Projects innovativeness, business model and the possibilities for implementing the Project in the IT market, an evaluation of potential social benefits of the Project implementation. 2. Incomplete, incorrect, or otherwise deemed unfit application will not be admitted by the Organizer and will not be participating in the Contest. 3. One participant can only submit 1 (one) Project. 4. Organizer will immediately inform a participant that his Project will not be considered in the Contest for the reasons named in paragraphs 4.2 and 4.3 above. 5. All costs pertaining to the application submission are a sole responsibility of the participant.

6. Successful application ends with generating a confirmation with a unique number; this number alongside the information that confirms receiving the application, is sent to an e-mail address listed by a participant on the application form.

7. In case that confirmation and number mentioned above have not been received within 24 hours
from submitting the application form, participant should contact the Organizer via e-mail sent to the following address: conference@e-nnovation.pl 8. Organizer forms a Selection Committee that qualifies participants to the second stage of the Contest. The Selection Committee chooses the participants based on Project descriptions evaluation, namely: 1) the innovativeness of the Project, and 2) business model and the possibilities for implementing the Project on the IT market, and 3) potential benefits of Project implementation. 9. Selection Committee can contact Contest participants in order to enquire about the submitted Projects, including motions for provision of additional data to evaluate Projects, either via phone, or using e-mail. Failure to present additional data or reply by email to the address given within 5 (five) working days from Selection Committees enquiry by such participant, results in participants elimination from the Contest. 10. Participants that qualify for Stage 2 will be informed of their qualification by either phone or e-mail. Those participants will be simultaneously informed about Conference dates. Remaining disqualified participants will be informed that Selection Committee made their decision of qualifying Projects to Stage 2. 11. Organizer does not have a right to use Projects otherwise than stated in hereby Regulations 12. The number of participants qualifying for Stage 2 of the Contest will not exceed 5 (five). Stage 2 1. Each participant qualified for Stage 2 of the Contest gains the right to present himself and the Project during the proceedings of e-nnovation 2011 Conference, which is to be held on 2021.10.2011 in Poznan (hereinafter referred to as Conference). The Conference is targeted at IT sector entities, potential investors and media representatives. Such participant may attend a Conference free of charge, meaning that he does not have to pay a Conference fee. 2. Stage 2 of the Contest will require the participant to conduct a 15 (fifteen)-minute long Project presentation for Conference audience (as part of Conference proceedings). Upon presentation, a participant shall be required to respond to Selection Committees questions about the Project.

3. The said presentations must be submitted to the Organizer via e-mail message to the following
address: conference@e-nnovation.pl, no later than 10 (ten) working days before the beginning of the Conference, subject to elimination from the Contest. Moreover, each participant qualified for Stage 2 of the Contest, shall remain prepared to enter consultations on the submitted presentation with Organizer or other persons designated by Organizer. These said consultations will be carried out over the phone or via e-mail. 4. Selection Committee will evaluate presented Projects based on:

1) application content, including Project description 2) Project presentation 3) responses to questions from Selection Committee in regards to the Project 4) results of the presented Projects evaluation made by Conference audience, which will take a form of Internet poll on a first day of the Conference (number of votes in favour of a Project versus a total number of votes) 5. Participant who had qualified for Stage 2, but then either failed to present his Project or engage in the consultations described in paragraph 3.3., shall be disregarded by the Selection Committee. 6. The results of Stage 2 of the Contest will be announced until October 21, 2011, during the Conference. 7. Participants qualified for Stage 2 of the Contest will be informed in advance about the date, time and venue of the Conference. 5 AWARDS & PRIZES

1. The total worth of awards in the Contest is an amount equal to 10 000,00 EUR, calculated into Polish Zlotys (PLN) according to the Polish National Banks exchange rate, obtained upon the closing of the last working days preceding the day of Contest results announcement. An award will be bank transferred to the Contest winners preferred account. 2. In accordance with Contest results announced by the Selection Committee, Organizer may award, the following prizes: 1) first prize 2) second prize 3) third prize 3. Organizer reserves the right not to award prizes specified above in paragraph 5.2, if so decided by the Selection Committee. 4. Organizer, following the procedure noted in paragraph 5.1., divides the pool amount as per Selection Committees directives, provided that a first prize shall not be less than 50% of a total amount. 5. In the event that the prize awarded in the Contest is found to be subject to income tax, Organizer shall retain the tax amount due from the prize amount and make the appropriate payments to the IRS. The tax amount so retained shall be paid by Organizer in the right amount and a time required by applicable law. III. PROJECT COPYRIGHT 6 LICENSE AND OTHER COPYRIGHT PROVISIONS

1. Participant declares he has full intellectual property of the Project, including copyright and property law pertaining to the Project; execution of these rights during and for the purposes of the Contest, including the use of the Project by the Organizer and Selection Committee will not constitute a legal breach of third party rights. 2. Participant commits to keep the intellectual property of the Project, and full copyright law of the Project until the date of Contest results announcement, except for those who had not been qualified for Stage 2 of the Contest this obligation becomes invalid at the time when they receive the information about their status from the Organizer. 3. Organizer and Selection Committee shall have, exclusively for the purpose and duration of the Contest, the right to use creative performance results constituting the components of the Projects, in the fields of operation known to participant at the time of the Project submission, including those fields of operation listed in articles 50 and 74 of the copyright act of February 4, 1994, and, in addition, in the following operation areas: production of copies using printing and/or other techniques, such as: magnetic or digital recording, storing in computer memory, leasing or renting originals or copies, providing public access to the Project, so that everyone can access it in their preferred time and location, publication of the materials in the Internet, a right to prepare extra reports and introduce all kids of modifications to the Project, as well as translations. Provisions of this paragraph are applicable for all information and materials submitted to Organizer by a participant aside from application form. 4. Copyright to effects of creative activity component parts of the Projects, shall remain with a participant. 5. Participant accepts that his name, surname, or a company name may be used by Organizers throughout Contest process, particularly in terms of announcing Contest results. Organizers reserve the right to publish names, surnames, photos, and other information about Contest winners. 6. Participant states it is known to him that taking part in the Contest and revealing the Project may disrupt or jeopardize its protection, particularly when gaining industrial property is concerned, thus participant shall not make financial claim on this grounds. IV. 7 PERSONAL DATA

By submitting a Contest application to the Organizer, a participant agrees to publications,

named in 6 above, granting a non-exclusive and non-payable license described in 6 above, and (applicable to natural persons) grants permission for processing of personal data given to the Organizer in the application form and other materials delivered to Organizers in reference to the Contest, and in accordance with the information in the application form. Providing personal data is voluntary. Contest participants have the right to access their personal data, and a motion to demand data correction, supplementation, update, temporary or permanent stoppage of data processing, or a

removal of the data if it is incomplete, outdated, incorrect, or it was proven to have been obtained illegally; a written demand can be made to stop data processing on the basis of participants special circumstances. 8 Information gathered from Contest participants via application form will be used for generating

comprehensive summary statistics. Additionally, an "e-nnovation2k11 database (Data Base) will be created by the Organizer. Organizers representative will be Data Base administrator, in accordance with the guidelines of data protection act of August 29, 1997 (Dz. U. 2002, nr 101, poz. 926, z pn. zm.) Data Base will include the following information: name and surname (or company name respectively), address, e-mail address, telephone number, Project title, and a list of Project team members with their respective contact details. 9 According to article 3 of the copyright act dated February 4, 1994 (Dz. U. 2006, nr 90, poz.

631, incl. later changes) and the act of July 2001 (Dz.U.01.128.1402) on database protection, the Organizer has Data Base ownership. V. 10 LIABILITY OF THE ORGANIZER

LIAIBILITY OF THE ORGANIZER

1. The decisions of the Selection Committee are final and no appeals can be granted. 2. The Organizer does not take any responsibility for potential mistakes occurring during participant registration process, regardless from whether those mistakes resulted from failed data transmission, or other circumstances pertaining to Internet suppliers, eventually leading to preventing a participant from registering. 3. Organizer shall not be liable for delivery and timeliness of the regular mail and e-mail correspondence. 4. Organizer shall not be liable for mistakes occurring through documents transformation, translation, transmission, communication delays, failures, fraud replacements or forgery of applications, nor for other unforeseeable circumstances beyond the Organizers control. 5. Awarded participant cannot successfully demand a hand over of the award by the Contest Organizer, if he failed to collect an award on the date set for the reasons beyond Contest Organizer control. 6. Organizer reserves the right to cancel the Contest, and the Conference for the reasons beyond their control. In such case, Organizer is required to immediately inform the participants a bout this fact, and to return all Project descriptions and other materials formerly submitted.

7. Organizer reserves the right to make future changes in these Regulations. Such changes will be
published on http://e-nnovation.pl/ website.

11 FEES AND TAXES Organizer does not take any responsibility for any fees and/or taxes that Contest winners may be required to pay as a result of acquiring benefits in a form of Contest prizes. 12 COMPLAINT PROCEDURE 1. Complaints about the conduct of the Contest may be submitteduntil 07.10.2011, or the claims will not be taken into consideration. Complaints should be put in writing and sent to the Organizer with the annotation "Start with e-nnovation competition". The date of sending the letter in the office of Polish Post will determine the validity of the complaint. 2. Only the complaints that were sent until the above mentioned date, to the above mentioned address will be taken into consideration. 3. The complaint should contain precise data of the person submitting the complaint, as well as the description of the cause of the complaint and the grouds of the complaint. All valid complaints will be taken into consideration and decided on by the Committee in 14 days from receiving the complaint. 4. The Contest participant will be notified about the outcome of the complaint in writting. The decission of the Committee is final. 5. If the decission of the Committee is not satysfying for the person submitting complaint, any further dispute can only be handled through legal processes in the court of the Organizer jurisdiction.

VI. FINAL PROVISIONS 13 In all cases not regulated by these Regulations, legal provisions of civil code, personal data

protection act, and copyright act apply. 14 Contest Regulations are available in legal seat of Organizer, as well as via the Internet, on

http://e-nnovation.pl/o-konkursie webpage. 15 Each Contest participant, by signing up to the Contest and agreeing to personal data

processing, accepts the Conditions of these Regulations.
