Terms and Conditions

At the moment a written purchase offer with verification of proof of funds is necessary, to start
negotiations, Seller reserves the right to make a Buyer's credentials verification as part of the
purchase process.

Upon purchase acceptance and after celebrating a promissory purchase contract a 20% deposit
at escrow is required. The fixed price by the seller is: $ 425,500,000 dollars and all the closing
costs paid by buyer.

The purchase/ sale offer will in anyway be subject to the cancellation of the lease contract in
favor of the Travel Agency Best Days in the lobby of the hotels. In the same way the buyer has to
respect and celebrate a new leasing contract or renewal with the Tobacco and Boutiques
concessions the actually operate in the hotels.

The buyer has to be aware that the sale of the hotel chain does not include the operation rights
and revenues of the Club Real Vacation Club, which is a timeshare only independently operated
on the side of the hotel ; the owner will reserve the rights of dominion and operation at a 100%.
The rest of the property is sold as is in extremely highly well kept conditions.

The hotel chain includes: 1,493 overall rooms. In distribution of 2 hotels Grand Turism, one in
Cancun and the other in Playa del Carmen, in which the key room price set for: $ 335,000 usd.
And the other 2 hotel buildings 5 star category one in Cancun and the other in Playa del Carmen,
in which the key room price is: $ 235,000 usd., the same that provide the individual value for each
property distributed as follows:
