ADP Negative Assurance Letter September 30, 2011

Dear ADP Client, We have received your request for information regarding material changes in internal control for one or more of the following SAS 70 reports: I. Tax Credit Services (TCS), Taxware Tax Content Maintenance, Unemployment Compensation Services (UCS), TLM MAS ezLaborManager System, SBS Hybrid System Client Banks, Print Services, TimeSaver on Demand, Participant Recordkeeping Services Executive Deferred Compensation (EDC), Benefits Outsourcing Systems Solution (BOSS), VirtualEdge, ^Sales Tax Services (STS), ^Procure to Pay Solutions (P2P), or *Retirement Services Participant Recordkeeping Operations (RS). KPMG performed the latest SAS 70 audits for these products. All of the above SAS 70 reports (listed in section I) are produced once per calendar year according to the following schedule: SAS 70 Report As Of Date September 30th *December 31st (*only RS) Report Available to ADPs Clients On or about November 15th *On or about February 14th

The most recent as of date for all reports (except for RS) in section I was September 30, 2010. RS was published as of December 31, 2010. ^ Please note that the initial reports for both STS and P2P were as of March 31, 2011. They will be produced as of September 30th going forward.

II. AutoPay Payroll Services, Payroll Tax Service, TotalPay Service, TotalPay Service and TotalPayCard Operations, Wage Garnishment Processing Services (WGPS) and Garnishment Services (GS), HR and Benefits Solution Application Hosting (HRB) and Benefits Administration Services, MAS Enterprise eTIME (Hosted), Enterprise 2000 Hosted Payroll Service, Enterprise Benefits and Leaves Administration (Enterprise 3000), NAS Enterprise eTIME (TLM), Managed Payroll Services (MPS)/Comprehensive Outsourcing Services (COS), ProBusiness Payroll, Hosting Services and Data Center Facilities (DC1 / DC2), Carrier Enrollment Services (CES), WinFlex Benefits Administration Services, Flexible Spending Account (FSA) / Commuter Benefits Services, COBRA Service/CASPRO System, or Health and Welfare Service Engine (HWSE). KPMG performed the latest SAS 70 audits for these products. All of the above SAS 70 reports (listed in section II) are produced twice per calendar year according to the following schedule: SAS 70 Report As Of Date March 31st September 30th Report Available to ADPs Clients On or about May 15th On or about November 15th

The most recent as of date for all reports in section II was March 31, 2011.

ADP recognizes the need to maintain an appropriate internal control environment and report upon the effectiveness of, as well as material changes to, its internal controls. I am not aware of any material changes in our control environment through September 30, 2011 that would adversely affect the Auditors Opinion reached in the prior reports for any of the above named SAS 70 reports. Material changes are those that would require disclosure to KPMG in the process of their performance of the work required to produce the SAS 70 reports. You should also be aware that ADP, as a normal part of its operations, continually updates its services and technology as appropriate. In addition, the controls for all of ADPs product/service offerings were designed with certain responsibilities required of the system users (See User Control Considerations in the SAS 70 reports). ADP's controls must always be evaluated in conjunction with an assessment of the strength of user controls. Finally, in order to conclude upon the design and effectiveness of internal controls for any ADP product, you must request and read the current SAS 70 report for that product. This letter is not intended to be a substitute for the SAS 70 report, or to provide you with a certification of ADP's internal controls, or to suggest to you that ADP has performed a separate evaluation of its internal controls for the purposes of producing this letter.
