AGREEMENT AND RELEASE This Agreement and Release of Liability (Agreement) is between the Tiziano Project, a 501(c) (3)

non-profit corporation (Tiziano), and ______________________ (Student). 1. Services. During a predetermined time period, hereby incorporated into this Agreement, Tiziano is providing Student, at no financial cost to Student, a journalism course and workshop. During this course and workshop, Student will create, at times with the assistance and guidance of Tiziano instructors and staff, several Projects. These Projects may, and are likely to be, copyrightable works. 2. Copyright. Subject to the right of attribution of authorship, Tiziano may, and is, by operation of this Agreement, granted a perpetual, non-exclusive, royalty-free license to use, duplicate, distribute, and sell any copyrightable work created by Student during the course of Students relationship with Tiziano, for any Tiziano purpose, including but not limited to posting works on its website, www.tizianoproject.org, using or referencing works in its publicity materials and distributing materials to its partners. 3. Likeness. Student hereby grants to Tiziano the right to the right to use Students name, likeness, audio and audiovisual appearances, and biography in connection with any website content, promotion, advertising, and documentation related to and made by or under the authority of the Tiziano Project. 4. Equipment. During the Term of Agreement, Student will be provided Equipment for the completion of the program. In the event of damage or loss of any Equipment provided by Tiziano during the Term of Agreement by Student, s/he will reimburse Tiziano the amount of loss, defined as being the cost of complete repair or the cost of replacement, whichever is lower. 5. Liability. Tiziano is hereby released of all liability in the event of Students mental or physical injury, bodily harm, kidnapping, disappearance, or death during the Term of Engagement and/or during the performance of any activity relating to this Agreement.

6. Term of Agreement. This Agreement may be extended only upon the mutual signed consent of both parties, unless the Agreement is terminated before the end date and pursuant to the terms of the Agreement.

7. Confidentiality. Student acknowledges that during the Term of Agreement, s/he will have access to and become acquainted with various trade secrets, innovations, processes, information, records and specifications owned or licensed by Tiziano and/or used by Tiziano in the operation of its schools and other business. Student agrees that s/he will not disclose or use any of the above, during the Term of Agreement or at any point thereafter, except as required during the Term of Agreement with Tiziano. All 1

information, whether written or otherwise recorded, which relates to the business and operation of Tiziano and is either created by or in the possession of Student shall be considered the property of Tiziano and shall be returned to Tiziano immediately upon the expiry of the Term of Agreement, unless such ownership and/or return is waived in writing by Tiziano.

8. Entire Agreement. Entire Understanding. This document and any attached Appendices constitute the entire understanding and agreement of Tiziano and Contractor. Any prior understandings and agreements, whether oral or written, hereby have no force or effect.

9. Unenforceability. If any provision of this Agreement or any portion thereof is held to be invalid and unenforceable, the remainder of the Agreement shall maintain full force and effect.
