Confidentiality Agreement
1. Purpose. The developer (FxThinker) will build algorithmic systems and lease & host the systems for the Client and its Introduced Party. And in connection with this opportunity, developer may disclose or have already disclosed to the Client certain confidential technical, financial, logistical and/or business information that the developer desires the receiving Client party to treat as confidential. Prior to forming a Business Relationship. Client agrees not to use any Confidential Information of the disclosing party (developer) for any purpose except, perhaps, to internally evaluate and engage in discussions concerning a business relationship between the Parties. Client agrees not to disclose any Confidential Information of the disclosing party to third parties. Client shall not reverse engineer, disassemble or decompile any prototypes, trade records, software or other tangible objects which embody the developers Confidential Information and which are provided to Client hereunder. Upon Entering into a Business Relationship. Client agrees not to disclose any Confidential Information of the disclosing party to third parties or to such partys employees, except to those employees of the receiving party who are required to have the information in order to perform the activities contemplated by the Relationship and who have agreed in writing to protect the confidentiality and follow the use restrictions associated with the Confidential Information. Client or any employees shall not shall reverse engineer, disassemble or decompile any prototypes, developers records, software or other tangible objects which embody the developers Confidential Information and which are provided Client hereunder. Non-Circumvention. Client agrees not enter into any relationship in a commercial or retail or corporate trade or barter exchange after the signing of this agreement which incorporates any of the disclosed information by the developer. Nor can this information be used for any other account other than that legally agreed with the developer. Trade records cannot be distributed in any form. No aspect of this venture will be discussed with any third party person or forums. Proceeding to next pages imply the client have accepted all the above conditions.
