EXPRESSION OF INTEREST

FOR LEVERAGING SEVEN ITDC PROPERTIES AT VARIOUS PLACES IN INDIA FOR ADDITIONAL PRODUCTS DEVELOPMENT & DIVERSIFICATION THROUGH PUBLIC PRIVATE PARTNERSHIPS (PPP)

1. The India Tourism Development Corporation Ltd (ITDC), proposes to leverage ITDC properties for additional products development & diversification through public private partnerships (PPP). ITDC invites the eligible bidders to submit their Expression of Interest (EOI) for partnering with corporation to provide tourism facilities in accordance with the conditions and manner prescribed in this Expression of Interest document. 2. ITDC has identified seven properties HOTEL JAIPUR ASHOK, JAIPUR RAJASTHAN, HOTEL KALINGA ASHOK, BHUBANESHWAR, ORISSA, HOTEL LEELA MAHAL PALACE, MYSORE, HOTEL JAMMU ASHOK, JAMMU,J&K, HOTEL PATALIPUTRA ASHOK, PATNA, BIHAR, BHARATPUR TOURIST LODGE, BHARATPUR, RAJASTHAN, KOSI TOURIST COMPLEX, UTTAR PRADESH, , for augmentation of facilities and revenues at various places in India. ITDC intends to conceptualise permissible development options in accordance to its business objectives, applicable laws and market trends in hospitality sector. The development would be carried out on a suitable Public Private Partnership (PPP) structure as approved by ITDC.

3. To identify and shortlist interested parties willing to participate in development of these properties, ITDC invites Expression of Interests (EOI) seeking Approach paper from interested parties on proposed components (project facilities), size, marketability, estimated cost and revenue potential etc. from large Hotel Developers, Hospitality Services providers, Real Estate Developers and large industrial houses. The India Tourism Development Corporation Ltd (ITDC) has prepared this document to give interested parties background information on the project. 2. INTRODUCTION
2.1The India Tourism Development Corporation Ltd (ITDC), a Government of India undertaking, has been the prime mover in the progressive development, promotion and expansion of tourism in the country. The corporation is running hotels, restaurants at various places for tourists, besides providing transport facilities. In addition, the Corporation is engaged in production, distribution and sale of tourist publicity literature and providing entertainment and duty free shopping facilities to the tourists. The Corporation has diversified into new avenues/innovative services like Full-Fledged Money Changer (FFMC) services, engineering related consultancy services etc. The Ashok Institute of Hospitality & Tourism Management of the Corporation imparts training and education in the field of tourism and hospitality. 2.2Presently, ITDC has a network of eight Ashok Group of Hotels, six Joint Venture Hotels, one Restaurant & two tourist/lodges forest, 12 Transport Units, one Tourist Service Station and Duty Free Shops. 2.3It is observed that some of these properties owned/managed by ITDC have a scope for augmentation of facilities and thereby optimizing the revenue from each property. At this stage ITDC has identified seven properties across India as given below. These properties are; I. II. III. IV. V. VI. VII. 2.4ITDC intends to explore possible market driven development options for augmenting the facilities in line with its business objectives in the abovementioned properties. The development options also need to adhere to the applicable laws like Development Control Regulations of the concerned authorities. 2.5A brief information note on all the properties and existing facilities mentioned in Group A and Group B is attached in Appendix 2.

3. PURPOSE OF THE EOI


3.1The purpose of this Expression of Interest is to shortlist a panel of eligible agencies to partner with ITDC for development of the properties mentioned in clause 2.3. The objective of this document is seeking Approach paper from

interested parties on proposed components (project facilities), size, marketability, estimated cost and revenue potential etc. from large Hotel Developers, Hospitality Services providers, Real Estate Developers and large industrial houses. 3.2The detailed Scope of Work, Terms and Conditions, Eligibility Criteria which shall be worked out latter and parameters for selection of the bidding organization will be provided in the detailed tender document, which will be provided to only those firms that are shortlisted as per this EOI document.

4. WHO SHOULD RESPOND

4.1ITDC would welcome response to the EOI from a National & International single entity (Body Corporate) or a group of entities (the Consortium) subject to compliance with applicable laws, policies and guidelines of Government of India, coming together to implement the Project. However, no applicant applying individually or as a member of a Consortium, as the case may be, can be member of another Applicant. The term Applicant used herein would apply to both a single entity and a Consortium. 4.2 The Applicant may be: Hotel Developers/Operators Or Hospitality Service Providers Or Real Estate Developers Or Large Industrial houses interested in diversifying in hospitality sector

5. Pre Qualification Criteria


The Applicant must fulfil the following criteria to submit their EOI. The average annual turnover of last three financial years should be at least Rs 25 Crores, OR Development1 of hospitality related project with minimum built-up area of 12,500 sqm in the last three year OR 2 Development of any other Real Estate project with minimum built-up area of 25,000 sqm in the last three years OR

Development is defined as integrated responsibility of designing, financing, construction and operations Definition of Development is same as above

Presently operating one Hotel with minimum 25 rooms or should be operating a minimum of 35 rooms in different hotels. Note;-The financial turnover of the lead firm only will be reckoned; in case the response is on behalf of a consortium.

6. HOW TO RESPOND
6.1 The response to EOI shall be enclosed in a separate sealed envelope and shall be marked as Expression of Interest for ITDC Properties. 6.2 The EOI should be submitted in the format given at Appendix-I. The proposal should be accompanied with a statement of relevant financial information pertaining to the audited annual accounts of the Applicant for the last three years. 6.3 Bidders are required to ensure that content/ documents as mentioned in the table below will constitute the Expression of Interest. Incomplete submission will not be considered for short listing.

6.4The language for submission of document shall be English. In case of any other language, English translation must be enclosed. 6.5Any item of letter of response, which is not applicable to the Applicant, should be written as Not Applicable. 6.6All costs incurred by Applicants in connection with the EOI shall be borne by the Applicant themselves.

Any proposal received by ITDC after the deadline for submission shall be returned unopened. In the event of the specified last date for receiving the proposal being declared a holiday, the proposals shall be received up to the appointed time on the next working day. The envelope shall bear the submission address and be clearly marked DO NOT OPEN, BEFORE 06.02.2012 (1530 hrs). ITDC shall not be responsible for misplacement, loss or premature opening if the envelope is not sealed and/or marked as stipulated. The EOI document is to be submitted in a Bound Form. The proposal may be liable for rejection, if the above-mentioned conditions are not complied with. EOI will be opened in front of the representatives of the companies who have submitted their proposal and who are present at the ITDC office on the scheduled date and time mentioned above. 6.10 The applicant may be required to make a presentation on Approach Paper submitted by them as per Annexure 1, The date shall be announced separately.

6.11 In case the Applicant intends to give additional information for which specified space in the given format is not sufficient, it may be furnished in a

separate sheet. Such information is to be given only if it is salient and directly pertinent to the EOI. 6.12 All the pages of the EOI and Annexure should be signed & stamped and the authorized signatory should countersign corrections and over writings. 6.13 ITDC reserves the right to cross check and confirm the information/details furnished by the Applicants in response to this EOI. 6.14 All the information submitted by the party through EOI will be kept as strictly confidential by ITDC and will not be shared with any other party.

7. USE OF INFORMATION
ITDC reserves the right to use information received in the replies to EOI for further development of the project. Mere fact of responding to the EOI, however, shall not confer any right on the parties to preferential treatment at the subsequent bid/development stage.

8. APPLICANTS RESPONSIBILITY
It is expressly clarified that before submitting the EOI, the Applicant must have carefully examined the contents of all the documents. Any failure to comply to do so will be at the Applicants risk.

9. AMENDMENT
ITDC may modify the EOI by issuing an addendum before the last date of submission of the Application and shall provide minimum 3 weeks after such amendment for submission of EOI. Any addendum thus issued shall be part of EOI and shall be posted on the website and News Paper.

10. LANGUAGE
The response to EOI prepared and all correspondence and documents related to the EOI, and exchange by the Applicant and ITDC shall be in English. If another language is used, it must be accompanied by the translated version in English.

11. SIGNATURE AND SUBMISSION


All the responses submitted by the interested parties must be duly signed by the Authorized Signatory under the Letter of Response, the format for which is provided at Appendix 1 of this document.

The signed & stamped proposal along with all the documentary evidence required of technical and financial capability and with all the Annexure filled and signed must be submitted on or before the prescribed date and time for the submission of EOI in this document.

12. GOVERNING LAW


The governing law for the purpose of the process is the laws of India and courts of New Delhi shall have full jurisdiction considering any matter arising out of this EOI and the process.

13. DISQUALIFICATION
ITDC would like to caution that Applicants shall be ineligible to bid for or participate in the project (at the subsequent stage) in the following cases: a. In regard to matters relating to the security and integrity of the country, any charge-sheet by an agency of the Government / conviction by a Court of Law for an offence committed by the company or by any sister concern of the company would result in disqualification. The decision in regard to the relationship between the sister concerns would be taken by ITDC, based on the relevant facts and after examining whether the two concerns are substantially controlled by the same person/persons. b. In regard to matters other than the security and integrity of the country, any conviction by a Court of Law or indictment / adverse order by a regulatory authority against the company or against any sister concern which relates to a grave offence, or would constitute disqualification. Grave offence is defined to be of such a nature that it outrages the moral sense of the community. The decision in regard to the nature of the offence would be taken on case to case basis after considering the facts of the case and relevant legal principles, by ITDC. c. The Applicant must submit duly documented Appendix 3 in this regard along with EOI.

14. Proposal Evaluation


From the time the EOI are opened till the time the selection is concluded, the Companies should not contact ITDC on any matter related to its Proposal. Any effort by Companies to influence ITDC in the examination,

evaluation, and recommendation for selection may result in the rejection of the Proposal.

Annexure-1 Approach Paper

The Approach paper may be a maximum of 8-10 page document and power point presentation (with slides not more than 25-30) and shall broadly cover the following; (a) Vision for development of the Property (b) Recommended development Plan comprising; i. Proposed components/project facilities. The Applicant is allowed to propose any additional facility in the property subject to compliance with applicable building bye laws. ii. iii. iv. Size & Nature of the proposed facility Market Potential of the proposed components and the target group. Broad Cost estimates and Estimated Revenue

1. BRIEF NOTE ON HOTEL JAIPUR ASHOK IN RAJASTHAN

1A. ABOUT JAIPUR Jaipur, the capital of Rajasthan is also known as Pink City was the stronghold of a clan of rulers whose three hill forts and series of palaces in the city are important attractions. Known as the Pink City because of the colour of the stone used exclusively in the walled city, Jaipur's bazaars sell embroidered leather shoes, blue pottery, tie and dye scarves and other exotic wares. Western Rajasthan itself forms a convenient circuit, in the heart of the Thar Desert which has shaped its history, lifestyles and architecture. 1B. ACCESSIBILITY By Air

1C. PLACES OF TOURIST INTEREST The places of interest in an around the Jaipur is HAWA MAHAL - Built in 1799, by Maharaja Sawai Pratap Singh, is the most recognizable monument of Jaipur. The 5 storied stunning semi-octagonal monument having 152 windows with over hanging latticed balconies is a fine piece of Rajput architecture.

JANTAR MANTAR (Observatory) - Built in 18th century by Maharaja Sawai Jai Singh II, the huge masonary instruments were used to study the movement of constellations and stars in the sky. Enormous sun-dial still provides accurate time, which is subject to daily corrections. CITY PALACE AND S.M.S. II MUSEUM - Situated in
the heart of the old City, it occupies about one seventh of the old city area. The palace is a blend of Rajput and Mughal architecture; it houses a Seven storeyed Chandra Mahal in the centre, which affords a fine view of the gardens and the city.

2A. ABOUT BHUBANESWAR Bhubaneswar, the funds city of Orissa in east India is situated by the coastal line of your Bay of Bengal.Bhubaneswar, the capital of Orissa, is also popularly known as the "Temple City of India". Khandagiri and Udaygiri

The twin hills of Kumargiri and Kumarigiri known as Khandagiri and Udaygiri contain varieties of rock-cut caves, built mainly for the jain monks around 1st - 2nd century B.C. Lingaraj Temple

Dedicated to the Lord Vishnu and Shiv Linga, It is one of Orrisa's famous temples, notable for the symmetrical sculptures carved on its 45m high spire. The name "Keoladeo" is derived from the name of an ancient Hindu temple devoted to Lord Shiva in the sanctuary's central zone while the Hindi term "Ghana" implies dense, thick areas of forest cover. The massive iron structure built in the early 18th Century. With its impregnable defences it sustained itself even after a number of British attacks. The fort was conceived and designed by Maharaja Suraj Mal, the founder of Bharatpur. Some interesting monuments in the fort are Kishori Mahal, Mahal Khas, Moti Mahal and Kothi Khas. Mathura was once upon a time a hub of rich culture and heritage and it is thronged by numerous tourists every year. The region has immense tourism potential being an integral part of the Golden Triangle Tourism Circuit of India connecting Delhi, Jaipur and Agra. The major tourist attractions of the region are Tajmahal, Sikandra, Fatehpur Sikri, Mathura, Vrindavan, Goverdhan and numerous temples and shrines located in the area etc. 7C. TRAVEL PATTERN IN THE REGION The distribution of the road users on NH 2 is fair mix of passenger and goods vehicles. Passenger traffic is composed of business travellers local as well as long distant and tourists. Presence of industrial zones along the highway is the main contributor to the local commuter traffic.

NH-2 is the preferred route of pilgrims and other leisure tourists travelling to various destinations in the Golden Triangle Tourist Circuit. Moreover, the highway is used by local travellers to commute between neighbouring towns and industrial clusters.

The tourist is primarily pilgrimage/leisure tourist with average spending capacity. Many of them travel in chartered buses, hired tourist vehicles or private cars. Tourists originating from Delhi-NCR region itself have maximum share in the tourist movement. Visitors from other states constitute about 25 - 30% of the total traffic.

The pilgrimage traffic flow on the highway and other arterial roads increases exponentially during full moon nights (poonam), special religious events and festival. The rapid industrial growth in Delhi-Mathura-Agra belt in recent years has led to manifold increase in business travellers to the region. NH 2 exhibits a steady flow of business travellers commuting between Delhi-NCR and other destinations.

Kosi Kalan situated midway between Delhi and Agra is the most preferred halting point/stop-over point along the National Highway NH 2.

7D. KOSI TOURIST COMPLEX The site is strategically located at Kosi Kalan on the Delhi-Agra National Highway NH 2 at a distance of 104 kms from Delhi and 100 kms from Agra. NH 2 is a major tourist corridor provides connectivity and linkages with popular tourist destinations and pilgrimage centres in the region. NH 2 intersects with other national and state highways at Mathura town connecting important pilgrimage and tourist sites such as Agra, Fatehpur Sikri, Bharatpur, Jaipur and Ajmer. The site is situated at a distance of 44 kms from Mathura and 33 kms from Vrindavan. The land parcel admeasuring 11.8 acres falls under the jurisdiction of Kosi Kalan Gram Panchayat under Tahsil/Taluka Chatta and District Mathura. The site is under the ownership of ITDC Ltd. 7E. AVAILABILITY OF ONSITE AND OFFSITE INFRASTRUCTURE The following assessment was made with infrastructure/utilities at/near the proposed site. regard to availability of essential

Power lines are passing through the site. Power is supplied in the area by Uttar Pradesh Power Corporation Limited (UPPCL). The site has an existing transformer of 100 KW capacity and DG Set of 65 KVA capacity 47

Bore well would form a ready source of water. There are two existing bore wells and the tourist complex has a water storage capacity of 15,000 litres For drainage/sewerage purposes, provision of septic tank/STP to be made at the site. The cost of providing the system is already been considered in the estimates. However, a septic tank is also available at the site

7H. DEVELOPMENT CONTROL REGULATIONS As per Uttar Pradesh General Development Control Regulations (DCR), 1973, some of the applicable norms for the proposed site are as follows Jurisdiction The Site at Kosi falls under the jurisdiction of Kosi Kalan Gram Panchayat under Tahsil (Taluka) Chatta and District Mathura. Floor Space Index (FSI) Permissible FSI/FAR is 1.50. Maximum permissible built up area on ground floor/ground coverage is 40% of total plot. Setbacks Leaving the buffer margin/setback defined as per the local revenue department from building or control line. Parking Space 50% of total parking space requirements shall be reserved for cars. The minimum width of access to street from parking space shall be 3.0 mts. Building Height Restrictions The total height restriction for buildings will be 10.5 meters.

7I. SITE AND ITS SURROUNDINGS The site is almost triangular in shape and enjoys a good frontage along the highway. The land parcel is relatively flat land bestowed with extensive greenery and tree cover. It also abuts the Agra Canal which flows past the site

The surrounding land use is characterized by the presence of automobile service centres, agricultural land, informal eateries and village settlements. The national highway NH 2 is planned to be up-graded into six lanes with the provision of service roads along the stretch.

The highway exhibits a continuous ribbon development of rural and sub-urban settlements, manufacturing units, educational institutions and commercial establishments

Appendix 3
1. An Affidavit on stamp paper of INR 50.00 (non judicial) stating that

in case any ambiguity is noticed in the documents submitted at any stage, we shall be entirely responsible and liable for any action as deemed fit under the law. 2. Original documents shall be provided as required for cross verification. 3. The International firms shall submit an Undertaking that they shall abide by the rules/laws governing such contracts from the financial, legal and other aspects as applicable on the land and pay taxes, duties and other statutory deductions as applicable. The undertaking shall be submitted with the application from on their letterhead. 4. The firms are advised to inspect and examine the site and its surroundings and satisfy themselves before submitting their EOI as to the nature of the ground and sub-soil, the form and nature of the site, the means of access to the site, the accommodation and in general shall themselves obtain all necessary information as to risks, contingencies and other circumstances which may influence or effect their proposal. A firm shall be deemed to have full knowledge of the site, whether he inspects it or not and consequent on any misunderstanding or otherwise shall be allowed. 5. The India Tourism Development Corporation reserves to themselves the right of accepting the whole or any part of the EOI and firms shall be bound to perform the same . 6. In regard to matters relating to the security and integrity of the country, any charge-sheet by an agency of the Government / conviction by a Court of Law for an offence committed by the company or by any sister concern of the company would result in disqualification. The decision in regard to the relationship between the sister concerns would be taken by ITDC, based on the relevant facts and after examining whether the two concerns are substantially controlled by the same person/persons. 7.In regard to matters other than the security and integrity of the country, any conviction by a Court of Law or indictment / adverse order by a regulatory authority against the company or against any sister concern which relates to a grave offence, or would constitute disqualification. Grave offence is defined to be of such a nature that it outrages the moral sense of the community. The decision in regard to the nature of the offence would be taken on case to case basis after considering the facts of the case and relevant legal principles, by ITDC.
