AGREEMENT between Reel Link Films, LLC ("LICENSOR") and the school/institution, which purchased or received this LICENSE from LICENSOR or to which this LICENSE was gifted and/or donated ("LICENSEE"). LICENSOR hereby grants and LICENSEE hereby accepts through either the purchase of the LICENSE or acceptance of a gift of the same, this LICENSE for the limited non-broadcast, Community Exhibition Screenings (as defined below) of the film "Race to Nowhere" (the "FILM"). Community Exhibition Screenings means one or more exhibitions of the Film: (i) on the premises of the school, organization or institution, which purchased or was gifted this LICENSE to a non-paying audience comprised solely of members of LICENSEE'S community. For schools, the community is defined as the educators working at the school, students attending the school and parents of students attending the school. For other institutions and organizations, the community is comprised of the individuals who belong to the membership of said organization or institution at the location indicated on the purchase form. The Community Screening License fee for the FILM is $500.00, plus applicable sales tax. In consideration of payment of the license fee provided for above, the LICENSOR will provide the LICENSEE with one (1) Educational Tool Kit including one (1) Educators' copy of the DVD, which includes the full-length FILM and bonus footage, along with a Facilitation Guide. In addition the LICENSOR hereby grants to the LICENSEE, without warranty, a limited, non-exclusive, non-transferable License for the non-broadcast, Community Exhibition Screenings as defined above and subject to the terms and conditions specified herein, as follows: The LICENSEE hereby expressly agrees that the FILM shall be used only for the permitted purposes as set forth in this AGREEMENT and for no other purpose. The LICENSEE agrees that the FILM may be exhibited in more than one Community Screening at the premises of LICENSEE, but that public exhibitions and/or exhibitions where LICENSEE intends to charge admission must be approved in advance by LICENSOR. If LICENSEE wishes to host a public screening or charge admission to a Screening, LICENSEE must contact LICENSOR at 925-310-4242 or screenings@racetonowhere.com for the required permission and license terms. The rights granted to LICENSEE under this Agreement are non-transferable. In no event shall LICENSEE sublicense or assign the rights granted hereunder, nor shall LICENSEE sublease, rent, sell, transfer, loan, televise or otherwise part with possession of the DVD. This Agreement does not allow for inter-library or inter-district sharing and/or loans. LICENSEE shall not (i) duplicate, reproduce, and/or copy (e.g., "burn" or "rip") the DVD (and/or any element(s) thereof), and/or (ii) cut, edit, and/or otherwise alter the Film (and/or any element(s) thereof), including, without limitation, the credits included in the Film. LICENSEE shall give LICENSOR prior written notice of all Screenings which are to take place for more than 20 people and/or are conducted outside of classroom use. Such notice shall be given to LICENSOR by means of completing the form on LICENSOR's website www.RacetoNowhere.com/Register-My-Event or by email to screenings@racetonowhere.com. In the event of any breach of this Agreement or any portion thereof by LICENSEE, LICENSOR shall have the right to terminate this Agreement by notice to LICENSEE. If LICENSOR terminates this Agreement, then without limitation of LICENSOR's rights and remedies, all rights granted to LICENSEE in this Agreement shall automatically and without notice revert to LICENSOR and LICENSEE shall thereupon return the Educational Tool Kit and DVD to LICENSOR at LICENSEE's sole cost and expense.
