INTRODUCTION

Asarwa Mills, a Composite Textile Mill, is situated in the Heart of Ahmedabad in the State of Gujarat having an installed capacity of 44168 spindles and 74 looms. It was set-up in the year 1900 and is one of the oldest mills in India. The present management has modernized the Mill in a phased manner and invested around Rs.650 Millions during last five years for installation of 4.1 MW Power Plant and to transform the same in a State-of-art, tech-savvy Mill. The revenue from export of yarn is about Rs.500 Millions Bengal Tea & Fabrics Limited, belonging to the B D Kanoria Group was incorporated in the year 1983 and later on, in the year 1985, it took over the whole undertakings of Bengal Tea & Industries Limited, earlier known as Bengal Tea Company Limited Bengal Tea Company Limited which was incorporated in the year 1950 by the Kanorias' took over the undertakings of The Ananda Assam Tea Company Limited and Asarwa Mills Limited in the year 1970 and 1976 respectively At present the Company has interest in the business of Tea & Textiles, with a turnover of about Rs 1000 Millions The Tea Estates of the Company are situated in Upper Assam and produces about 1.7 Million kgs of quality Black Tea

The Company owns a composite textile mill, namely Asarwa Mills, with an installed capacity of 43600 spindles and 74 looms, situated in Ahmedabad in the State of Gujarat Asarwa Mills began with spinning cotton yarn as cotton was a natural and versatile Fiber. Cotton Yarn
Cotton Yarn is our main product. We export high quality cotton yarn to Egypt and Italy which goes mainly for shirting purpose. Our range of products are from 2s to 120s. We also export double yarn i,e TFO yarn. We offer Cotton Yarn made from Indian Cotton as well as yarn made from Australian or Pima Cotton. We also offer Compact Yarn for exports. We provide contamination free yarn for certain end use.

Polyester Cotton Yarn

Raw Materials Asarwa is maintaining 2-3 months raw cotton stock and keep the same in state of art ware house within the mill's premises We monitor every bale of cotton procured with a view to ensure consistent quality of yarn We procure top quality cotton from most modern ginning & pressing factories in cloth packaging under label system suitable to manufacture quality yarn.

Synthetic: For blended yarn, we procure polyester staple fiber, Viscose staple Fiber from reputed manufacturers . For blended fabrics , we also procure filament yarn from the reputed manufacturers only.

Manufacturing Machinery Asarwa mills has spinning plant machinery from Lakshmi-Reiter, Reiter, Trumac - Trutszchler, Muratech, VOUK, Schlaforst. In the weaving section, looms from Lakshmi-Reiter have been installed.

In the mid 1990s, asarwa mills undertook a massive expansion of its denim capacity in spite of the fact that other cotton fabrics were slowly replacing the BPCBA/FY/IV/2006-07

demand for denim. The expansion plan was funded by loans from both Indian and overseas financial institutions. With the demand for denim slowing down, asarwa mills found it difficult to repay the loans, and thus the interest burden on the loans shot up. In the late 1990s, Arvind Mills ran into deep financial problems because of its debt burden. As a result, it incurred huge losses in the late 1990s. The company came up with a massive debt-restructuring plan for the longterm debts being taken up in February 2001. This highly complex financial restructuring exercise, which involved more than several dozen domestic and international lenders which the Company implemented is considered to be the benchmark and a case study in India asarwa mills, today is a force to reckon with in the entire chain of Textile Industry. The yarns out of asarwa mills spinning mills are taken to be of the best quality. The company has its foothold in the Denim fabrics, being one of the top three producers of Denim worldwide. CONSUMER PROTECTION

The Standing Committee on Consumer Matters set up by the Government under the Chairmanship of the Textile Commissioner has created an increased awareness among the textile consumers about various quality parameters. The Regional Offices of the Textile Commissioner and the Textiles Committee, in close co-ordination with local NGOs, State Government officals and consumer activists have conducted 9 Consumer Awareness Seminars/Workshops in various parts of the country during the current financial year. It is proposed to organise 20-25 more consumer awareness seminars/workshops during the remaining period of the current financial year

Effluent Treatment Facilities


All the production / processing units are provided with adequate wastewater / water treatment facilities, to meet the requirements of regulating authorities as well as our reputed customers like Levis, Nike etc asarwa mills at ahmedabad has one of the largest effluent recycle plants in Asia with recycling capacity 10,500 m3/day. The latest & best of the technologies available in water / wastewater treatments can be seen in operation in this plant The asarwa mills International (division) has Effluent recycling facilities comprising Chemical, Biological & tertiary treatment and it is of 800-m3/day capacity. The plant also has ISO 9000 & ISO 14000 certification asarwa mills @ the main site at Naroda also possess chemical, biological treatment facilities to treat 10000 m3/day of effluents to meet the pollution control board norms

asarwa mills (division) has Effluent treatment plant of 1600-m3/day capacity with chemical & biological treatment facility to achieve the pollution board norms asarwa mills (Garment exports division) is setting up a new garment unit at Mysore road, Bangalore, along with Effluent treatment plant of 1450 m3 /day capacity. This plant also possesses chemical, biological & tertiary treatment facilities to achieve the State Pollution Control Board norms. The uniqueness of this plant is all its process water requirements will be attained through recycled sewage water of Bangalore City

Solid waste Management

All the units believe in waste minimization measures. All the ETP plants are provided with adequate sludge Dewatering facilities. Units at International & the upcoming Bangalore unit are provided with Decanter Centrifuges for sludge de-watering. De-watered sludge is dried in solar evaporation pans for further volume reduction. Waste oil generated in all the units is recycled. Polythene liners, Discarded containers are disposed off to the respective buyers

CODE OF CONDUCT
CODE OF CONDUCT FOR BOARD MEMBERS & SENIOR MANAGEMENT PERSONNEL APPLICABILITY This Code of Conduct is applicable to all Board Members and the Senior Management Personnel of the Company. DEFINITIONS (a) "Board Member" means a Director of the Company. (b) "Company" means Bengal Tea & Fabrics Limited. (c) "Dependents" includes spouse, unmarried daughters and minor children. (d) "Price-sensitive-information" means any unpublished information, which relates directly or indirectly to the Company and which if published, is likely to materially affect the market prices of equity shares of the Company. This includes matters like consideration of financial results, declaration of dividends, further issue of capital, major expansion plans, amalgamation, acquisition, disposal, takeover, buy-back etc. (e) "Senior Management Personnel" means present employees of the Company, forming part of the core management team, immediately one level below the Board Members, including all functional heads.

BASIC PRINCIPLES The Board Members and Senior Management Personnel shall: (a) Conduct the Company's business in an efficient and transparent manner to the best interests of the Company for enhancement of the value of all stakeholders. (b) Safeguard the assets of the Company and use the same only for the legitimate business purposes of the Company. (c) Uphold professionalism, competence, fairness, discipline, moral, integrity, ethics, honesty etc while diligently discharging the duties and dealing with others. (d) Assure compliance with applicable Acts, Laws, Rules, Regulations etc. (e) Ensure to provide the workplace free of discrimination and harassment of any kind, based on race, colour, religion, age, gender, nationality or any other biases. (f) Maintain the confidentiality of information, whether technical, operational, commercial or otherwise, accessed while discharging the duties and

(g) Ensure that the information disclosed or disseminated is accurate, complete, true and timely. (i) Avoid soliciting, accepting or retaining, directly or indirectly, any gift, entertainment, trip, service or other benefit from other organisation or person having business relationships with the Company, save and except moderate gifts which are customary in nature or associated with festivals.

CONFLICT OF INTEREST The Board Members and the Senior Management Personnel shall not engage themselves in such transactions or activities, directly or indirectly, which are prejudicial, detrimental or which may have potential conflict with the interests of Nation, Society at large or the Company. SECURITY TRANSACTIONS The Board Members and Senior Management Personnel shall maintain the confidentiality of all price-sensitive-information and shall not act upon it for personal gain. Such information must not be passed, directly or indirectly, for recommending purchase/sale of the shares of the Company. The Board Members, Senior Management Personnel and their dependants are not allowed to deal with in the shares of the Company during the period

starting 7 working days before and ending with 2 working days after the date of the board meetings, at which the price-sensitive-information is considered.

COMPLIANCE & DISCLOSURES The Board Members and the Senior Management Personnel must comply this Code both in letter and spirit and affirm such compliance on an annual basis, within 15 calendar days from the end of the financial year. The Senior Management Personnel shall also disclose to the Board all material financial and commercial transactions, where they have personal interest that may have potential conflict with the interest of the Company at large. MISCELLANEOUS Incase of any clarification on any matter, including interpretation, of this Code, the Chairman & Managing Director of the Company shall be contacted. The Board of Directors shall have the right to waive any provision of this Code of Conduct upon specific written request by the concerned person and decision of the Board of Directors on all matters, relating to this Code, shall be final and binding upon all concerned. Where any aspect of this Code is covered under any Act or Law, the more stringent of respective provisions shall apply, unless otherwise stated.
