AGREEMENT (Womens Wear Exhibition)

The Client (hereinafter referred to as "Tiffany") is engaging Zemam as an independent contractor for the specific purpose of conducting womens wear exhibition, herein after referred to as "Zemam Presents Womens wear exhibition by Tiffany. Clause No.1:- Setup of the exhibition Tiffany will provide clothing line of different designs which are arranged on mutual consent and Zemam will provide venue along with promotional campaign for the event. Clause No.2:- Number of items Tiffany will provide 80 dresses of different designs varying in sizes and colors. If the dresses are sold before the closing date new lot of dresses will be brought in on mutual consent. Clause No.3:- Financing Tiffany will be delivering the dresses for the exhibition so all the cost will be beard by them. Clause No.4:- Return of stock The quantity which will be left at the end of the exhibition will be returned to Tiffany Clause No.5:- Payment Schedule The total amount of Rs. 225,000 will be paid in 3 Installments as per following schedule:

Rs. 50,000 as down payment Rs. 50, 000 on 1st November Rs. 125,000 at completion of work

Payment will be in cash. Clause No.6:- Reproduction of Work The Kwa Maono assumes full reproduction rights upon payment for completed project. Art work will be provided in JPEG format at 300 dpi with detail of color coding, shape, size and measurement to Kwa Maono. In addition, all conveying factory specific information/documentation with respect to designs will be provided to Kwa Maono.

Clause No.7:- Copyright Protection The Kwa Maono brand, concept, and designs are intellectual property created, made, or originated for Kwa Maono and shall be the sole and exclusive property of the owner or inventor, except as he or she may voluntarily choose to transfer such property, in full, or in part. Clause No.8:- Changes in Designs If, prior to completion of the project, the Kwa Maono observes any nonconformance with any design, the Zemam must be promptly notified within 2 days via email with written directions, allowing for necessary changes. Designs can be altered till 90th days of project period. After completion of project any changes in designs will also be entertained by Zemam for further 5 days free of cost. Clause No.9:-Rejection/Cancellation of Project The Kwa Maono shall not unreasonably withhold acceptance of, or payment for, the project. Rejection of the completed project or cancellation during its execution will result in forfeiture of payment of project. In this case, all prior payments will be kept by Zeman and the number of designs and/or art work produced up till that specific date/time of breach of agreement should be given in the normal format to Kwa Maono owner. Clause No.10:- Completion/Delivery of Project The estimated completion date of the project is 150 days. Due to unseen factors/ elements minor delays are expected and period may be extendable with consent of both parties i.e. Kwa Maono and Zemam. The above prices, specifications and conditions are hereby accepted by Kwa Maono and Zemam. The Zemam is authorized to execute the project as outlined in this agreement.
