B: Instructions for submission of Tender: 1. Tender should be submitted in two sealed covers marked as Bid) and Envelope-2 (Price Bid) separately. Envelope-1 (Technical

C: Important Note: 1. The envelope 2 containing price bid will be opened for only those firms who qualify in the Technical Evaluation for the work. 2. Conditional offers will not be entertained. 3. The offer will remain valid for a period of 9 0 days ( Ninety days) from the date of submission of tender. 4. If at any stage, any information / docume nts submitted by the applicant are found to be false, the agency shall be liable for rejection, apart from any other appropriate /legal action by ECIL. 5. The tenderer shall affix their signatures and seal on all pages and enc losures of the tender document. 6. The Consultant shall be in a position to furnish the originals of all documents enclosed in the eligibility criteria on demand for verification purpose. 7. Before tendering the tenderers are advised to inspect the site of work and its environment and be well acquainted with the actual working and other prevalent conditions. 8. If tenderer withdraws his offer after submission of his tender or fails to start the work after acceptance of his tender in accordance with the instructions of the Head, ESD, ECIL, the Earnest Money deposited by him/her shall be forfeited without prejudice to any other remedy available to the Corporation under contract. 9. The acceptance of the tender will rest with the Head ESD who does not bind himself to accept the lowest tender and res erves to himself the authority to reject any or all of the tenders received without the assignment of any reasons. All tenders in which any of the prescribed conditions are not fulfilled or are in complete in any respect are liable to be rejected. 10. ECIL r eserves the right to award the work of full or partial to the applicants. Nothing extra shall be paid on this account. 11. The agreement for this work will be executed at Hyderabad and be governed by the Indian Law for the time being in force and the court in Hyderabad alone will have jurisdiction to deal with matter arising there from. SECTION-II BRIEF DESCRIPTION OF PROPOSED RCC OVER HEAD WATER TANK


A. To be located in ECIL factory premises, Hyderabad. B. The net capacity of the Over Head Water tank should be 300 KL and staging height should be 27m. C. The water tank should have adequate provision for staircase, water level indicator, lightening conductor, and aviation lighting. D. Should have adequate pumping arrangement including construction of pump room, along with related electrical work. E. Should have routine provisions for inlet, outlet, over flow and scour cleaning arrangement. F. Necessary provisions to connect the tank with the existing water distribution system are also required to be made. G. The tank should meet earthquake resistant, water proofing and other statutory provisions. H. All required safety provisions as per codal & statutory requirements must be in place.

SECTION-III ELIGIBILITY CRITERIA FOR QUALIFICATION IN THE TECHNICAL BID


The Consultant shall meet the following criteria to be eligible for this work. Respective copies of the certificates/documents duly attested by a Gazetted officer/Notary public must be enclosed. ESSENTIAL: 1. Should be a registered firm in India. 2. Should be empanelled in at least one C entral government/ State government or Semi Central Govt. /State Govt. Department. 3. Should have successfully designed/provided consultancy for either of the following similar works during the last seven years calculated from the date of submission of technical bid. a. One Over Head R.C.C water tank of minimum 200 KL capacity & minimum 15m staging height in Central government/ State government o r Semi Central Govt. /State Govt. Department. b. Two Over Head R.C.C water tanks of minimum 150 KL capacity & minimum 15m staging height. At least one of these works must be in Central government/ State government or Semi Central Govt. /State Govt. Department. c. Three Over Head R.C.C water tanks of minimum 100KL capacity & minimum 15m staging height. At least two of these works must be in Central government/ State government or Semi Central Govt. /State Govt. Department. Satisfactory designing/ consultancy certificates by clients indicating actual date of taking up the job as well as actual date of completion should be enclosed invariably. 4. Should be duly registered with Central Excise Department for payment of service tax and should have a valid service tax registration number. 5. Should have an annual turnover from the architectural/structural consultancy services of not less than Rs 5 lakhs each during the year 2008 -09, 2009-10, 2010-2011 (duly attested audited balance sheets to be enclosed) 6. Reasonable strength of work force with the firm specifically detailing about the strength of Qualified Architects & Structural engineers. 7. Copy of PAN card 8. A declaration to the effect that the applicant has not been blacklisted by any Central Govt./State Govt. or Central Govt./State Govt. P.S.U should be submitted along with the technical bid.

SECTION-IV SCOPE OF WORK AND RESPONSIBILITIES OF CONSULTANT A. PRE-CONSTRUCTION RESPONSIBILITIES Clause:


1. Soil investigation of site from an approved reputed Govt. Laboratory. 2. Preparation and submission of preliminary concept drawings including layout plan to the satisfaction of ECIL. 3. Preparation & s ubmission of Architectural drawings for the complete scope of work as per requirements and full satisfaction of ECIL. They should include a 300 KL R. C.C Overhead water tank of 27 m staging height, Design of pumps & pump room including related pipe connection & electrical works and other provisions mentioned in the Brief description of water tank (Section-II). 4. Preparation & submission of detailed structural drawings for the complete scope of work in accordance to related IS codes / CPWD specifications incorporating necessary earthquake resistant, safety, water proofing and other statutory provisions. The same with complete d esign calculations will be submitted to ECIL for their vetting by an independent authority to be decided by ECIL. The charges for vetting by an independent authority will be borne by ECIL but it would be the responsibility of the consultant to co-ordinate with the vetting authority and provide any additional information /data required and subsequently incorporate any changes suggested by the vetting authority. 5. Preparation & submission of estimate (BOQ) for the Over head Water Tank on Turnkey basis and th e related ancillary works for the balance scope of work on detailed basis with detail of quantities to the full satisfaction of ECIL. However, the detailed estimate for ancillary works will be separately prepared for individual sub -head. Latest CPWD schedule of rates should be used as guideline for framing of the detailed estimate. Items not available in the CPWD schedule will be prepared on market rates along with detailed analysis calculations. Any modifications desired by ECIL in the detailed estimate prepared by the consultant will be incorporated. 6. Preparation of the tender document for construction of the Over head water tank including ancillary works in co-ordination & satisfaction of ECIL authorities. 7. Assist ECIL in the tendering process for the construction work as per requirement mainly in evaluation of the technical/financial bids for award of the work. B. DURING CONSTRUCTION RESPONSIBILITIES Clause:


1. Conducting fortnightly or more if required site visits during progress of construction work till final actual completion for ensuring that architectural features as per approved drawings are being implemented correctly. 2. Making any structural/architectural changes in the drawings if required as per site requirements. 3. Issue of any supplementary/detailing architectural/structural drawings required by ECIL for execution of the work if missed/could not be issued earlier. 4. Clearing any queries of ECIL field authorities/construction agency with respect to architectural/structural drawings, specifications, detailed estimate or any other technical requirement.

NOTE:1. ECIL reserves the right to delete any part of the above responsibilities without assigning any reasons thereof. The consultant shall have no claim what so ever on this account. The consultation fees will be accordingly reduced and decision of Head, ESD, ECIL with respect to the applicable & due fees will be final and binding. 2. All the architectural & structural drawings should comply with the local building byelaws and other statutory requirements. 3. Sufficient number of copies of drawings/documents as desired by ECIL shall be provided by the consultant. Soft copies of the same as per the requirement of the ECIL should also have to be provided. No additional charges will be payable on this account. 4. ECIL may wish for separate tender documents for any portion/portions of work. Th e same shall be provided by the consultant as per the requirement of ECIL. No additional charges will be payable on this account. 5. The consultant may be required to give presentations (PPT or otherwise ) of the project with necessary views and supportin g data during the pre -construction as well as construction progress stage to ECIL authorities/other statutory bodies as and when required. No additional charges will be payable on this account.

NOTE:1. The time allowed for completion of acti vities as per clause (A -1 to A-6 of Scope of work & Responsibilities) is 2.0 (two) months. A penalty up to 1% (one percent) of the total consultant fee is liable to be deducted on every week of unjustified delay subject to the maximum of 10% (ten percent) of the total consultant fee . The decision of Head , ESD, ECIL with respect to the amount of penalty and calcula tion of unjustified delay period will be final & binding. 2. The milestones of individual activities as tabulated above are also required t o be observed by the consultant. 1% (one percent) amount of the total consultant fee will be withheld on missing of each milestone during intermittent release of payments. However, the s ame will be settled at the time of stage 5 of Payment schedule after accounting for any penalties imposed. 3. If the consultant feels that there are valid justified reasons for delay in completion of his responsibilities(As per Clause A -1 to A -6 of Scope of work & R esponsibilities), he can make a request to Head ,ESD,ECIL citing valid reasons for extension of time and re scheduling of the activity milestones. However, the decision of H ead, ESD, ECIL regarding sanction of extension of time and re -scheduling of the activity milestones will be final & binding. 4. Any delay beyond the expected 10 d ays for vetting of structural drawings after submission of the same with design calculations will be considered by ECIL for Extension of time and delay on this count will not be attributed to the consultant.

NOTE:1. 10% on gross due amount will be deducted as Security Dep osit at every fee release stage and will be released on successful completion of scope of consultancy work after a period of 3(Three) months from the actual completion of construction work of the project. 2. Service tax if applicable shall be reimbursed to the consultant on submission of valid proof of depositing the same with the tax authorities. 3. 4. The scope of the work & responsibilities of the c onsultant under clause A -7, B-1, B-2, B-3 & B -4 as well as stages of fee release (stage 6 -9) are connected with the actual construction activity to be undertaken by separate agency/agencies. In the event of any delay in the construction activities due to reasons whatsoever, the responsibilities of the consultant will stay the same and undiluted and no damages/compensation will be paid by ECIL to the consultant on this count. 5. The consultant shall raise the bill after achieving of the relevant stages for rele ase of the due payments by ECIL.

SECTION-VII ADDITIONAL TERMS & CONDITIONS 1. Except where otherwise provided in the contract, all questions and disputes arising out of or relating to the contract, whether arising during the progress of the work or after the cancellation, termination, completion or abandonment thereof shall be dealt with a s mentioned hereinafter: i. Through Dispute Resolution Committee : Any dispute as stated above shall be referred in the first place to the Dispute Resolution Committee (DRC) appointed by the Director (Personnel), ECIL. It is also a term of contract that fees and other expense if payable to DRC shall be paid equally by both the parties i.e. ECIL and Contractor. Unless the contract has already been repudiated or terminated, the Consultant shall, in every case, continue to proceed with the work with all due diligence. It is also a term of contract that If the Consultant does not make any demand for Dispute Resolution Committee in respect of any claim in writing within 90 (Ninety) days of receiving the intimation from the ECIL that the bill is ready for payment, th e claim of Consultant(s) will be deemed to have been waved and absolutely barred and the ECIL shall be discharged and released of all liabilities under the contract in respect of these claims. ii. Adjudication through Arbitration :- Except where the decision h as become final, binding and conclusive in terms of Sub Para (i) above, disputes or differences shall be referred for adjudication through arbitration by a sole arbitrator appointed by the Director (Personnel), ECIL. If the arbitrator so appointed is unab le or unwilling to act or resigns his appointment or vacates his office due to any reason whatsoever, another sole arbitrator shall be appointed in the manner aforesaid. Such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. It is also a term of contract that If the Consultant does not make any demand for appointment of Arbitrator in respect of any claim in wr iting within 120 (One hundred Twenty) days of receiving the decision / award from Dispute Resolution Committee, the claim of Consultant(s) will be deemed to have been waved and absolutely barred and the ECIL shall be discharged and released of all liabilit ies under the contract in respect of these claims. It is term of this contract that the party invoking arbitration shall give a list of disputes with amounts claimed in respect of each such disputes along with the notice for appointment of arbitrator and giving reference to the rejection of their claims by the Dispute Resolution Committee. It is also a term of this contract that no person, other than a person appointed by above mentioned appointing authority, should act as arbitrator and if for any reason that is not possible, the matter shall not be referred to arbitration at all. The arbitration shall be conducted in accordance with the provisions of the Arbitration and re -conciliation Act, 1996 (26 of 1996) or any statutory modification or re enactment thereof and the rules made there under and for the time being in force shall apply to the arbitration proceedings under this clause. It is also a term of this contract that the arbitrator shall adju dicate on only such disputes as are referred to him by the appointing authority and give separate award against each dispute and claim referred to him and in all cases where the total amount of the clai ms by any party exceeds Rs.1,00,000/-, the arbitrator shall give reasons for the award. It is also a term of the contract that if any fees are payable to the arbitrator, these shall be paid equally by both the parties. It is also a term of the contract that the arbitrator shall be deemed to have entered on the reference on the date he issues notice to both the parties calling them to submit their statement of claims and counter statement of claims. The venue of the arbitration shall be such place as may be fixed by the arbitrator in his sole discretion. The fees, if any, of the arbitrator shall, If required to be paid before the award is made and published, be paid half and half by each of the parties. The cost of the reference and of the award (including the fees, if any, of the arbitrator) shall be in the discretion of the arbitrator who may direct to any by whom and in what manner, such costs or any part thereof shall be paid and fix or settle the amount of costs to be so paid. 2. The Consultant shall fully indemnify ECIL against any action, claim or proceeding relating to infringement or use of any patent or design or any alleged patent or design rights and shall pay and royalties which may be payable in respect of any article or part thereof included in the contract. In the event of any claims made under or action brought against ECIL in respect of any such matters as aforesaid, the Consultant shall be immediately notified thereof and the Consultant shall be at liberty, at his own expense, to settle any dispute or to conduct any litigation that may arise there from. 3. The Consultant shall be responsible for the accuracy of the data collected and the designs, drawings, quantities and estimates prepared by him /her as part of the project. He /she shall indemnify ECIL against any inaccuracy in the work, which might surface at the time of ground implementation of the project. In such an eventuality, the consultant will be responsible to correct the drawings including reinvestigations etc. as required without any extra cost implication on ECIL. 4. If the Consultant persistently neglects to carry out his obligations under the contract and / or commits default in c omplying with any of the terms and conditions of the contract and does not remedy it or take effective steps to remedy it within 7 days after a notice in writing is given to him /her in that behalf by the Head, ESD, ECIL, the contract with the consultant is liable to be terminated by the Head, ESD, ECIL without prejudice to his any other rights or remedy against the consultant. In the event of such termination, the Security deposit available with ECIL along with unadjusted earnest money deposit till such date will stand forfeited. 5. Without prejudice to any of the rights or remedies under this contract, if the Consultant dies, the Head, ESD, ECIL on behalf of the ECIL shall have the option of terminating the contract without compensation to the Consultant. 6. The Consultant shall not be permitted to tender for works in ECIL wherein his near relative is posted as an Officer responsible for award and execution of work. He /she shall also intimate the names of persons who are working with him in any capacity or / are s ubsequently employed by him and who are near relatives to any officer of ECIL. Any breach of this condition by the Consultant would render him, the contract liable to be rejected at any stage. NOTE: By the term near relatives is meant wife, husband, pa rents and grand parents, children and grand children, brothers and sisters, uncles, aunts and cousins and their corresponding in-laws. 7. No engineer or any officer employed in engineering or administrative duties in an engineering department of ECIL shall wo rk as a Consultant or employee of a Consultant for a period of one year after his /her retirement from ECIL service without the previous permission of ECIL in writing. This contract is liable to be cancelled if either the Consultant or any of his /her employees is found at any time to be such a person who had not obtained the permission of ECIL as aforesaid, before submission of the tender or engagement in the Consultants service, as the case may be. 8. The Consultant shall appoint and notify a team of well qu alified Technical personnels from his organization to represent the consultant in all the meetings/ presentations to ECIL, Local Bodies or any other agency. 9. The executive control of the contract on behalf of ECIL shall be with the Head, ESD, ECIL or any other officer authorized by him. 10. The consultant shall be required to sign an agreement with ECIL within 7 days of receipt of letter of award based on these terms & conditions.

UNDERTAKING (To be submitted on the Letter Head of Consultant)

I/We of M/s ___________________________________________ bidder for consultancy Rendering Architectural, Structural Design & Engineering Consultancy Services for Construction of 300 KL Capacity RCC Over Head Water Tank of 27 m Staging Height including pumping arrangement & connection to existing water supply dis tribution system proposed at ECIL factory premises, Hyderabad, 500062 , do hereby undertake that I/we agree to unconditionally accept all the terms and conditions mentioned in the tender documents. Further we have noted that after unconditionally accepting the tender condit ions in their entirety, it is not permissible to put any remarks/conditions in the Price Bid enclosed in Envelope -II and the same has been followed in the present case. In case this provision of the tender is found violated at any time after opening of env elope-II, I/We agree that the tender shall be summarily rejected and ECIL shall, without prejudice to any other right or remedy, be at liberty to forfeit the full said earnest money, absolutely.
