Center for Organic Farming/Green Restaurant Uttarakhand Organic Commodity Board 201/1- Vasant Vihar Dehradun Terms of Reference (TOR) for Consultation for Marketing services for the setting up of Green Restaurant with the assistance of Center for Organic Farming Project Terms of Reference (TOR) between the Uttarakhand Organic Commodity Board and Consultant Uttarakhand Organic Commodity Board (hereinafter called UOCB) as the first party, and consultation agency (herein after called the consultant) as second party. 1. Background of Uttarakhand Organic Commodity Board: Uttarakhand Organic Commodity Board (UOCB) is a Government society registered under society act 1860 supported by Government of Uttarakhand presently located in Dehradun district of Uttarakhand and has the following principal factions: 1. Advise and assist the state government in the overall strengthening and implementation of the institutional setup engaged and dealing in the production, processing, marketing and the promotion of organic farming in the state. 2. The Board will endeavor to promote Organic farming in the all fields of land use e.g. Agriculture, Horticulture, Animal Husbandry, Dairy, Sericulture, Apiculture, Floriculture, Herbs and Medicinal Plant, Tea, Fisheries, Forest and all related fields for the promotion and development of organic farming in the state and network and liaison with various department of the states. 2. Background: CENTRE FOR ORGANIC FARMING (COF) Supported by Sir Ratan Tata Trust (SRTT), Mumbai under the Himmothan Pariyojna initiative. The Center of Organic Farming (COF) is anchored within the Uttarakhand Organic Board (UOCB) umbrella. Conceptually the Center is an independent project but as UOCB was also established around the same time, the administrative functions of COF are operated from the UOCB administrative unit itself. Background COF was conceived and sanctioned by the SRTT in May 2003, and came into existence in July 2003. COF is a deemed center of excellence in the making and is meant to provide technical assistance to those critical areas in the on-going organic initiatives of the state of Uttarakhand, which are being presently provided through state departments. These areas of support are primarily in the form of technical expertise and human resource. COF -1 program was successfully implemented in the years 2003 06. In the meanwhile COF -2 was also conceived and applied for which was sanctioned in the middle of 2005. COF -2 was a diversification of activity where the State Training Center for Organic Farming was established along with an R&D cell for action research for organic farming.

Presently the second phase of COF -1 is being implemented and one of the inherent components of the project is setting up one prototype of Green Restaurants with the participation of private parties. Here the project would contribute in the form of capital subsidy as well as assistance in marketing and training of the concept. 3. GREEN RESTAURANT Uttarakhand is known the world over for its natural beauty. The rich natural diversity coupled with the distinct climatic conditions yield edible plants and spices which are unique to the state. The food commodities in of Uttarakhand are renowned for their extremely high nutritional value and taste. Organic food production in the state is rapidly gaining national and international recognition. Most of the traditional cuisines of the region are yet to gain popularity and are untouched in the region. This is primarily because the typically indigenous ingredients for preparing traditional delicacies are not easily available in other regions. The concept of Green restaurant is relatively new for the state. In these restaurants local cuisine from the state will be served which would not only be delicious but healthy & nutritious too. The theme of the restaurant would be organic and traditional food. The cuisine of Uttarakhand makes good use of local herbs and spices as taste enhancers. The ingredients available to name a few are finger millet (mandua),amaranthus (chaulai), horse gram (kulath), foxtail millet (kauni), black & white soyabean, red rice, kidney beans, organic spices etc would be used in the preparation of the dishes. The restaurant would also be serving organic beverages apart from the menu serving breakfast, lunch and dinner. There will be organic bakery products also available and an outlet for organic products of the organic villages of the state where the customer can buy and take away the raw ingredients of his choice. Our initiative UOCB would develop one Green restaurant as a prototype model in such a manner that they would pave a way for evolution of several such restaurants in the state. The concept braces on the visualization that all the other restaurants which would be developed would be a chain of restaurants across the state and a brand would be created. The concept of Green restaurants is a step forward by UOCB to promote organic food and to provide a new market to organic farming in Uttarakhand.

With this background CoF/UOCB now seeks the services of an agency to support the project develop its various required systems and procedures for marketing activities for the restaurant. The interested party must submit detailed methodology for the development of the same. This must be remembered that the party has to work in association with UOCB in the preparation of the marketing plan.

4. SCOPE OF WORK The consultant team with the strength of his / her experience in the field of marketing has to study the concept plan and empathize with the idea which is a new and indigenous to the state and its new initiatives in organic farming. Also the consultant team with his/ her experience must appreciate the new concepts emerging in the sector of food and restaurants today which include slow food, concept restaurants, health bars, rural/village based eateries etc. The marketing consultancy should draft a plan based on business and financial plan for the restaurant which will outline a strategy for success and breaks it down into comprehensible, actionable components that will enable the restaurant to provide a good return on investment. The said consultancy assignment shall include, but not necessarily be limited to the under mentioned tasks. While the concept of the Green restaurant has been pondered upon the consultant must draw out the following:1. Marketing consultancy a. b. c. d. Developing a marketing strategy which includes developing a brand name and market positioning of the restaurant. Planning of restaurant launch strategy. Planning of restaurant sales strategy. Planning of various activities like publicity, advertising, PR activities and various promotional activities. The consultant would be directly involved with the project for developing the above stated strategies and implementation of the same for launch, marketing and sales of the restaurant. The consulting agency will act as an event management agency for implementing the various strategies and monitoring them for progress of the restaurant for 3 months after the launch of the restaurant.

5. OBJECTIVES OF CONSULTANCY The main objectives of the said consultancy assignment are: 1. Developing brand name for the restaurant. 2. Market positioning of the restaurant.

3. Preparing a marketing plan for the restaurant.


4. Planning of launch and sales strategy. 5. Planning marketing activities. 6. Implementation of launch, marketing and sales strategy for the restaurant.

6. DESIRABLE QUALIFICATION AND EXPERIENCE

The consulting agency should have the following parameters:

1. The lead consultant should be qualified as MBA in Marketing from a recognized institute
with 10 yrs of experience.

2. The consultant should have undertaken 3 such assignments in the past for
government/non-government organizations/ private organizations.

3. The consultant should be capable of traveling and collection of primary and secondary
data.

4. The consultant should have been closely involved with the marketing industry and hands
on experience on developing such type of plans.

5. Professional expertise should be present in- house or in a consortium; names referred


must be an active member of the team. Their CVs also needs to be furnished.

7. SUBMISSION OF THE FINAL REPORT AND EXPECTED DELIVERABLES The report shall provide an overview of the methodological aspects used for data collection and processing, comprehensive analysis of various points and the major conclusions and recommendations from the assessment during the process incorporating the relevant literature review. The synthesis report will be submitted in English following a technical style, clear, concise and readable. The report should include all the documents in hard and soft copies. The report should necessarily include the following: 1. Marketing strategy for the restaurant. 2. Proposed brand names. 3. Market positioning of the restaurant. 4. Launch & sales strategy including publicity, advertising, PR and other promotional activities. 5. Implementation of the above strategies and monitoring the progress according to the strategies. 6. Doing necessary changes in the strategies as per the performance of the restaurant and implementing those changes. 8. NUMBER OF COPIES A total of two copies of the project proposal and reports will have to be submitted along with original soft copy on compact disc (CD). 9. MONITORING/CERTIFYING AGENCY A committee formed by the UOCB will monitor the progress & proper implementation of the agreement and to certify to the consultant that the terms of the agreement have been satisfactorily met and that appropriate payments to be made.

10. DISPUTE RESOLUTION In the event of any doubts of interpretation of differences of opinion the parties shall resolve each issue amicably. In case of any dispute the jurisdiction applicable is Dehradun, Uttarakhand. 11. MODALITIES FOR MAKING PAYMENT OF CONSULTANCY FEES Payment will be made according to the following payment schedule:

a. The first installment (equal) of the fees would be released in a week from date of
signing of MoU of consultants job work and receiving of work plan from the consultant. b. The second installment (equal) of the fees would be released after the draft of the report has been submitted. c. The third installment (equal) of the fees would be released after the implementation of launch, marketing and sales strategy for the restaurant after the launch of the restaurant. d. The fourth and final installment (equal) of the fees would be released after the completion of the consultancy, presentation from the consultant and report has been endorsed by the UOCB committee. 12. CONSULTANCY FEE The consultancy fee should include all the costs borne by the consultant including the cost of traveling, telecommunication, cost of outsourcing any personnel and other related costs incurred in the consultancy. 13. HEALTH AND ACCIDENT INSURANCE In your interest, we advise you to take up adequate protection in the form of health and accident insurance before you take on this assignment as the Trust will not be liable or in any way be responsible for costs associated with unlikely eventualities like emergency medical problems, sickness, accidents etc. which may occur during the course of the assignment.

14. BID FORMATS & APPLICATION EMD of Rs. 25000 (Rs. Twenty five thousand only) in form of demand draft in favor of Secretary, Uttarakhand Organic Commodity Board will be enclosed along with the documents. There will be a two-bid system: technical & financial. Technical and financial bids are to be in separate envelopes and they should be in a third envelop. 15. DURATION OF CONSULTANCY The duration of consultancy would be 10 months from the date of signing the MoU. 16. OWNERSHIP AND COPYRIGHT The report is the inherent property of the UOCB / COF and the consultant will ensure that the study or any part of it is not disclosed to any individual, association or in any public meeting, seminar, workshop etc without the prior permission of the UOCB, before and after the submission of the report to the UOCB.

INSTRUCTION TO BIDDERS & GENERAL CONDITIONS 1. INTRODUCTION General 1.1 The Uttarakhand Organic Commodity Board (UOCB) will select consultant/firms/organization/agency (Bidder) from those responding to this Invitation, in accordance with the method of selection specified in this document for the execution of consultancy as described in the document. 1.2 Bidders should familiarize themselves with local conditions and take them into account in preparing their Proposals. To obtain first-hand information on the assignment and local conditions, Bidders are encouraged to consult Uttarakhand Organic Commodity Board (UOCB). 1.3 Bidders shall bear all costs associated with the preparation and submission of their Proposals. Costs might include visits, surveys, attendance at the meetings, collection of information; designing, preparing of art works/drawings/models, presentations to the Client. 1.4 Uttarakhand Organic Commodity Board (UOCB) is not bound to accept any Proposal and reserves the right to annul the selection process at any time/ Stage prior to contract award, without thereby incurring any liability to the Bidders. 1.5 In preparing their Proposals, Bidders are expected to examine in detail this document. Material deficiencies in providing the information requested may result in rejection of a Proposal. 1.6 It is required that Bidders provide professional, objective, and impartial services and at all times hold Uttarakhand Organic Commodity Board (UOCB) interests paramount, avoid conflicts with other assignments or their own corporate interests and act without any consideration for future work. 1.7 Bidders shall not be recruited for any assignment that would be in conflict with their prior or current obligations to other agencies, or that may place them in a position of not being able to carry out the assignment in the best interest of Uttarakhand Organic Commodity Board (UOCB) BID DOCUMENT FEE 1.8 Rs. 500+ 4% VAT as form fee is required to be submitted at the time of buying the form and if the form is being downloaded from the website then form fee should be deposited at the time of submission of the form. Fraud and Corruption 1.9 It is required that Uttarakhand Organic Commodity Board (UOCB), as well as Bidders observe the highest standard of ethics during the selection process, execution of services and procurement and execution of the contracts. In such pursuance of this policy, it is: (i) defined, for the purposes of this provision, the terms set forth below as follows: (a) corrupt practice means behavior on the part of officials in the public or private sectors by which they improperly and unlawfully enrich themselves and/or those close to them, or induce others to do so, by misusing the position in which they are placed, and it includes the offering, giving, 11

receiving, or soliciting of anything of value to influence the action of any such official in the procurement process or in contract execution; and (b) fraudulent practice means a misrepresentation of facts in order to influence a procurement process or the execution of a contract to the detriment of Uttarakhand Organic Commodity Board (UOCB), and includes collusive practices among bidders (prior to or after bid submission) designed to establish bid prices at artificial, noncompetitive levels and to deprive Uttarakhand Organic Commodity Board (UOCB) of the benefits of free and open competition). (c) Coercive practice means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in a selection process, or affect the execution of a contract. (ii) will reject a Proposal for award if it determines that the bidder recommended for award has engaged in corrupt or fraudulent practices in competing for the contract; and (iii) will declare a firm ineligible, either indefinitely or for a stated period of time, to be awarded any contract under the project. 1.10 Bidders and associate members of consortium shall not be under a declaration of ineligibility for corrupt and fraudulent practices issued by any Government Organization/ PSU in accordance with the above Para. Only One Proposal 1.11 Bidders may only submit one Proposal. If a Bidder submits or participates in more than one Proposal, such a Bidder shall be disqualified. Bid/Proposal Validity 1.12 Bidders Proposals must remain valid for 180 days from the last date of submission. Uttarakhand Organic Commodity Board (UOCB) will make its best effort to complete the selection process also within this period. In case of need, Uttarakhand Organic Commodity Board (UOCB) may request Bidders to extend the validity period of their Proposals. 2. CLARIFICATIONS AND AMENDMENTS TO BID DOCUMENTS 2.1 Bidders may request a clarification on the bid document up to 19 August 2008. Any request for clarification must be sent in writing to the address indicated in the Data Sheet. Uttarakhand Organic Commodity Board (UOCB) will respond, including an explanation of the query but without identifying the source of inquiry, as per item 2.2 below. Should Uttarakhand Organic Commodity Board (UOCB) deem it necessary to amend the document as a result of a clarification, it shall do so following the procedure under item 2.2. 2.2 Uttarakhand Organic Commodity Board (UOCB) may, whether at its own initiative, or in response to a clarification requested, amend the bid document by issuing an addendum. The addendum shall be notified to the participating organizations/institutions/agencies not later than 19 August 2008. Bidders are advised to visit the website regularly for all amendments. 2.3 To give Bidders reasonable time in which to take an amendment into account in their Proposals, Uttarakhand Organic Commodity Board (UOCB) may at its discretion, if the amendment is substantial, extend the deadline for the Bid submission.

3. PREPARATION OF THE PROPOSAL 3.1 Bidders Proposal (the Proposal) will consist of the following components: Technical and Financial proposal on FORM-1 to FORM-7 (Additional sheets required may be used) In preparing their proposals, Bidders are expected to examine in detail the documents comprising the Bid document. Material deficiencies in providing information requested may result in rejection of a Proposal. 3.1 The Proposal, as well as all related correspondence exchanged by the Bidders and Uttarakhand Organic Commodity Board (UOCB), shall be in English. All reports prepared by the contracted Bidder shall be in English. In case any document is in any language other then English, Bidder is required to submit the translation of the same in English also. Bids with documents submitted in languages other then English are liable to be rejected at the discretion of UOCB. 3.2 The Proposal should include a cover letter signed by person(s) with full authorization to make legally binding contractual (including financial) commitments on behalf of the firm. The letter should specify all association arrangements, and certify that each associated firm will perform its designated tasks under the assignment if the lead firm is awarded the contract. Organizations participating in a consortium should provide a copy of the agreement reached amongst them prior to participation in this bid process. 3.3 The Proposal will comprise of Qualification Documents, which will demonstrate the Bidders experience and capability for the current assignment and the Bidders understanding of the assignment requirements and capability and approach for carrying out the works set forth in a time bound manner. The Pre-qualification and Technical Proposal shall not include any financial information (price offer) and any Pre-qualification and Technical Proposals containing financial information shall be declared non-responsive and rejected. 4. TECHNICAL PROPOSAL: The Technical proposal shall be submitted for the broad requirements, indicated in the document and as required in the Proposal Forms. The Technical proposal shall contain the following information: (i) A concise, complete, and logical description of how (approach & methodology, brief of a strategy of concept restaurant should be included) the Bidders team will carry out the services to meet all requirements of the consultancy. Major emphasis will be given to this aspect while evaluating the proposals. (ii) A Staffing Schedule indicating clearly the manpower proposed. (iii) An organization chart of the Team to be involved in the assignment. Personnel (iv)The name, age, nationality, background employment record, and professional experience of each nominated expert, with particular reference to the type of experience required should be presented in the CV format. (v) All nominated experts must be authorized to work in India. 13

(vi) Higher rating will be given to nominated experts from the bidding firm and associate firms, if any, who are regular full-time employees. Uttarakhand Organic Commodity Board (UOCB) defines a regular full-time employee to be a person who has been employed continuously by the Bidder or one of its Associates, for more than twelve (12) months prior to the date of submission of the Proposal. (vii) It is required that each personnel confirm that the content of his/her curriculum vitae (CV) is correct and the experts themselves should sign the certification of the CV. However, in particular cases, Uttarakhand Organic Commodity Board (UOCB) may accept a senior officer of the Bidder signing the CVs on behalf of the experts. If, for valid reasons, the experts are unable to do so, and the Bidders Proposal is ranked first, copy of the CVs signed by the experts concerned must be submitted to Uttarakhand Organic Commodity Board (UOCB) prior to commencement of contract negotiations. 5. SELECTION PROCESS Uttarakhand Organic Commodity Board (UOCB) shall adopt the following selection process: The evaluation of the proposals will be carried out in two stages: 1. Technical bid 2. Financial bid The financial proposals shall not be opened before the evaluation of technical proposals is concluded. The document fee will be checked, in case the same are not submitted or are not in order the proposal will be rejected forthwith. The Pre-qualification proposals and Technical Proposal shall then be opened and checked for conformity to the requirements indicated by Uttarakhand Organic Commodity Board (UOCB) in this document. The proposals shall be evaluated as per the evaluation sheet and guidelines provided in the document. The minimum qualifying score shall be of 70. At the end of the process the evaluators will prepare a technical evaluation report of the quality of the proposals. UOCB will then form the panel/s of requisite number of agencies as per requirement, who will open the financial proposals. The concerned agencies, organizations will be notified for the date, time and place set for opening of the financial proposals. The financial proposals will be opened in the presence of representatives of the consultants/consultancy agencies who choose to attend. The name of the consultant, the technical points and the proposed prices will be read aloud and recorded when the financial proposals are opened. The UOCB panel will then review the financial proposals for any arithmetical errors. The proposals with the lowest cost will be considered as L1. UOCB reserves the right to finally select the consultant/consulting agency based on the technical and financial scores obtained by them, while securing the quality of the work to be assigned. 6. SUBMISSION, RECEIPT AND OPENING OF PROPOSALS 6.1 The original Technical Proposal shall contain no interlineations or overwriting, except as necessary to correct errors made by Bidders themselves. Any such corrections, interlineations or overwriting must be initialed by the person(s) who signed the Proposal. 14

6.2 An authorized representative of the Bidder shall sign and place official stamp all pages of the Proposals.

6.3 IMPORTANT: The Proposals and Document Fee are to be sent to Uttarakhand Organic Commodity Board (UOCB) and shall be placed in sealed envelopes duly marked as indicated in the Data Sheet. The separate envelopes shall be placed into an outer envelop and sealed. The outer envelop shall bear the submission address, title, date of opening and other information indicated in the Data Sheet. Proposals must be delivered at the indicated Uttarakhand Organic Commodity Board (UOCB) submission addresses on or before the time and date stated in the Data Sheet or any new date established by Uttarakhand Organic Commodity Board (UOCB) according to provisions of SubClause 2.2. 7. PROPOSAL EVALUATION General 7.1 The proposal received upto the last date and time indicated in the Data Sheet shall be publicly opened at the time and venue indicated in the Data Sheet. Bidder representatives are free to attend the opening and will be required to produce an authority letter and sign an Attendance sheet. From the time the Proposals are opened to the time the contract is awarded, the Bidder should not contact Uttarakhand Organic Commodity Board (UOCB) on any matter related to its Proposals. Any effort by a Bidder to influence Uttarakhand Organic Commodity Board (UOCB) in examination, evaluation, ranking of Proposals or recommendation for award of contract may result in rejection of the Bidders Proposal. 7.2 Uttarakhand Organic Commodity Board (UOCB) Selection Committee will be responsible for evaluation and ranking of Proposals received. Bidders may be required to make a presentation on the Technical Proposals to UOCB at the time of Proposal opening or at any later date and time. The Selection Committee will evaluate and rank the Technical Proposals on the basis of Proposals responsiveness using the evaluation criteria and points system specified in the document. Each Proposal will receive a score. A Proposal shall be rejected if it does not achieve the minimum score of 70 from the maximum allocated score of 100. Evaluation of Technical Proposals 7.3 A Technical Proposal may be rejected for any of the following reasons: (i) The Technical Proposal contained details of price/costs. (ii) The Technical Proposal did not meet the information/specifications asked for. (iii) The Proposal was submitted in the wrong format. 8. CONFIDENTIALITY Information relating to evaluation of Proposals and recommendations concerning contract award shall not be disclosed to Bidders who submitted Proposals or to other persons not officially 15

concerned with the evaluation process until the winning firm/s has been notified and contract awarded. .

9. AWARD OF CONTRACT and CONTRACT COMMENCEMENT DATE After completion of selection process, Uttarakhand Organic Commodity Board (UOCB) shall notify the Bidder/s selected for award of contract and promptly notify the other Bidders who submitted Proposals that they were unsuccessful. 10. CONTRACT AGREEMENT The empanelled bidder/s will be required to sign a legally binding contract agreement with Uttarakhand Organic Commodity Board (UOCB).
