RE:

Demand by Members of the Council of Trustees to Review Dar Al Farooqs Records Our File No.: 62767-001

Please be notified this office has been retained to represent Dar Al Farooq Council of Trustee members Mahmoud Gamam and Abdulrahman Aldawood, who in turn represent approximately 200 to 250 members of the Dar Al Farooq community. This is a demand to review and copy all books, records and documents of every kind of Dar Al Farooq pursuant to the Dar Al Farooq Bylaws and Minnesota Statutes Chapter 317A, which governs non-profit corporations and requires full disclosure. This demand includes but is not limited to reviewing and copying the following: Any Articles of Incorporation, Bylaws and amendments thereto; Minutes of all meetings of Trustees and Directors; Voting Agreements; and Accounting records, specifically including an accounting of all assets, liabilities, receipts, disbursements, gains and losses and a balance sheet containing a summary of Dar Al Farooqs assets and liabilities as of the closing date of the accounting period.

April 2, 2012 Page 2 This demand is being made as we suspect your compensation is in violation of the Bylaws of Dar Al Farooq; the meeting requirements of the Bylaws of Dar Al Farooq have been violated; and because we suspect a proper accounting will reveal assets belonging to Dar Al Farooq have been converted and used for an improper purpose. Additionally, we suspect the Dar Al Farooq Center and other property belonging to Dar Al Farooq may have wrongfully been put up as collateral to secure funding necessary to purchase a new center located in Bloomington, Minnesota. We demand the documents be made available for review and copying on Monday October 10, 2011, at the Dar Al Farooq offices located at 983 17th Street, S.E., Minneapolis, MN 55414, at 10:00 a.m. In the event you oppose the demand to review and copy the documents set forth above, our clients are willing, ready and able to pursue their full legal rights to obtain accurate information and seek justice. Our clients and the members of the Dar Al Farooq community whom they represent may be willing to withdraw their demand if you resign your positions with the Dar Al Farooq Center located in Minneapolis and all parties agree to an orderly process to immediately separate the Minneapolis organization from the Bloomington organization, and you agree to have no further association with the Minneapolis organization. Please contact me regarding your willingness to voluntarily resign your positions with Dar Al Farooq no later than the end of the day on Friday, October 7, 2011, and to seek the orderly separation of the organizations, the exact details of which will need to be discussed and form the basis of a written agreement. In the event you have not contacted me by the above deadline, we will proceed with our demand to review and copy the documents at the above-noted time and place. If you fail to comply with the demands set forth herein, our clients will have no choice but to exercise all of their available legal remedies and seek full justice. Sincerely, BARNA, GUZY & STEFFEN, LTD.
