SOFTWARE LICENSE FOR NEW AMERICAN INSIDE OUT STUDENT'S CD-ROM This is an agreement between you (the "User")

and Editorial Macmillan de Mxico, S .A. de C.V. (the "Supplier"). BY CLICKING ON "YES" AND/OR INSTALLING AND/OR USIN G THE SOFTWARE CONTAINED THEREIN YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGRE EMENT. YOU AGREE THAT IT IS ENFORCEABLE AS IF IT WERE A WRITTEN NEGOTIATED AGREE MENT SIGNED BY YOU. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT YOU MUST NOT USE THE SOFTWARE. IF YOU DO NOT WISH TO BE BOUND BY THE TERMS OF THIS AGREEM ENT AND/OR DO NOT AGREE TO THE TERMS OF THIS AGREEMENT EITHER DO NOT CLICK ON "Y ES" OR PROMPTLY UNINSTALL THE AMERICAN INSPIRATION SOFTWARE FROM YOUR COMPUTER A ND RETURN THE CD TO THE SUPPLIER FOR A FULL REFUND. 1. License The Supplier grants the User a personal, non-exclusive, non-transferable license to use the object code version of the Supplier's software product, the American Inspiration Software contained on the CD supplied with this license (the "Progr am"). Macmillan grants the User the license to use one copy of the Program eithe r (i) on a single stand-alone computer for use by the User and one or more peopl e provided that only one person uses it at any one time and it is not installed on any other computer, or (ii) by the User on more than one computer provided th e Program is only used on one stand alone computer at a time and is not used by any person other than the User. The User shall not: (i) loan, rent, lease or lic ense the Program; (ii) copy or authorize copying of the Program, reverse-enginee r, disassemble or decompile the Program (other than to the extent permitted unde r applicable law), (iii) operate the Program from a server, network or mainframe system. 2. Copyright and other intellectual property rights All intellectual property rights including, without limitation, copyright in the Program and any documentation or materials supplied with the Program are owned by and remain with the Supplier or its third party licensors. 3. Statutory rights If the User is a consumer and has in that capacity licensed the right to use the Program, the exclusions and limitations contained in this agreement do not affe ct any statutory rights to which the User is entitled as a consumer and which ma y not under applicable law be excluded or limited. 4. Warranties The Supplier warrants that the Program and any disk or other medium on which the Program is supplied will be free from defects which have a materially adverse e ffect on its use in accordance with this Agreement. The Supplier does not warran t that the Program will be free from errors or that the information accessible v ia use of the Program is accurate or error free. The User's sole remedy for brea ch of this warranty is to return the Program and all documentation to the Suppli er, together with proof of purchase, and the Supplier will, at the User's option , either replace the Program or provide the User with a full refund. The User hereby represents that it shall (i) comply with all applicable local an d foreign laws and regulations which may govern the use of the Program, and (ii) use the Program only for lawful purposes and in accordance with the terms of th is Agreement. 5. No other warranties EXCEPT AS EXPRESSLY PROVIDED OTHERWISE BY THIS AGREEMENT, NO CONDITIONS, WARRANT IES, REPRESENTATIONS OR OTHER TERMS APPLY WITH RESPECT TO THE PROGRAM OR USER DO CUMENTATION INCLUDING, WITHOUT LIMITATION, ANY TERMS AS TO QUALITY, PERFORMANCE, SUITABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 6. Limitation of liability

SUBJECT TO CLAUSE 3 AND SAVE AS EXPRESSLY PROVIDED OTHERWISE BY THIS AGREEMENT: (A) THE SUPPLIER SHALL NOT BE LIABLE TO THE USER OR TO ANY THIRD PARTY FOR: LOSS OF PROFITS; LOSS OF SALES OR BUSINESS; LOSS OF USE OF COMPUTER EQUIPMENT, SOFTW ARE OF DATA OR ANY INDIRECT OR CONSEQUENTIAL LOSS HOWSOEVER SUCH LOSS ARISES; AN D (B) THE SUPPLIER'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMIT ED IN ALL CASES TO THE PRICE OF THE PROGRAM; PROVIDED THAT NOTHING IN THIS AGREEMENT LIMITS THE SUPPLIER'S LIABILITY TO THE U SER IN THE EVENT OF DEATH OR PERSONAL INJURY RESULTING FROM THE SUPPLIER'S NEGLI GENCE OR FOR ANY OTHER LIABILITY THAT MAY NOT BE EXCLUDED OR LIMITED UNDER APPLI CABLE LAW. 7. Injunctive Relief User agrees that because of the unique nature of the Program and Supplier s propri etary rights therein, a demonstrated breach of this Agreement by User would irre parably harm Supplier and monetary damages would be inadequate compensation. Th erefore, User agrees that Supplier shall be entitled to preliminary and permanen t injunctive relief, as determined by any court of competent jurisdiction to enf orce the provisions of this Agreement. 8. Termination The license to use the Program granted pursuant to clause 1 shall automatically terminate if the User breaches any provisions of this Agreement. Upon any termin ation of this Agreement, (a) all rights and licenses granted to User under this Agreement will terminate forthwith without notice; (b) User shall cease all use of the Program; and (c) all copies of the Program and documentation in User s poss ession or under its control must be returned to Supplier at User s expense; and (d ) User shall certify in writing to Supplier its compliance with the foregoing. 9. Title The Supplier shall at all times retain ownership of the Program but the User sha ll retain title in the media on which the Program is supplied. 10. Entire agreement, applicable law and jurisdiction This agreement is the complete and exclusive statement of the agreement between the User and the Supplier with respect to the Program. This agreement is governe d by Mexican law and both parties submit to the exclusive jurisdiction of the Me xican Court. Editorial Macmillan de Mxico, S.A. de C.V. Windows: To change your screen resolution right-click on the desktop. Select Pro perties then the Settings tab at the top of the pop-up window. Change the screen resolution to 1024x768 pixels then click on OK. Macintosh: Open System Preferences, select Displays and choose 1024x768 within R esolution. Close System Preferences. Compatible operating systems Windows: New Inside Out Beginner CD-ROM has been developed to run on Windows 98, 2000, Millennium Edition, XP and Vista. Macintosh: New Inside Out Beginner CD-ROM has been developed to run on Macintosh OS X 10.2.8 or higher.
