This Statement of Work (SOW) is issued pursuant to the Information Technology Services Agreement (the Agreement), signed on July 20, 2009, being operational and effective from January 1, 2010, by and between General Electric International, Inc., a Delaware corporation (the Company) with its head office at Two Corporate Drive, Shelton, CT. and Softtek Integration Systems, Inc., a Delaware corporation (the Contractor) with its head office at 3003 Summit Blvd Suite 1500, Atlanta, GA. This SOW is an attachment to, and is incorporated by reference into the Agreement. To the extent the terms and conditions of this SOW are inconsistent with those of the Agreement, the Agreement will control. This SOW describes the services (Services) that Softtek has agreed to provide to GE Water, Inc. (GE WATER).
1. Project Overview
The current project is new implementation for BMS (Boo Mobile and ServiceDI) also called as Mobile Project) UK. This project includes SAP modules: SAP FICO, MM, SD, Plant Maintenance, Customer Service, Project Systems, Production and Planning, Quality Management, variant configuration and SAP Multi Resource Scheduling. This project is divided into tollgates and there are total 5 tollgates. Currently we are in tollgate 3 design phase. Which include detailed planning and execution, Baseline Design, Tech Specs for Baseline items, Development Design, training plan. The Cutover planning and the launch is planned for the 4th week of Feb12 and followed by support and transitions to GAMS CoE by end of April12.

configuration, steps are furnished based on consultant previous experience. CS/PM SAP Consultant Marie is doing the configuration & she is still working on. In parallel she is doing KT with Softtek CS/PM consultant & which is supposed to end by Sept 2011. Deliver of test scripts to be completed once uploaded into QC to cover 100% of the functionality configured. The delay in provision of the test scenarios by GE Water will affect the deliverables. MRS test scripts will be prepared by the existing solution architect. The Project Plan start date is 11th July 2011 as per GE Water IT Team. GE WATER Project Managers must review and sign-off each of the above within 5 business days as part of the acceptance plans. Softtek will clarify any queries that may come up as part of the sign-off process. Softtek understands that sign-off by the Project Manager would be the result of appropriate completion of work at the end of each phase. Risks:
Additional Softtek consultants (Variant configuration expert, MRS & Basis Security) where requested by client which was not a part of initial requirement. Softtek PP/QM consultant is not involved during Requirement, Design & Development phase. Softtek CS/PM consultant not involved during the Requirement & Design phase. Changes in requirement and missed requirements from MRS, VC, PP/QM, CS/PM and its impact on the integration will need to be evaluated accordingly.
5. Project Organization

8. Change Management

9. Communication Strategy
GE Water will be responsible for the communication strategy. The Communication Strategy will inform the user community of the status of the SAP GE Water Mobile Project, its impact on each business unit, training and system design/construction requirements and upcoming milestones. Also involved, will be the internal marketing of the SAP GE Water Mobile Project to ensure its capabilities and benefits are communicated effectively. This will result in a smoother transition to the SAP system and create greater buy-in from the ultimate end-users. In the project preparation segment, a communication plan is developed, which includes formal and informal methods of communication to the Project Manager, team members and all stakeholders.

Documentation will be delivered as per the appropriate phase. Technical specifications updates for Design phase, end of build phase, and then again after GEB move once all defects are closed
14. Assumptions
Softtek has made certain assumptions as part of the Estimation of the Statement of Work of this project. Global Assumptions 1. ECC 6.0 will be the mySAP environment in Sandbox, Development, QA and PRD environment. 2. GE Water & IT will provide final Functional Specifications and Final Traceability Matrix based on which Softtek will complete the Blueprint and the Traceability matrix. Only changes expected will be clarifications on the requirements captured 3. GE Water PM will closely work with Softtek Delivery Manager, in monitoring the Project timelines and schedules
4. Any changes to the defined scope will be discussed and agreed upon between the Project Managers from both Softtek and GE Water and will follow the defined Change Management Process. 5. Software provided for implementing the project is provided by GE Water and will be on the recommendation of Softtek including version numbers, etc. Recommended software will only be used if no existing fit for purpose alternative is available. 6. Any reconciliation activities that come up due to the population of group currency with the local currency value will be the responsibility of GE Water. 7. Any master data cleanup activities will be performed by GE Water. 8. GE will be responsible for the availability of its personnel (Business, Technical and Infrastructure) as planned for the Project who will be responsible to assist and guide Softtek team with project-related queries. It is assumed GE WATER will nominate good and empowered resources as a Core team and these resources would be available fulltime for the project. Any delays by GE Water in achieving the project phase milestones for reasons like non- availability of GE Water resources, Document sign offs, revising the signed blueprint, accepting the systems etc., will result in a change order Project Management Assumptions 1. This proposal is fixed time and fixed price bid. GE would understand the estimation process and would agree to the estimates. Any delays that are attributable to GE will have to be compensated at a daily rate. 2. GE Water campus in Trevose, of GE has been designated as the project office; hence it is assumed that all the business locations mentioned in the Project scope would have dedicated connectivity to this office. 3. Implementation can only be initiated with the full availability of project team from GE. Softtek cannot identify the complete requirements without the full presence of the project team. Its very important to have the entire team available full time during the implementation as per the identified scope. 4. As this is a fixed bid, Softtek retains the right to deploy team of its choice and may change the team members during the project execution as well; however the effort will be to keep the same team for the entire engagement. Softtek will keep the project management of GE completely informed, prior to effecting any changes to the team. 5. It is assumed GE will nominate good and empowered resources as a Core team and these resources would be available fulltime for the project. 6. Any delays in achieving the project phase milestones for reasons like non- availability of GEs resources, Document sign offs, revising the signed blueprint, accepting the systems etc., would need to relook at the project timelines which will be mutually agreed upon and go through the normal change order process. 7. It is assumed that GE Senior Management are committed and involved in the project. It is mandatory that Steering committee members are identified and steering committee meetings are held periodically (at least twice per month till the end of the Project). 8. All the decisions and sign off are mandatory and it is estimated that GE and Softtek will take crucial decisions within 1 working day with a maximum lag of 2 working days. Any delays that occur due to these delays by GE that impact schedules, will be discussed and project timelines rescheduled. This is applicable for only short delays (2-3 days) which do not have major impact on the delivery schedule. Any major delay will go through the normal change order process. 9. It is responsibility of GE to prepare the testing tool to be used for testing. Softtek has not estimated effort for the above-mentioned activities. Softtek will provide all the templates and support wherever required. Softtek will fix all bugs identified during testing as long as the test process is clearly mentioned and agreed upon in the blue print documents. Any data issues shall not considered as bugs.
Resource Assumptions 1. GE Water SAP IM team will validate specifications, processes and testing 2. GE Water will ensure that the functional business users provide the requirements and conduct the training and testing 3. Softtek will provide English speaking Consulting teams from US and India. 4. Softtek will be responsible for Preparation of Training Documentation for trainers, similarly, GE Water will be responsible for Work Instructions in all required languages. 5. Train the Trainer Approach is used during Realization (Localization) and UAT phases. 6. Key users, including management, will be available on an as needed basis and as mutually agreed and planned to participate in completion of the Business Blueprint, and as required during the remainder of the project phases. 7. As per the GE Water Security policy in effect since October 2005, GE Water will provide all necessary, LAN, WAN, networks, e-mail functionality, etc. laptops, desks & phones for all Softtek team members located at GE Water Trevose location, However no onsite resources will be required in Trevose, PA for this engagement. 8. Decisions on any open issue will be made, and resolution attempted, within a turnaround time that is agreed upon by GE Water and Softtek. Softtek would however recommend a turnaround time no more than 48 hours. The purpose of such a clause is to maximize efficiency and planning, while maintaining a strict timeline for delivery. GE Water will commit to making timely decisions regarding the project. Delays in decision-making may cause project delays, in turn affecting the cost of the project.
