UNDERTAKING

KNOW ALL MEN BY THESE PRESENTS:

This UNDERTAKING made and entered into this _____ day of __________, 201__ at ______________, by and between:

_________________________, of legal age, Filipino/__________, single/married and residing at ________________________________, in his/her personal capacity, or [in case of a corporation and partnership] in behalf of _________________________, a corporation/ partnership duly organized and existing under Philippine laws, with office address at ________________________________, hereinafter referred to as the FIRST PARTY; -and_________________________, of legal age, Filipino/__________, single/married and residing at ________________________________, in his/her personal capacity, or [in case of a corporation and partnership] in behalf of _________________________, a corporation/ partnership organized and existing under Philippine laws, with office address at ________________________________, hereinafter referred to as the SECOND PARTY; In favor of:

MANILA ELECTRIC COMPANY (MERALCO), a corporation duly organized and existing under Philippine laws, with principal place of business in Ortigas, Pasig City, represented herein by its _________________________.

WITNESSETH: THAT-

WHEREAS, the FIRST PARTY is the owner (or duly authorized representative of the owner) of a property located at _____________________ (hereinafter referred to as subject property), as evidenced by a duly certified copy of TCT No. _______________, Registry of Deeds of _______________, or [if unregistered land] by a duly certified copy of Tax Dec. No. ________________ issued by the City/Municipal Assessor of _______________, hereto attached as ANNEX A and made an integral part hereof; (In case the undertaking was entered into by a duly authorized representative, attached hereto is his Special Power of Attorney as ANNEX A-1). WHEREAS, the FIRST PARTY, has authorized the SECOND PARTY to occupy the subject property as shown by the Contract of Lease or any duly notarized

Authorization from the Owner hereto attached as ANNEX B, showing the right to occupy the premises sought to be energized, as will hereinafter be mentioned; WHEREAS, the SECOND PARTY, with the knowledge and consent of the FIRST PARTY, is applying for electric service in the subject property with MERALCO under his own name, under application no. _______________, a copy of the duly accomplished Meralco Service Application Form is hereto attached as ANNEX C. WHEREAS, under Section 2.5.3 of the Distribution Services and Open Access Rules (DSOAR), as amended, issued by the Energy Regulatory Commission (ERC), if the customer is not the owner of the premises sought to be energized, he shall be required to submit an undertaking from the owner of the premises that the said owner shall be jointly and severally liable with the applicant for any unpaid regular monthly bills incurred by the applicant, but not to exceed two (2) months. This is in the absence of or insufficiency of the bill deposit. NOW, THEREFORE, for and in consideration of the above premises, the FIRST PARTY and the SECOND PARTY, with the conformity of MERALCO, hereby agree as follows:

1. GRANT OF AUTHORITY/RIGHT BY FIRST PARTY IN FAVOR OF THE SECOND PARTY TO OCCUPY THE SUBJECT PROPERTY. The FIRST PARTY hereby authorizes the SECOND PARTY, or any member of his family, or any other person under the express or implied authority of the SECOND PARTY, to occupy the subject premises, apply for, and enjoy electric service thereon. 2. SOLIDARY LIABILITY FOR PAYMENT OF UNPAID REGULAR BILLS IN THE ABSENCE OR INSUFFICIENCY OF THE BILL DEPOSIT. In compliance with Section 2.5.3 of the DSOAR, as amended, the FIRST PARTY and the SECOND PARTY hereby hold themselves jointly and severally liable to MERALCO for the payment of any unpaid regular monthly electric billings for the duration of the SECOND PARTYS authority or right to occupy the subject premises, but not to exceed two (2) months, in the absence or insufficiency of the bill deposit. The solidary liability of the FIRST PARTY and the SECOND PARTY for the payment of any unpaid regular bills shall extend to their duly authorized representatives and/or all other persons occupying the premises under SECOND PARTYS express or implied authority. 3. OBLIGATION OF THE FIRST PARTY SHOULD THE SECOND PARTY LEAVE THE SUBJECT PROPERTY OR THE AUTHORITY OR RIGHT TO OCCUPY HAS EXPIRED. It shall be incumbent upon the FIRST PARTY to inform MERALCO of the fact that the SECOND PARTY has left the premises. In case of failure to do so and the FIRST PARTY allows another tenant to occupy the subject premises, the obligations of said FIRST PARTY as provided in this Undertaking shall extend to the new tenant. Moreover, in the event that the SECOND PARTYS authority or right to occupy the premises is already terminated and the SECOND PARTY still continues to occupy said premises, either with express consent or by mere tolerance of the FIRST PARTY, the obligation of the FIRST PARTY under this Undertaking shall continue to apply.
