Minutes of a Special Board of Directors Meeting


Regarding the CC&Rs
March 15, 2004

1. Call to Order at 7:10 p.m. at Betsy Brenner’s Home, #926. Present were:
• Board members: Betsy Brenner, Bruce Kendall, and Eric Dahl
• Property Manager: Connie Burns.
• Homeowners: Tess Cruz, Gail Humphreys, Shane Jimerson, Behrooz Parhami,
Ken Pasternack, and Constance Penley
2. Agenda. The purpose of the meeting was to enable the Board and interested
homeowners to review the changes to the CC&Rs proposed by the CC&R Committee
prior to presenting the draft changes to the CC&Rs to the entire ownership.
3. Domestic Partners
3.1. The CC&R Committee presented modifications to the CC&Rs that would grant
to domestic partners the same rights that are now specified only for married
partners.
3.2. The CC&R Committee recommended and the Board agreed to separate out and
expedite the changes related to domestic partners. The Board decided to do so
because the lack of inclusive language in the current CC&Rs leaves some
current members of our community at risk and the Board did not want the
implementation of inclusive domestic partner language to be held up by the
lengthy process that will be required for all the changes to the CC&Rs to be
reviewed and implemented.
3.3. The same review and approval process will be followed for the domestic partner
language as for all the rest of the changes.
3.4. WCP homeowners will be invited to attend the next monthly Board meeting to
discuss the recommended domestic partner language. Following the meeting, the
recommended changes will be mailed to all WCP homeowners with a ballot.
4. Other Changes to the CC&Rs
4.1. The CC&R Committee presented all their other recommendations.
4.1.1.The majority of the changes are designed to bring the CC&Rs into
conformity with current practice of the WCP community.
4.1.2.The Board requested the committee to make a few changes to the
recommendations.

5. Next Steps
5.1. Review by Legal Counsel. Burns will obtain quotes from two or three
lawyers who specialize in reviewing and revising CC&Rs to ensure they are in
conformity with the law.
5.2. Presentation to Homeowners. The Board discussed a variety of strategies for
presenting the recommendations of the CC&R Committee to WCP to ensure
maximum clarity and ease of comprehension.
6. Homeowner’s Meeting. The Board agreed to hold a meeting on June 10 at which
the recommended changes would be presented to WCP homeowners. The Board
decided to wait until June 10 to ensure that all the members of the CC&R Committee
could attend the meeting.
7. Adjournment. The meeting adjourned at 10:16 p.m.
