(Company), the undersigned Candidate hereby agrees and acknowledges: That during the course of the interview(s) there may be disclosed to me certain trade secrets of the Company; trade secrets consisting but not necessarily limited to:

Technical information: intellectual property, marketing materials, marketing methods, operational activities, sales activities, discoveries, developments, designs, formulas, patterns, devices, secret inventions, processes, software programs, technical data, customer and supplier lists and quotes, and compilations of information, records, and specifications, and other information and matters obtained by the Candidate during his or her interview with Astreya Partners, Inc., relating to the business of Astreya Partners, Inc. and information and marketing materials provided by Astreya Partners, Inc., including without limitation, details about existing and future projects, products, and services to be provided by Astreya Partners, Inc. Business information: Customer lists, pricing data, sources of supply, financial data and marketing, production, merchandising systems, records, books, and programs, whether maintained in physical or electronic media, relating in any manner to the customers of Astreya Partners, Inc., including without limitation credit reports or memoranda, reports of transactions made to Astreya Partners, Inc., demographic or economic data, or sourcing lists, discovered by the Candidate during his or her interview with Astreya Partners, Inc. which shall be the exclusive property of Astreya Partners, Inc..

Candidate promises and agrees that he or she shall not at any time after the interview(s) with the Company, misuse, misappropriate, or disclose any proprietary information or trade secrets described herein, directly or indirectly, or use them in any way, or at any time thereafter, except as required and expected by Astreya Partners, Inc. in the course of the interview and potential employment relationship, with the express consent of Astreya Partners, Inc. Breach or Violation of this Agreement

IN THE EVENT THAT CANDIDATE BREACHES OR VIOLATES ANY OF THE FOREGOING OBLIGATIONS OF NON-DISCLOSURE AND NON-COMPETITION, CANDIDATE SHALL BE NOT CONSIDERED FOR EMPLOYMENT, IN ADDITION TO ALL CIVIL AND CRIMINAL PENALTIES AVAILABLE TO EMPLOYER BY REASON OF SUCH CONDUCT. IF EMPLOYER UNDERTAKES LITIGATION TO ENFORCE ANY OF THE PROVISIONS OF THIS AGREEMENT, THE PREVAILING PARTY SHALL BE ENTITLED TO REASONABLE ATTORNEY FEES AND COSTS.

I, the Undersigned Candidate, agree to the foregoing provisions. I also authorize my prior employers, educational institutions and any other references named above to give to the Company any and all information concerning my previous employment, education, or any other pertinent information. I hereby release said past employers, schools or persons from all liability for any damages whatsoever from furnishing this information and also release the Company and all of its employees from all liability resulting from the Companys reliance on the information furnished.
