Lawn Service Contract

This Lawn Service Contract (this "Contract") is made effective as of April 18, 2012, by and between RL Electronics Inc, of 440 Montgomery St., San Francisco, California 94103, and Rothschild Landscaping Services Inc, of 60 Arthur St., San Rafael, California 94901. In this Contract, the party who is contracting to receive the services shall be referred to as "RL Electronics", and the party who will be providing the services shall be referred to as "Rothschild Landscaping".
NOW, THEREFORE, FOR AND IN CONSIDERATION of the mutual promises and agreements contained herein, RL Electronics hires Rothschild Landscaping, and Rothschild Landscaping agrees to provide Lawn Service to the RL Electronics at the following locations under the terms and conditions hereby agreed upon by the parties:

1. DESCRIPTION OF SERVICES. Beginning on April 18, 2012, Service Provider will provide the following services (collectively, the "Services"): a. Rothschild Landscaping shall mow and edge the lawn, comprising approximately square feet in a competent and professional manner. b. The parties shall consult from time to time concerning the length and appearance of the lawn. c. Rothschild Landscaping shall every month apply fertilizer and pesticides suitable for the lawn. d. Rothschild Landscaping shall keep bushes and shrubs trimmed. The parties shall consult from time to time concerning the appearance of the shrubs. e. Rothschild Landscaping shall tend to plants and flowers on the property; f. Rothschild Landscaping shall not be responsible for replacement of trees, shrubs or other plants which are lost to casualty such as theft, aberrant weather or disease. g. Rothschild Landscaping shall maintain at all times adequate public liability insurance. All services will be completed by Rothschild Landscaping at: 440 Montgomery St., San Francisco, California 94103. 2. PAYMENT FOR SERVICES. RL Electronics will pay compensation to Rothschild Landscaping for the Services at a rate of $200.00 per day. 3. TERM/TERMINATION. This Contract shall terminate automatically on _________________. 4. RELATIONSHIP OF PARTIES. It is understood by the parties that Rothschild Landscaping

is an independent contractor with respect to RL Electronics, and not an employee of RL Electronics. RL Electronics will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Rothschild Landscaping. 5. INJURIES. Rothschild Landscaping acknowledges Rothschild Landscaping's obligation to obtain appropriate insurance coverage for the benefit of Rothschild Landscaping (and Rothschild Landscaping's employees, if any). Rothschild Landscaping waives any rights to recovery from RL Electronics for any injuries that Rothschild Landscaping (and/or Rothschild Landscaping's employees) may sustain while performing services under this Contract and that are a result of the negligence of Rothschild Landscaping or Rothschild Landscaping's employees. 6. INDEMNIFICATION. Rothschild Landscaping agrees to indemnify and hold harmless RL Electronics from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against RL Electronics that result from the acts or omissions of Rothschild Landscaping, Rothschild Landscaping's employees, if any, and Rothschild Landscaping's agents. 7. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other contract whether oral or written. 8. SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 9. APPLICABLE LAW. This Contract shall be governed by the laws of the State of California.
