Aarif Sub: Letter of Appointment We are pleased to appoint you as Executive - Business Outsourcing Unit at Mumbai. You are required to start work with us latest by 4th December 2009. Your roles and responsibilities would primarily be to handle outsourcing work of our clients to finance and accounts function. This appointment is subject to: related

1. You will be entitled to the following remuneration and benefits: Gross annual Cost to Company (CTC) of Rs. 1,56,000/ -p.a. Details as per annexure attached. 2. All the above mentioned remuneration & benefits will be taxable as per prevalent Income Tax laws. 3. You will be entitled to leave and holidays as per company norms. 4. That the company being engaged in the business of outsourcing manpower service, you Will be detailed and deputed at Client Reliance Life Insurance Ltd. at MUMBAI to discharge Your duties /Services. 5. Your employment is subject to a probationary period of six month during which period either party can terminate your employment by giving 7 days prior written notice. After six months, 15 days prior written notice or equivalent gross salary is required. In case of non compliance of this clause, the Company will be entitled to initiate appropriate legal action against you. 6. The Organisation reserves the right to utilize your services in any area of business as per your capabilities aptitude and vis--vis requirement of the Organisation. Further you may be transferred and or deputed to any location in Mumbai depending on the requirements of the job from time to time. 7. You shall, during the period of your employment, devote your whole time and attention exclusively to the conduct, business and affairs of the Organisation and shall not engage, either directly or indirectly in any business or activity in any capacity, until and unless a written consent to that regard is obtained by you from the Organisation.

8. You shall not, either during your service in the organisation or thereafter, divulge to any person or persons, whatsoever, any information of secret or confidential in nature concerning the conduct / business of the organisation or of its accredited customers or employees. Any invention, improvement or design conceived by you while in our employment which is within the existing or contemplated scope of the business of the Organisation shall become the Organisations exclusive property and all copyrights under the Indian Copyrights Act 1957, as amended from time to time, will vest with the Organisation. 9. In regard to the statutory benefits and other facilities, you will be governed by the rules and regulations applicable to you from time to time. 10. If at any time, required by us or by the client, you may have to sign a confidentiality / nondisclosure agreement with the organisation. 11. This appointment is offered on the basis of information furnished by you, regarding your past service and other records. If at any time it is revealed that the information so provided by you to the Organization was wrong or untrue or incomplete, the Organization reserves the right to terminate your services without any prior notice. 12. If at any time, in the opinion of the Management, which shall be final, you are found guilty of dishonesty, disorderly behaviour, negligence, indiscipline, insubordination, absence from duty without permission or of any conduct unbecoming of the status and the post you hold in the organisation, or of violation of one or more terms of this letter, your service may be terminated without any notice. 13. You acknowledge that this condition of employment may not be altered or its obligations excused except by a written document signed by the undersigned. 14. If these terms and conditions are acceptable, please acknowledge by signing below and returning one copy to this office. Should this terms be acceptable to you, employment will commence from 4th December 2009. We look forward to your long, pleasant and fruitful association with us.
