LEASE DEED

This lease Deed is executed at Gurgaon, on this 1st day of Apr- 2012, BETWEEN: Sh. Suresh Rohilla, S/o Sh. Ramswaroom Rohilla R/o A-91, 1st Floor, South City 1 Gurgaon, HR (hereinafter called the LESSOR which expression shall unless excluded by or repugnant to the context include her heirs, executors, administrators and representatives and assigns) of the ONE PART AND Mr. Nishant Tripathi S/o Sh. S.N. Tiwari, R/o C-1/30 World Bank Barra, Kanpur (U.P.) 208027, (Hereinafter called the LESSEE which expression shall unless repugnant to the context or meaning thereof include his successors, executors, administrators and assigns) of the OTHER PART, WHERES the LESSOR is the absolute owner of A-91 Ground floor South City 1, Gurgaon (H.R) (hereinafter referred to as the demised premises).

In consideration of the rent hereinafter reserved and all the covenants and conditions hereinafter contained to the observed and performed on the part of the LESSEE, the LESSOR does hereby grant transfer, demise by way of lease the premises consisting of the Two Bedroom, draying dining, Kitchen and Two Bathrooms (hereinafter referred to as Demised Premises) with fixture, situated on the House No. A-91 Ground floor South City 1, Gurgaon 122 001, (Hariyana) of which the LESSOR is entitled in law to execute this Deed together with the appurtenant land/space, the rights to make use of entrances, passages, stair case landings and other easements, belonging and pertaining to the said premises upto and to the use of the LESSEE for a period of 11 Months, commencing from 1/04/2012 upto 28/02/2013, renewable by mutual consent, by paying unto the LESSOR during the said period a rent of Rs. 19000/- (Rupees Ninteen Thousand only ) per month, payable in Advance, inclusive of hire charges of the fittings and fixtures in the premises, subject to the following conditions: I. (i) (ii) THE LESSEE HEREBY COVENANTS WITH THE LESSOR AS FOLLOWS: That the LESSEE shall pay to the LESSOR the said monthly rent by Cheque/cash on or before 5th day of each English Calendar month. That the LESSEE has paid Rs 38000/- (Rupees Thirty eight Thousand only) (2 Months rent) as Security Deposit to be refunded without interest at the time of termination of the lease or vacation of the house after deducting outstanding dues, if any. (iii) That subject to the LESSORs covenants, the LESSEE shall keep the interior of the demised premises in good order and condition and attend to minor repairs such as fuses, Leakage of water taps etc. (iv) That the LESSEE shall use the demised premises for residential purposes only and shall pay for consumption of electricity @ Rs. 6 per unit direct to the LESSOR as per Bill raised by lessor every month. (v) That the LESSEE shall not sub-let, assign or otherwise part with possession of the demised premises without the consent of the lessor in writing.

That the LESSEE shall not erect on the demised premises any permanent or temporary structure without the written consent of the LESSOR. That the LESSEE shall make the payment of monthly Maintenance Charges as explained earlier . That the LESSOR or LESSEE shall be entitled to terminate the lease at any time, during the initial or renewed term(s) of the lease upon serving one months notice in writing of his intention to do so.

(ix)

That the LESSEE shall deliver the demised premises to the LESSOR on the expiration or earlier determination of the lease together with the lessors fittings and fixtures, if any, in such conditions herein contained. The lessee shall be responsible for any breakage and damage done to the electrical, sanitary and other fittings & fixtures during the tenancy period.

II. (i)

THE LESSOR HEREBY COVENANTS WITH THE LESSEE AS FOLLOWS: That the LESSOR shall pay all taxes, rates, license fees, ground rent and charges of whatever character assessed, levied, changed and imposed by any lawful authority in respect of the demised premises.

(ii) (iii)

That the LESSOR shall handover house ( G.F.) as discussed. That the LESSEE shall peacefully and quietly hold and enjoy the demised premises during the lease period(s) without any interruption or disturbance by the LESSOR or any person rightfully claiming under or in trust for him.

(iv)

That the LESSOR represents and warrants that he is fully entitled to execute this Lease Deed and that he will hold the LESSEE free and harmless of any demands, claims, actions or proceedings by others in respect of quite possession of the demised premises.

(v)

If any controvaricy final decision of Lessor will be acceptable to Lessee.

IT IS HEREBY MUTUALLY AGREED AS FOLLOWS:

(i)

That the LESSEE shall permit the LESSOR, his agent(s) etc. to enter upon the leased premises for inspection and carrying out repairs etc. at reasonable time as and when necessary.

(ii)

That the lease term can be renewed if mutually agreed between the LESSOR and LESSEE on the fresh terms and conditions agreed to between them for which the lessee shall give to the LESSOR a notice not less than one month before the expiration of the term hereby granted.

(iii)

That after the expiry of 11month fresh lease deed has to be entered with 10% increase rent for furniture & furnishing in case both the parties agree mutually to do so on such terms as they may arrive at.
