LEASE AGREEMENT This Lease Agreement is executed this 12th day of December, 2010 at Makati City, Philippines, by and

between: ______________________, of legal age, Filipino with principal address at ____________________________________________, hereinafter referred to as the LESSOR; -and______________________,of legal age, Filipino, with address at ____________________________________________, hereinafter referred to as the LESSEE; WITHNESSETH: WHEREAS, The LESSOR is the registered and lawful owner of a semi-furnished Residential Three bedrooms Bonifacio Ridge, Fort Bonifacio Taguig City, hereinafter referred to as the LEASED PREMISES WHEREAS, The LESSEE desires to lease the above- mentioned premises and LESSOR is willing to lease the same unto the LESSEE subject to the terms and conditions. NOW THEREFORE, for and in consideration of the foregoing and mutual covenants herein contained, the LESSOR has let and by these do hereby leases unto the LESSEE the aforesaid premises and LESSEE hereby accepts the same by way of the lease subject to the following terms and conditions 1. DELIVERY. LESSOR delivers to, and LESSEE hereby accepts the leased premises in good, clean and tenable condition. 2. LEASED PERIOD. The period of the lease shall commence on _____________, and to expire on _____________, with an escalation clause of TEN (10%) percent per renewal of lease contract without need of any notice, renewable for the same period of time upon mutual agreement of both parties unless any of the parties makes a formal notice in writing for the termination of this contract at lease FORTY- FIVE (45) days prior to each expiration. LEASE RATE. The parties herein agree that the monthly rental of the leased premises shall be FIFTY THOUSAND Pesos (Php 50,000.00) including the monthly association dues, Philippine Currency, net of tax, payable without any demand. This shall be covered by ELEVEN ( 11) Post-Dated-Checks of the LESSEE dated on the _th day of every calendar month. 3. ON SECURITY DEPOSIT & ADVANCE RENTAL PAYMENT. The LESSEE shall upon signing of this contract, deliver unto theLESSOR the sum of ONE HUNDRED FIFTY THOUSAND (Php 150,000.00) PESOS only, to be applied in the following manner. (a) DEPOSIT. ONE HUNDRED THOUSAND (Php 100,000.00) PESOS only, to be applied as Security Deposit to be held without interest by the LESSOR to guarantee the faithful compliance by the LESSEE with all the terms and conditions of this contract; this deposit shall be treated as liquidated damages in favor of the LESSOR in case of breach in the return in good order and condition of the leased premises left by the LESSEE, and to cover for the costs of any damage beyond normal and reasonable wear and tear which the premises may suffer through the fault, negligence and/or recklessness of the LESSEE,his guest, as well as to pay for the charges left unsettled by the LESSEE,if any, at the expiration and/or termination of this contract.Provided that repairs or damages in excess of the Security Deposit shall be borne by the LESSEE.

PROVIDED, that the Security Deposit shall not be applied as payment for the rent of the leased premises in any manner whatsoever. (b) ADVANCED PAYMENT. FIFTY THOUSAND (Php 50,000.00) PESOS only, to be applied as payment in advance of the rent covering the period of _____________ to _____________. FORFEITURE CLAUSE. The LESSEE is bound by the stipulated lease period of this lease contract. In the event he/she decides to pre-terminate the same before its expiration, he/she shall FORFEIT the entire Security Deposit as LIQUIDATED DAMAGES in favor of the LESSOR. Furthermore, the LESSEE shall be deemed liable to pay the LESSOR all remaining utilities bills and damages to the premises aside from natural wear and tear before the LESSOR can consider him/her released from this contract. 4. REFUND. The unused portion of the Security Deposit, after deducting all the unpaid rent, utilities bills, and damages in the unit, if there is any, shall be delivered to the LESSEE by the LESSOR not later than FORTY-FIVE (45) days from the expiration of this contract. 5. OTHER CHARGES. All charges for taxes, insurance, amortization and other special assessments shall be for the account of the LESSOR, while association dues, telephone, water, cable and electricity bills shall be for the account of the LESSEE. 6. REPAIRS AND MAINTENANCE. All major repairs and maintenance arising from normal wear and tear, with the exception of those furnishings/fixtures,shall be for the LESSORS account that hereby undertakes to perform the same within a reasonable period of time upon advice from the LESSEE. All minor repairs and maintenance shall be for the LESSEES account who hereby undertakes to keep the leased premises in good, clean, and habitable condition at all times, and all repairs costing less than Three Thousand (Php 3000.00) Pesos shall be considered minor repairs.
7. USE OF THE PREMISES. The leased premises shall be used by the LESSEE exclusively for the residential purposes, and it being understood that its utilize the premises for x purposes than those herein agreed upon, the LESSOR may consider such as violation of this contract and thus, cause the termination thereof. 8. ALTERATION, ETC. The LESSEE, shall not make any addition or improvement on the leased premises without the prior written consent of the LESSOR. Such alterations or improvement include, but is not limited to making holes on the walls for any purpose whatsoever. In case alterations, additions, or improvements are made under such conditions, it is understood that the same shall become the property of the LESSOR without reimbursement of costs therefore. Any alteration, addition, and and/or improvement made or introduced by LESSEE without the written consent of the LESSOR, may be removed by the latter at the expense of the former, and if such alteration, addition and/or improvement shall cause damage to the leased premises, LESSEE shall be liable for such damage in the amount sufficiently reasonable to restore the same in original condition. 9. CALAMITIES. In case of damages caused by natural calamities, fortuitous events and/or acts of GOD, the same shall be repaired at the expense of the LESSOR. Provided, that however, that no computation or claim shall be allowed against the LESSOR by reason of inconvenience, annoyance, or injury to the LESSEE resulting in the necessity of repairing any portion of the premises. 10. INSPECTION. The LESSEE shall maintain the leased premises in good tenable condition and for such purpose the LESSOR or its authorized representatives reserves the right at reasonable hours, to enter and inspect the premises. The LESSEE likewise agrees to cooperate with the LESSOR in keeping the leased premises in good and tenable condition.

11. DELINQUENCY. Should the LESSEE become delinquent in the payment of the rental and other charges or in the event payment is delayed for Fifteen (15) days or more, the LESSEE hereby appoints the LESSOR as its attorney-in-fact, with full power and authority to enter, occupy, secure or otherwise take full and complete physical possession and control of the leased premises, and/or disconnect the utilities thereof, including the power to take possession and inventory or personal properties found therein belonging to the LESSEE, without the necessity of resorting to court action. Moreover, LESSEE is bound to pay an additional fee of One Thousand only (Php 1,000.00) on each delay per month regardless of a one (1) day or a fraction of a months delay applicable for the whole month. These charges may be settled as an additional cash payment to the LESSOR every month or shall be deducted in the remaining deposit should there be any at the end of the term of the lease contract and if deposit is ready insufficient, LESSEE is bound to settle these charges in addition to article 3 on Forfeiture Clause. 12. TURNOVER. Upon expiration of this contact, LESSEE shall immediately turnover the KEYS and vacate and peacefully deliver the leased premises in good, clean and working condition, normal and reasonable wear and tear excepted, and cleared of LESSEES personal effects, furnishings and appliances. 13. IMMUNITY. LESSEE shall immediately and hold LESSOR against all actions, suits, damages, and/or non-performance or non-observance by the LESSEE of the provisions of this contract, without prejudice to the right of the LESSOR to cancel this contract in accordance with the penal provisions herein contained. Likewise, LESSEE shall hold LESSOR free and harmless from any and all liability arising from injury, loss, damage, including wrongful death, which LESEES agents or guest may sustain within the leased premises. 14. SUB-LEASING. ETC. LESSEE may not assign, sublease, transfer, sell or encumber, in any manner whatsoever, its right herein to any party without the prior written consent of the LESSOR. 15. CONDOMINIUM REGULATIONS. LESSEE hereby agrees to abide by the rules and regulations of MAKATI EXECUTIVE TOWER I, and should indemnify LESSOR or its authorized representatives from any administrative actions of the Condominium Corporation against the fault and/ or negligence of the LESSEE and its guest and registered occupants within the leased premises. 16. BREACHHES OR DEFAULT. LESSEE agrees that if default or breach be made of any provisions herein contained, that this Lease Agreement at the discretion of LESSOR may be terminated and cancelled forthwith and LESSEE shall be liable for any and all damage actual and consequential, resulting from such default and termination. Should the LESSOR be compelled to seek advice and services of counsel and/or judicial relief against LESSEE, the latter shall, in additional to the damages mentioned in the preceeding paragraphs, pay an amount equivalent to Thirty (30%) percent of the amount claimed as attorneys fees with a minimum of PESOS: TEN THOUSAND (Php 10,000.00) as acceptance fee, filing fees, litigation expenses, legal interest from the date of demand, cost of suit and incidental expenses which the law entitle LESSOR to recover from the LESSEE. VENUE. Any and all actions that may arise out of or in connection with this Lease Agreement shall be brought in or submitted to the jurisdiction of the proper court at the LESSOR. 17. FINALLY. Failure of LESSOR to insists upon a strict performance any of the provisions, terms and conditions of this agreement shall not be deemed a relinquishment or waiver of any right or remedy that said LESSOR may have nor shall it be construe as a waiver of any subsequent breach or default of the provisions, terms and conditions thereof, but shall continue in full force and effect. No waiver by LESSOR or any of his/her rights under this agreement shall be deemed to have been made unless expressed in writing and signed by the LESSOR. This Lease Agreement shall always be subject to existing ordinances,laws, rules and regulations, and the LESSEE binds itself to empty with these laws, rules and regulations.
