slider ("CU3ER"). By using, downloading or installing CU3ER, You agr ee to become bound by this License and the license granted hereunder is subject to compliance with any and all terms of this License. IF YOU DO NOT ACCEPT THE T ERMS AND CONDITIONS OF THIS LICENSE, DO NOT USE, DOWNLOAD OR INSTALL THE CU3ER. 1. DEFINITIONS 1. "Adaptation" means a derivative work based upon the CU3ER resulting from a ny Adaptation or configuration of the CU3ER or any previous Adaptations. 2. "Commercial Website" means a website which purpose is generating revenue o r cash flow of any type, and that isn't under a non-profit organization. If you' re selling a product, selling advertisement, selling a service or just marketing a commercial business, your site is commercial. A company website is also comme rcial even if it doesn't sell anything, as it's purpose is to front a commercial company. 3. CU3ER means an 3D image slider component written in ActionScript 3.0 that ca n be embedded in a website, web service, desktop software or any Flash environme nt to show a sequence of images with 2D or 3D transitions, which is offered unde r the terms of this License. 4. License means this document. 5. "MADEBYPLAY" means MADEBYPLAY d.o.o 6. "Reproduce" means to make copies of the Licensed Programs. 7. "You" means an individual or entity exercising rights under and complying with the terms of this License who has not previously violated the terms of this License with respect to the CU3ER, or who has received express permission from the MADEBYPLAY to exercise rights under this License despite a previous violatio n. 2. License Grant Subject to the terms and conditions of this License, MADEBYPLAY hereby grants Yo u a non-exclusive, non-transferable license to use CU3ER to: 1. create and Reproduce Adaptations of the CU3ER; 2. use Adaptations in personal or commercial project as part of hired work f or a third party; 3. access and use cManager application in order to create, modify and export CU3ER, Adaptations and related files; 4. seek and get community support trough available support system. All rights not expressly granted by MADEBYPLAY are hereby reserved. 3. Restrictions. The license granted in Section 2 above is expressly made subject to and limited by the following restrictions: 1.You may deploy CU3ER as part of hired work for a third party as long as th e CU3ER is unique to said party and not replicated / resold / redistributed as p art of a template, application or service to additional parties. 2. CU3ER may not be integrated or embedded as part of a web site template, a pplication, and/or web site where stated web site template, application, and/or web site is re-sold and/or re-distributed for independent use by more than one p arty. 3. You may not rent, lease, loan, encumber, resell, distribute or otherwise assign or transfer the CU3ER, or create derivative components based upon CU3ER o r any part of it. 4. You may not distribute CU3ER in downloadable format or as part of softwar

e collection, web template, plug-in, module, extension created by You or by anot her individual or legal entity. 5. You may not decompile, reverse engineer, disassemble, or otherwise determ ine or attempt to determine source code for the executable code of CU3ER, and yo u may not permit or authorize anyone else to do so.

4. Applicability of License The terms and conditions of this License will apply to any CU3ER 1.x updates, wh ich includes any versions numbered between 1.00 and 1.99 provided to you at MADE BYPLAY's discretion, that replace and / or supplement the original CU3ER, unless such update contains a separate license. This License does not cover any previo us 'zero' versions of the CU3ER, which includes any versions numbered between 0. 9.0 and 0.9.9, all of which are subject to other license agreement. 5. Intellectual Property The copy of CU3ER provided to You under this License is licensed, not sold, to Y ou by MADEBYPLAY. MADEBYPLAY reserves all rights not expressly granted. This Lic ense does not transfer from MADEBYPLAY to You any MADEBYPLAY or third party inte llectual property, and all right, title and interest in and to such property wil l remain (as between the parties) solely with MADEBYPLAY. MADEBYPLAY, CU3ER, get cu3er.com, the CU3ER logo, and all other trademarks, service marks, graphics and logos used in connection with CU3ER are trademarks or registered trademarks of MADEBYPLAY or MADEBYPLAY s licensors. Other trademarks, service marks, graphics an d logos used in connection with the CU3ER may be the trademarks of other third p arties. Your use of the CU3ER grants You no right or license to reproduce or oth erwise use any MADEBYPLAY or third-party trademarks. 6. Effective Date The rights and License granted hereunder shall commence on the date the CU3ER ac count is created by You or by MADEBYPLAY representatives on behalf of You. MADEB YPLAY agrees to make the CU3ER available for electronic delivery to You promptly after You create free account on http://getcu3er.com. 7. Termination of License MADEBYPLAY reserves the right to terminate, temporarily or permanently suspend, this License at any time if: 1. You breach any of the terms of this License 2. MADEBYPLAY has a reasonable basis to believe that You are not abiding by the spirit of this License 3. MADEBYPLAY believes that Yours business is impairing MADEBYPLAY s business Upon termination of this License for any reason, You shall immediately cease usi ng the CU3ER and return any copies of the CU3ER to MADEBYPLAY or certify to MADE BYPLAY that it has destroyed all copies of the CU3ER and Adaptations. Any suspected fraudulent, abusive, or illegal activity that may be grounds for t ermination of Your License, may be referred to appropriate law enforcement autho rities. 8. Warranty UNLESS OTHERWISE MUTUALLY AGREED BY THE PARTIES IN WRITING, MADEBYPLAY OFFERS TH E CU3ER AS-IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND EITHER EXPR ESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES

OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, O R THE ABSENCE OF LATENT OR OTHER DEFECTS, ACCURACY, OR THE PRESENCE OF ABSENCE O F ERRORS, WHETHER OR NOT DISCOVERABLE. 9. Limitation of Liability EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, IN NO EVENT WILL MADEBYPLAY BE LIABLE TO YOU ON ANY LEGAL THEORY FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, PU NITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE WORK, EVEN IF MADEBYPLAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 10. Indemnity You agree to indemnify and hold harmless MADEBYPLAY, their respective directors, officers, and employees from and against any and all claims and expenses, inclu ding attorneys fees, arising out of Yours use of the CU3ER, including but not li mited to Your violation of this License. 11. GOVERNING LAW AND JURISDICTION This License shall be governed by and interpreted in accordance with the laws of Serbia. Any and all legal actions relative hereto shall be in the courts of Nov i Sad, Serbia. 12. Complete Agreement This License constitutes the entire agreement between MADEBYPLAY and You with re spect to the use of the CU3ER and supersedes all prior or contemporaneous unders tandings or agreements, written or oral, regarding such subject matter. This Lic ense may only be modified by a written amendment signed by an authorized executi ve of MADEBYPLAY, or by the posting by MADEBYPLAY of a revised version.
