AS COUNSEL TO THE OFFICIAL COMMITTEE OF UNSECURED CREDITORS OF DEBTOR CHURCH STREET HEALTH MANAGEMENT, LLC NUNC PRO TUNC AND/OR RETROACTIVELY TO MARCH 1, 2012 Upon the application (the "Application")2 of the Official Committee of Unsecured Creditors (the "Committee") appointed in the chapter 11 case filed by Church Street Health Management, LLC ("CSHM") for an order authorizing the retention of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. ("Baker Donelson") as counsel to the Committee, nunc pro tunc and/or retroactively to March 1, 2012; and upon the declaration of John H, Rowland attached to the Application as Exhibit A (the Rowland Declaration); and it appearing that

Baker Donelson is a disinterested person pursuant to section 101(14) of title 11 of the United States Code (the "Bankruptcy Code") and does not represent an interest adverse to the Committee or CSHM's estate with respect to the matters on which Baker Donelson is to be employed; and it appearing that no opposition to the Application was timely filed and further notice of the relief requested in the Application is not required; and sufficient cause appearing therefor; it is ORDERED, that the Application is granted; and it is further ORDERED, that the retention of Baker Donelson as counsel for the Committee to perform all of the services set forth in the Application on the terms set forth in the Application and the Rowland Declaration is hereby approved pursuant to sections 328 and 1103(a) and (b) of the Bankruptcy Code, nunc pro tunc and/or retroactively effective as of March 1, 2012; and it is further ORDERED, that the compensation to be paid to Baker Donelson for services rendered and reimbursement of expenses incurred in connection therewith shall only be paid upon entry of a further order or orders of this Court obtained upon application submitted in accordance with the applicable provisions of the Bankruptcy Code, the Federal Rules of Bankruptcy Procedure, and the Local Rules of Court for the United States Bankruptcy Court for the Middle District of Tennessee.
