Verizon Wireless Rule The Air Video Contest TERMS AND CONDITIONS There is no purchase necessary to apply for

this contest. A purchase will not increase your chance of winning.

1. CONTEST PERIOD: This Contest is open to students that meet the eligibility criteria below and who are specifically invited by the John D. OBryant School of Mathematics & Science (Participating High School) to participate in this Contest. The Contest period begins at 12:00:00 A.M. Eastern Standard Time (EST) on 5/31/12 and ends at 11:59:59 P.M. EST on 06/10/12 (Contest Period). Limit one (1) entry per eligible student. Program Parties, as defined below, are not responsible for late, lost or misdirected entries or correspondence. All entries and entry materials, including Video and Marketing Plan, each defined below, become Sponsors property and will not be returned. Void where prohibited. Submission of Video and Marketing Plan grants Sponsor and its agents the right to publish, use, adapt, edit and/or modify such Video and Marketing Plan or any element thereof in any way, in any and all media, without limitation, and without consideration to the applicant. Submission of a Video and Marketing Plan further constitutes applicants agreement to these rules and consent to irrevocably assign and transfer to Sponsor any all rights, title and interest, including, without limitation, all copyrights to the Video and Marketing Plan. Video and Marketing Plan must be the original work of the applicant(s), must not infringe third-party rights, and must be suitable for publication (i.e., may not be obscene or indecent). 2. ELIGIBILITY: Students must meet all of the following criteria to be eligible to participate in the Contest, including scholarship consideration: a) Permanent legal United States resident of Massachusetts b) Must be a full time high school student at the John D. OBryant School of Mathematics & Science and invited by the John D. OBryant School of Mathematics & Science to participate in this Contest. c) Must submit a current high school transcript. d) Must prepare a marketing plan presentation, in Powerpoint format, on the original application idea describing the product and how you would place, price, promote, market and sell the application in the retail marketplace (Marketing Plan), plus create a one minute or less video portraying a promotion or advertisement of the application (Video). Marketing Plan

should be no more than 10 slides. Participant will have no more than 15 minutes to present the Marketing Plan and show the Video during Round 1 of Voting (see below). The following persons are not eligible to participate: Employees, contractors, directors, and officers of Participating High School, Sponsor, Verizon Communications, United Negro College Fund and their respective parents and subsidiaries and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Contest (collectively, Program Parties) and the immediate family members of each (spouse, parent, child, sibling, grandparent, and or step of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest. Program Parties reserve the right, in their sole discretion, to verify whether any participant meets the eligibility criteria as outlined hereunder by requesting additional supporting documentation from the participant or Participating High School. Program Parties had no involvement or input of any kind with the Newark Innovation Academy in the selection of students invited by Newark Innovation Academy to participate in the Contest. Additionally, by participating in this Contest, participant (or in the case of a minor, the minors parent or legal guardian) assigns all of their respective rights, title and interest, including but not limited to any copyrights or trademarks, in the Video and Marketing Plan to Sponsor. 3. JUDGING CRITERIA:

There will be 2 rounds of judging. There will be one (1) Grand Prize Winning team of three (3), one (1) second prize winning team of three (3) and one (1) third prize winning team of three (3). In the event an insufficient number of entries are received, Sponsor reserves the right to cancel the Contest and/or shall be under no obligation to award all prizes. Round 1 Voting: On or around 5/23/12, eligible students invited by the John D. OBryant School of Mathematics & Science to participate in this Contest and who are interested in entering the Contest must present their Video and Marketing Plan in front of a panel of Sponsor judges at Verizon Wirelesss offices located at 200 Ballardvale St., Suite 300 from 9:00 AM EST to approximately 1:00 PM EST. Transportation will not provided. Actual day and time of Round 1 Voting may be postponed by Sponsor for any reason without notice. Participant will have no more than 15 minutes to present his/her Video and Market Plan to Sponsor. The Video and Market Plan will each be judged on a total point system based on the following criteria: 50% Quality (responsiveness to topic, content and presentation) and 50% Creativity, with points being awarded for each based on a

scale from 1 to 10 points. The score for the Video and Marketing Plan will then be added together to get a Total Point Score for each participant. Sponsor will select the students with three highest Total Point Scores (Finalists). In case of a tie, student with the highest weighted value score for Quality (combined for the Video and Marketing Plan) among the tied students will be selected the Finalist and to the extent there continues to exist a tie, Sponsor will select the Finalist(s). Sponsors decisions regarding selections of Finalists will be final and binding. Sponsor will announce to the John D. OBryant School of Mathematics & Science the Finalists and associated student names on or around 6/1/12. Round 2 Voting: On or around 5/31/12, the 3 Finalists Videos and Marketing Plans will be placed on the http://vzwnortheast.tumblr.com/EmpowermentBoston until 11:59 A.M. EST on 6/10/12 for public voting to select one (1) Grand Prize winner, one (1) second place winner and one (1) third place winner. The Finalist with the most public votes will be the Grand Prize winner. The Finalist with the second most public votes will be the second place winner. The Finalist with the third most public votes will be the third place winner. In case of a tie for Grand Prize winner, the Finalist with the highest Total Point Score from Round 1 Voting from among the tied Finalists will be deemed the Grand Prize winner and to the extent there continues to be a tie, Sponsor will select the Grand Prize winner. In case of a tie for second place winner, the Finalist with the highest Total Point Score from Round 1 Voting from among the tied Finalists will be deemed the second place winner and to the extent there continues to exist a tie, Sponsor will select the second and third place winner. All decisions by Sponsor in regard to this Contest are final and binding in all respects, including but not limited to selection of winners. Program Parties do not guarantee that there will be 3 Finalists or that all prizes will be awarded. The Videos and Marketing Plans submitted must be original and of each eligible students own creation. Video and Marketing Plan must not have been entered in any other competition or violate the rights of other parties. Video and Marketing Plan may not be offensive or defamatory, as determined by the judges. 4. i. PRIZES: One (1) Grand Prize Winning Team of three (3) will each be awarded a five thousand ($5,000) dollar scholarship, and a Samsung Galaxy Tablet (Approximate Retail Value (ARV): $619.99). Second place winning team of three (3) will each be awarded a Samsung Galaxy Tablet (ARV: $500.00). A third place winning team of three (3) will each be awarded a Samsung Galaxy Tablet (ARV: $500.00).

Service not included with any prize. No prize or cash substitutions allowed, except at the Sponsors sole discretion due to prize unavailability for any reason and only then for a prize of comparable value determined at the Sponsors sole discretion. Sponsor reserves the right to change or substitute the prize as necessary. Sponsor shall have the right, at their sole discretion, to cancel, terminate, modify or suspend this Contest, and select the prize winners from entries received prior to action taken, or as otherwise deemed fair and appropriate by Sponsor. Income and other taxes, if any, are the sole responsibility of all winners. Prizes are awarded WITHOUT WARRANTY OF ANY KIND by Sponsor, express or implied, without limitation. Scholarship must be used for tuition, books and/or fees. Scholarship will be sent directly by the UNCF to the four-year accredited college or university enrolled by Grand Prize winner and applied to the scholarship recipients bursar account. Grand Prize winner will be notified of scholarship award by mail, email, or phone, beginning on or about 7/1/12 and will be required to provide the name of the school he/she will be attending. UNCF may verify the potential recipients enrollment in the specified school. If a potential recipient fails to enroll, withdraws enrollment, or transfers enrollment to a non-accredited college or university or to a less than a four-year accredited college or university, then scholarship recipient forfeits the scholarship portion of the prize. Program Parties shall have no liability for auditing use of scholarship funds once awarded to recipient. By accepting the scholarship, Grand Prize winner agrees to hold Program Parties harmless from and against any and all liability with respect to the use or misuse of scholarship funds by any entity or person. 5. CONDUCT: Failure to comply with these Terms and Conditions may result in disqualification. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Contest or the Web Site; or to be acting in any manner deemed by Sponsor to be in violation of these Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike, disruptive, or with intent to annoy, abuse, threaten or harass any other person. 6. LIMITATIONS OF LIABILITY: Program Parties assume no responsibility or liability for (a) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest or during judging; (b) any unauthorized access to, or theft, destruction or alteration of Videos or Marketing Plans at any point in the operation of this Program; (c) inaccessibility or unavailability of the Internet or the Web Site or any combination; thereof or (d) any injury or damage to participants or to any other person's computer which may be related to or resulting from any attempt to participate in the Contest or download any materials in the Contest. Additionally, by participating in this Contest, or by accepting a prize, participants agree to

release Program Parties and their respective parents, subsidiaries, agencies, divisions, and affiliates from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Contest, or possession, acceptance and/or use or misuse of prize or participation in any Contest-related activity and claims based on publicity rights, copyright/trademark infringement, intellectual property rights, defamation or invasion of privacy and merchandise delivery. If, for any reason, the Contest is not capable of running as planned for reasons which may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the judging, administration, security, fairness, integrity or proper conduct of this Contest, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part. 7. GENERAL: All federal, state and local laws and regulations apply. This Contest is governed by the laws of the State of Massachusetts, with venue in Massachusetts, and all claims regarding must be filed in the appropriate court in this venue. By applying, applicants give their express permission to be contacted by Sponsor by email. Applicant, or if applicant is a minor, applicants parent or legal guardian may be required to sign an affidavit of eligibility and liability release within 10 days of notification. Prior to award, potential recipients may also be required to sign a publicity release for advertising and publicity purposes without additional payment/compensation, unless prohibited by law. The return of any award selection notification as undeliverable may result in disqualification of the recipient and selection of an alternate recipient. In the event of noncompliance with these requirements, award will be forfeited and an alternate recipient will be selected. Applicants and award recipients agree to hold harmless Program Parties from any liability arising out of participation in the Contest and award and/or use of prizes. 8. Official Rules: For a copy of the official rules or a request for the name of the winners (available after July 30, 2012); send a stamped, self-addressed envelope to Attn: Margaret Paghera, Verizon Wireless 200 Ballardvale St., Suite 300, Wilmington, MA. 01887 by September 1, 2011. 9.
