A: TRINIDAD AND TOBAGO. ARTICLES OF AGREEMENT Made the Monday, December 1st in the year of Our Lord Two Thousand and Eleven, Between LJ Construction (thereinafter called The main contractor) on the one part, and Mr. John Doe, of 21 Calcutta Street St. James, Trinidad hereinafter called The Subcontractor on the other part. WHEREAS:1. The main contractor is desirous of blockworks, reinforced concrete works of blockworks and plastering at LJ Construction as quoted for by the subcontractor (hereinafter called appendix A) 2. The main contractor has agreed with the subcontractor to undertake works as detailed in the quotation dated November 15th 2011 (hereinafter called appendix A) 3. The main contractor has agreed with the subcontractor that he shall supply labour, small tools consumables for the project as quoted in Appendix A. 4. The subcontractor shall supply all labour only. 5. THE MAIN CONTRACTOR IS RESPONSIBLE FOR THE SUPPLY OF MATERIAL, EQUIPMENT AND CONSUMABLES NECESSARY FOR EXECUTION OF WORKS AS SPECIFIED IN QUOTATION AND AS PER THIS AGREEMENT (hereinafter called The Works TO BE EXECUTED AT 3 Rigsby Street, San Juan. NOW IT IS HEREBY AGREED AS FOLLOWS: The Subcontractors responsibilities for execution of works 6. For the consideration hereafter mentioned the subcontractor will upon and subject to the conditions annexed hereto carry out and complete the works as described in Appendix A an upon the conditions set forth. 7. All works shall be done in accordance with the accepted standards of construction and as per Clients Specification labelled (Appendix B) 8. The works shall be carried out in a professional manner with due care as described in quotation dated and as agreed and instructed by the main contractor. 9. All OSHA safety rules must be observed and adhered to. 10. All persons are subject to be searched at random from the security personnel. 11. The subcontractor shall make sure all finishes are completed as specified by the main contractor and client according to contract specifications.

12. All persons are required to conduct themselves in a responsible manner and obey the following rules: 13. Smoking allowed only in designated areas. 14. No obscene language. 15. No use of illicit drugs. The Client Responsibilities for the execution of works 16. Supply and deliver all materials 17. All materials shall be of standard quality, fit for use on the project 18. Materials included but not limited to items such as sand, gravel, cement, steel rebars, scaffolding, planks, etc. WHERBY IT IS AGREED AS FOLLOWS: 19. SCOPE OF WORKS The construction works herein described (if applicable) is for guidance and outlines the objective of what is desirable to complete this contract and is therefore not limited to the following:

A) Set up and install wooden buttons to ensure all plastering works are accurately laid. B) Placement of concrete as ensuring good practice the use of such equipment as vibrators, etc. C) Any damages to existing works to make good as necessary. D) Ensure all concrete is watered after casting and plastering to control cracking of the same.

OTHER MATTERS 20. DELIVERY PERIOD: 3 WEEKS

PAYMENT Contract Amount 21. The client will pay to the sub-contractor the contract sum of $23,000.00, vat inclusive of 15%, for works done in appendix A

22. Contract Sum (vat inclusive) $23,000.00

23. Payments to be made on a prorated measured basis and shall comply with the following: 24. Walls must be completed to acceptable standards of workmanship, i.e., all walls must be plumb and smooth for approval of payment. WORKS DESCRIPTION: 25. To installation of necessary concrete forms and reinforce concrete are poured in accordance with techniques as approved by engineer, as well as installation of all necessary steel reinforcement. 26. To ensure all concrete as much as possible is free from cobwebs and other defects due to poor workmanship. 27. To ensure all works are cleaned up daily and made placed into designated spoil areas. 28. To ensure any defects found, to make good of such defects, and approved by engineer.

CLEANING UP: 29. Upon completion of the works, the subcontractor shall remove all debris and waste material for which he is responsible and shall keep and leave the site of the sub-contract works in a condition satisfactory to the contractor.

SAFETY: 30. The subcontractor is required to obey basic safety rules and wear all P.P.E., as required by the contractor.
