MEMORANDUM OF ASSOCIATION
(MOA)
AMemorandum of
Association(MOA) is a legal
document prepared in the
formation and registration
process of a limited liability
company to define its
relationship with shareholders.
CLAUSES OF MOA
NAME CLAUSE
Public co. ltd. Should be mentioned
Private co. Pvt. Ltd. Should be
mentioned
Name of the company should not
contain the word COOPERATIVE.
Name of the company should be
engraved on the seal, letters,
advertisements, bills, notices,etc.
OBJECT CLAUSE
There are two types of objectives:-
a. Main object- It comprises of the main
objective of the company.
b. Other object- It comprises of all those
related objectives of the company
which is needed to support the main
object of the company.
It must not be against the provisions
of INDIAN COMPANIES ACT.
REGISTERED OFFICE CLAUSE
Address of the registered office of the
co. is mentioned here.
Registered office clause is also
known as Domicile clause.
LIABILITY CLAUSE
This clause specifies the liability of the
shareholders ; which can be of three
types:-
a) Limited by shares
b) Limited by guarantee
c) Unlimited liability
CAPITAL CLAUSE
This clause defines the share capital of
the company, along with the paid up
capital as well; which is divided into
various types of shares such as-
i. Redeemable shares
