Introduction:

 Pakistan Cotton Fashion Apparel Manufacture exporters Association (PCFA) is

a prominent Licensed Trade Body.

 It is the largest export earning sector.

 The industry employees who are directly connected with the industry are about
200,000 producing fine quality finished Cotton.
 Memorandum of Association

NAME CLAUSE:

REGISTERED OFFICE CLAUSE:

In the province of Sindh at Karachi and Zonal Office at Lahore

AREA OF OPERATION

Throughout Pakistan
 Aims and Objectives Clause:

1. To provide facilities, encourage, secure and maintain good and closer

relationship.

2. To advise and assist the Government.

3. To provide forms of contracts and other documents useful to members of

Association.

4. To purchase, take on lease, exchange, hire or otherwise, acquire land, buildings

and other moveable or immoveable properties.

5. To issue appeal and collect funds for national, social and humanitarian purpose.

LAIBILITY CLASUE:

The liability of the members is limited, but if any member receives or

pays any dividend, bonus or profit in contravention of the fifth clause
of this memorandum his liability shall be unlimited.
 Article of Association:

1. The Association is declared to consist of unlimited members engaged in

manufacturer and export of Cotton Fashion Apparel and the Association
may from time to time; register an increase of its members.

2. In these regulation, unless there be something in the subject or context

inconsistent therewith:

 The Act” means the Companies Act, No.VII of 1913 as applicable to Pakistan
or any other statutory enactment, for the time being in force in place of the
said Act or as modified by any statutory enactment, for the time being in
force.

 The Articles” means these Articles of Association, or such as may be altered by

special resolution of the Association or by the Government.

 “The Association” means Pakistan Cotton Fashion Apparel Manufacturers &

Exporters Association.

 “The Bye-Law” mean the Bye-Laws of the Association for the time
being in force.

 “Extraordinary Resolution” shall have the meaning as is assigned

to it by Section 81(1) of the Act.

 “The General Body” means the General Body of the members of the
Association, entitled to attend and vote at the General meetings.
 “Emergent Meeting” means a meeting of the Managing Committee called at a
short notice.
 “Special Meeting” means a meeting of the Managing Committee called for a
special purpose.
 “Ordinary Resolution” means any resolution passed at an Ordinary General
Meeting by a simple majority of the voters present, by show of hands, or if a
poll is demanded, by a simple majority of the votes given thereat.
