BOARD SHOUL MEET 6 TIMES A YEAR COMPANY WITH TURNOVER OF RUPEES 100 CRORE at least 30 percent of the board ,if the chairman of the company is a non executive director at least 50 percent of the board if the chairman and managing director is the same person A PERSON IS ALLOWED TO HOLD DICTATORSHIP FOR 20 COMPANIES ONLY NON EXECUTIVE DIRECTORS HAVE TO active participants defined responsibilities should be an expert in accountancy COMMISSION HAS TO BE PAID TO NON EXECUTIVE DIRECTORS 1% of net profit if company has MD otherwise 3%

COMPANY SHOULD GIVE THE ATTENDANCE OF THE CONCERNED DIRECTOR IF REAPPOINTING HIM. REPORTS ALWAYS SHOULD HAVE annual operating plans and budget long term plans capital budgets , manpower and overhead budgets quarterly results for the company as a whole and its operating divisions or business segments. COMPANIES DEFAULTING ON FIXED DEPOSITS accept further deposits and make inter corporate loans or investments until the defaults is made good.
