GENERAL TERMS AND CONDITIONS OF USE OF THE

ELECTRONIC SIGNATURE AND ARCHIVING

RECITALS

These General Terms and Conditions regarding the use of electronic signatures and archiving
(the "General Terms and Conditions") define and govern the electronic signature process
implemented by SPORTFIVE EMEA APAC (formerly called Lagardère Sports and
Entertainment), a French joint stock company (société par actions simplifiée), incorporated under
number 453 759 078, with registered office at 16-18 rue du Dôme, 92100 Boulogne Billancourt
(France). This process is designed to enable the electronic signing of Document(s) within the
framework of its business activity, thereby enabling the digitalisation of part of its range of
contracts.

To this end, SPORTFIVE EMEA APAC S.A.S. has chosen to use a service provider of
electronic certification, DocuSign France S.A.S. (“DocuSign”). DocuSign is both a qualified
trust service provider and a Certification Authority.

The Service made available by SPORTFIVE EMEA APAC S.A.S. may be completed, modified
or replaced at any time, in particular owing to technological developments.

SPORTFIVE EMEA APAC S.A.S. is controlled by SPORTFIVE Global Holding, a German


GmbH, incorporated in Hamburg under number HRB 155230, with its registered office at
Barcastraße 5, 22087 Hamburg (Germany). SPORTFIVE Global Holding GmbH and its
subsidiaries, whether controlled directly or indirectly, form a group of companies
("SPORTFIVE") specializing in sports and entertainment, including sports events, e-sports,
sports rights, sports marketing, consulting and brand activation and hospitality.

All corporate bodies within the SPORTFIVE group of companies may use the DocuSign®
service described in these General Terms and Conditions to sign Documents electronically.

I. DEFINITIONS

• Certification Authority : refers to the authority responsible for issuing electronic certificates
enabling a person to sign a document electronically. DocuSign is designated as the Certification
Authority for the purpose of these General Terms and Conditions.

• Certificate : means an electronic file that attests to the link between the verification data
relating to an Electronic Signature and the Signatory of a Document. Such a certificate is for
single use only.

• Company : refers to the company within the SPORTFIVE group (as defined in the above
recitals) which contracts with the Signatory through use of the Service.
• Document : means any content stored electronically sent by the Company, via the Service, for
Electronic Signature by the Signatory(s).

• Durable Medium : refers to any instrument that preserves the Document(s) and/or any other
document that is connected to the Service, which enables easy referencing and ensures it is
reproduced identically.

• Electronic Signature : a reliable and secure process of identification provided by DocuSign to


guarantee the identity of the signatory, the integrity of the file and the link between the signed
document and the signature (in accordance with article 1366 et seq. of the French Civil Code and
article 3 of the Regulation (EU) n°910/2014 of the European Parliament and of the Council dated
23 July 2014 on electronic identification and trust services for electronic transactions in the
internal market (the eIDAS Regulation”). The Electronic Signature expresses the Signatory’s
written consent to the content of the Document(s).

• Evidence File : refers to the file created by DocuSign upon the designated Signatory(ies)
signing the Document by way of Electronic Signature, containing all the elements associated
with that or those Electronic Signature(s), and ensuring, in particular, the validity of the signed
Document, the authentication of each Signatory as well as all the transactions performed on the
Document. Each signed Document has a corresponding Evidence file, thereby ensuring the
traceability and the proof, in the event of a dispute, that each online signature was indeed made.

• Service : refers to all the services referred to in these General Terms and Conditions, and in
particular the means of implementing the Electronic Signature process.

• Signatory : means any natural person: (i) who connects to the DocuSign® interface at the
request of the Company, (ii) who reads and reviews one or several Documents with a view to
potentially signing them, and (iii) who signs the Documents after providing his/her consent
during the course of the Electronic Signature process.

II . PURPOSE AND USE OF THE SERVICE

Purpose of the Service

The purpose of the Electronic Signature process implemented by the Company is to:

- have the same effect as a handwritten signature on a paper document; and

- represent and retain evidence of the Signatory’s written consent to the Document(s) in a
dematerialized manner by way of Electronic Signature.

Use of the Service

The Company uses the following process:

- creation of an original Document signed by the affixing of an Electronic Signature;


- timestamping of the original Document; and

- creation, transmission and archiving of an Evidence File.

The Company proposes to the Signatory to sign one or several Document(s) online using an
Electronic Signature service. Access and use of the Electronic Signature process implies that the
Signatory has an email address and, in some cases, a company mobile number required for SMS
authentication.

The use of the Service is conditional upon the acceptance of the General Terms and Conditions.
The Signatory confirms s/he has read and accepted these General Terms and Conditions by
ticking the box provided, before proceeding to the Electronic Signature of the Document.

The Signatory is informed that s/he has the possibility to save and/or print the General Terms and
Conditions of the Service once s/he has accepted them.

Presentation of the Document(s)

Before initiating the Electronic Signature procedure, the Document(s) shall be made available to
the Signatory. S/he is invited to read the Document(s) online with a view to deciding whether to
accept its terms and conditions.

Electronic Signature and Document(s) approved

The Signatory is then invited, by means of the Electronic Signature process, to electronically
sign the Document(s). The Company may request the Signatory to provide an "advanced"
Electronic Signature according to article 26 of the eIDAS Regulation, based on a more
sophisticated verification technique.

The "standard" (i.e. non-"advanced") Electronic Signature is affixed after the acceptance by the
Signatory of these General Terms and Conditions, at the time of clicking on the "Sign" button;
these two actions establish the consent of the Signatory.

However, for "advanced" Electronic Signatures, it will be necessary for the Signatory to confirm
his/her identity by means either of an access code or of SMS authentication to access the
Document(s). In the event of SMS authentication, a one-time access code (the "PIN Number")
will be sent to the Signatory by text message (SMS) on his/her company mobile, the number of
which will have been previously entered by the Company or by the Signatory and, if necessary,
modified by the latter.

This access code or the PIN Number, as applicable, are strictly personal and confidential. They
must be filled in by the Signatory in the area reserved for such purpose and will expire after a
short period of time. In addition, the Signatory undertakes to not communicate the access code or
PIN Number to a third party and to take all appropriate measures to ensure its confidentiality.

Evidence File
The electronically signed Document and the Evidence File created at the time of its signature
guarantee the integrity of the contractual document(s) and the link between the Signatory and the
signed contractual documents. The Evidence File contains all the elements of the electronic
transaction depending on the type of Electronic Signature (and in particular all the collected data,
the result of the various checks, the timestamp data, the identity of the Signatory, the original
Document signed electronically, and if applicable, the access code or PIN Number and the
Certificate). A copy of the Evidence File is automatically emailed to the Signatory at the end of
the Electronic Signature process.

III. SIGNATORY’S COMMITMENTS

The Signatory acknowledges having communicated to the Company the elements enabling its
identification, and in particular the email address and in some instances the company mobile
number used for the purposes of the Electronic Signature.

The Signatory undertakes to check, in the Document(s) to be signed, his/her name and/or, where
applicable, the name of the entity on whose behalf s/he is committing himself/herself. In the
event of an error, the Signatory must immediately report it to the Company.

The Signatory will be responsible for any incorrect data provided to the Company.

IV. EVIDENTIARY EFFECT

Pursuant to article 1366 et seq. of the French Civil Code, the Signatory and the Company
determine as amongst themselves the rules of admissible evidence that shall apply to Electronic
Signatures.

The Company and the Signatory hereby irrevocably accept that in the event of a dispute, the
Evidence File - containing the original Document signed electronically as well as all data
guaranteeing the timestamp, the accuracy and integrity of the information, including e-mails and
acknowledgments of receipt exchanged and, in some cases, the access code or PIN Number and
the Certificate - is admissible before court and constitutes evidence with regards to the data and
facts which the Evidence File contains as well as the Signatures made and the commitments
expressed therein. The evidentiary effect granted to the Evidence File is that awarded to an
original, within the meaning of article 1366 et seq. of the French Civil Code.

The Signatory whose Electronic Signature has been used to sign the Document(s) is deemed to
have been duly authorised to sign for and on behalf of the corporate body which s/he purports to
represent. As such, it is the responsibility of each party to ensure that the Signatory has the
appropriate authority to sign the Document, including if necessary by means of a power of
attorney or equivalent instrument. The corporate body’s failure to put in place the appropriate
authority or powers shall not affect the legal validity of the signed Document(s).

V. SECURITY
As part of the Signatory’s access to the Service, s/he is expressly reminded that the Internet is not
a secure network. In these circumstances, it is the Signatory’s responsibility to take all
appropriate measures to protect its own data and/or software especially from infection by
potential viruses circulating on the Internet or the intrusion by a third party into its computer
system for any purpose whatsoever, and to verify that the files transmitted contain no viruses.
The Company rejects any liability for the spreading of computer viruses, as well as for any
consequences that may result from these viruses.

The Company and the Signatory agree that the Company shall not be held liable, both vis-à-vis
the users and towards the potential end users for any consequential damages such as operating
losses, loss of customers, adverse commercial effect, loss of investment, loss of data and/or files,
reputational damage as well as any incident and/or unavailability that may occur on the
communication networks used and the actions of third parties.

VI. PERSONAL DATA

SPORTFIVE EMEA APAC S.A.S and the Company agree to process personal data as Joint
Controllers, as defined under French law n° 78-17 "Informatique et Libertés" of 6 January 1978
relating to data, files and freedoms and the General Data Protection Regulation (EU) 2016/679 of
the European Parliament and of the Council of 27 April 2016 on the protection of natural persons
with regard to the processing of personal data on the free movement of such data (the “Data
Protection Legislation").

SPORTFIVE EMEA APAC S.A.S and the Company undertakes to only process the personal
data (as defined under the Data Protection Legislation) listed below and for the purposes
described below. The personal data collected from the Signatory by the Company shall be used
for the sole purpose of providing the Service and the processing of the Signatory's file, in
particular for the authentication and identification of the Signatory, which is necessary to carry
out the Electronic Signature process and the constitution of the Evidence File, including the
creation of the Certificate. More specifically, this includes the following purposes:

i. the creation of a user account to access the Service and the management of all available
functionalities (including IT support); and

ii. the retention of evidence of the electronic transactions carried out for each Electronic
Signature made using the Service.

SPORTFIVE EMEA APAC S.A.S is the data controller for item i) above, while the Company is
the data controller for item ii).

By accepting these General Terms and Conditions, the data subject expressly authorises the
Company, SPORTFIVE EMEA APAC S.A.S and DocuSign to use his/her name, surname, title,
role, email address, Electronic Signature, IP address and, his/her company’s mobile number for
the purposes described above.
All personal data collected by the Company and/or by SPORTFIVE EMEA APAC S.A.S are
retained for the periods set out below:

The Signatory as well as the potential end user, if it is a natural person, have a right of access,
rectification, erasure and restriction to processing for legitimate reasons in respect of all data
concerning them and may exercise such rights on request from, respectively:

- regarding the purpose i) described above: SPORTFIVE EMEA APAC S.A.S, Protection of
personal data, 16-18 rue du Dôme, 92100 Boulogne Billancourt (France) or by email to
docusign@lsportfive.com ; and

- regarding the purpose ii) described above: the Company, for the attention of the Data Protection
Manager.

VII. ELECTRONIC ARCHIVING

SPORTFIVE EMEA APAC S.A.S keeps all Documents received, on a Durable Medium, , by
taking all the security measures intended to guarantee its integrity and archives them according
to the applicable French legislation.

However, the Signatory has a right of access to the original Document(s) signed electronically. A
copy of the Evidence File is sent to the Signatory at the time the Electronic Signature is made.

Documents are kept exclusively in their original format and the Signatory is solely responsible
for the choice of electronic formats and their durability.

VIII. GOVERNING LAW

In case of contradiction or incompatibility between the language versions of these General Terms
and Conditions, the French version shall prevail.

These General Terms and Conditions are governed by and interpreted in accordance with French
law. Any dispute relating to the interpretation and/or implementation of any provision hereof
shall, in the first instance and to the extent possible, be settled by amicable negotiation. If an
amicable settlement is not reached, the dispute shall be submitted to the relevant competent
French court.
